AGREEMENT (SUBORDINATE) TO FURNISH ENHANCED 911
EMERGENCY REPORTING TELEPHONE SERVICE
THIS AGREEMENT, effective nril 1 _, 19 82 .
is between PACIFIC BELL, a corporation, hereinafter referred
to as "Pacific ", and the City of Newport Beach
hereinafter referred to as "Customer ".
RECITALS
A. Pacific is a public utility corporation conducting a
common carrier communications business in the State of California
and in the ri +, of Newport Beach in California.
Pursuant to its obligations to provide communications services to
its subscribers within its service areas, Pacific has built a
public utility communications system consisting of poles, wires,
cables, conduits, markers, appurtenances and other facilities in
the City of'Newport Beach
B. Customer is a "public agency* as defined in Section.
53100 of the Warren - 911 - Emergency Assistance Act.
C. Pacific is presently authorized by the Public
Utilities Commission of the State of California (hereinafter
referred to as "Commission') to provide Universal 911
Emergency Reporting Service (hereinafter referred to as "Basic 911
Service•) to political subdivisions and municipal corporations of
the State of California in accordance with Pacific's Tariff
Schedule Cal.P.U.C. No. 153 -T.
D. Customer desires to have Pacific provide service and
equipment at Customer -designated Public Safety Answering Point s)

(hereinafter referred to as "PSAP "), as described more
specifically in Exhibit A, attached hereto and made a part hereof,
and which is not provided as part of Basic 911 Service. This
service and equipment is provided to Customer in conjunction with
the Enhanced 911 Service (hereinafter referred to as 'E -911
Service ") provided to County of Orange (See Paragraph 4
herein.) where appropriate, General and Special Conditions set
forth in Tariff Schedule Cal.P.U.C. No. 153 -T shall apply to the
E -911 Service covered hereunder.
E. Pacific does not now have a tariff on file with the
Commission which covers E-911 Service as described in Exhibit A
hereto. Until a tariff for E -911 Service becomes effective
Pacific is willing to furnish and install the E -911 Service for
Customer's use under the terms and conditions set forth herein.
A G R E E M E N T
NOW, THEREFORE, the parties agree as follows:
1. Subject to the availability of manpower, equipment and
facilities and the terms and conditions of this Agreement and
Exhibit A hereto, Pacific shall furnish, install and maintain the
E -911 Service and its associated facilities and equipment as set
forth in Exhibit A.
2. Equipment, facilities and arrangements used in furnishing
E -911 Service hereunder shall remain the property of Pacific.
3. Customer shall be responsible for payments to Pacific for
the nonrecurring charges and monthly rates set forth in Exhibit
A. Nonrecurring and monthly rates are subject to change by

Pacific following the end of the initial period of this Agreement
upon ninety (90) days' prior notice in writing to the Customer;
provided, however, that any such subsequent change may not be made
more often than annually.
4. This Agreement is subordinate to that certain AGREEMENT
(DOMINANT) TO FURNISH ENHANCED 911 EMERGENCY REPORTING TELEPHONE
SERVICE effective - April 1 1982, between
PACIFIC BELL and C'nnn+�Z of nranaa
hereinafter referred to as 'Dominant Agreement.' This Agreement
shall terminate prior to or concurrently with the effective date
of termination of the Dominant Agreement, and Customer shall
thereupon pay the applicable basic termination charges as set
forth in Exhibit A hereto.
S. In the event that, after start of installation and before
the service is connected, the Customer cancels, modifies or defers
the application for E -911 service covered under this Agreement,
then a charge shall apply which would allow Pacific to recover the
nonrecoverable costs of engineering, labor, material, equipment
and other related expenses. For purposes of this Agreement, the
"start of installation" shall be deemed to commence when Pacific
performs any work or incurs any expense in connection therewith,
or in preparation therefor, which would not otherwise have been
performed or incurred. An application may be deferred for one or
more periods totalling, in all, not more than six (6) months
beyond the in- service date last established prior to start of
installation, after which period the application shall be either
completed for service and applicable rates and charges applied, or
it shall be considered to be cancelled and treated as set forth
above.

6. This Agreement shall terminate upon the effective date of
a tariff filed with the Commission for those services furnished
hereunder. Thereafter, Pacific shall furnish such service
pursuant to the applicable provisions of its filed tariffs. In
the event that Customer does not retain the E -911 Service after
the effective date of such tariff, Customer shall pay the
applicable basic termination charges as set forth in Exhibit A
hereto.
7. In the event that this Agreement is terminated pursuant
to the provisions of paragraph 6, Pacific shall have the right to
adjust the nonrecurring installation charges set forth in Exhibit
A and to either bill or refund to Customer the amount of any
difference between such nonrecurring installation charges and the
comparable nonrecurring installation charges set forth in
Pacific's applicable tariff.
8. Additional services, equipment, facilities, or
arrangements not provided hereunder shall be provided in
accordance with applicable tariffs on file with the Commission,
revisions hereto, or by separate agreement submitted to said
Commission.
9. a. After installation of the PSAP facilities and
equipment furnished hereunder, should Customer desire any
rearrangement on Customer's premises, Customer shall pay charges
computed in accordance with tariffs on file with the Commission
(which charges are presently covered under Pacific's Tariff
Schedule Cal.P.U.C. No. 28 -T) for moving, rearranging or changing
the PSAP or the equipment and facilities related thereto.

b. After installation of the PSAP facilities and
equipment furnished hereunder, should Customer request any change
that necessitates additions, removals, moves or changes of access
facilities and /or equipment on Pacific's premises, Customer shall
pay charges based on actual costs for such change.
10. Pacific shall be provided access to Customer's premises
at any reasonable time for the purpose of installing, inspecting,
testing, rearranging, repairing or removing the equipment and
facilities used in furnishing service hereunder. Pacific shall
have the right to make such tests and adjustments as are necessary
or appropriate to maintain its equipment and /or facilities in
satisfactory operating condition.
11. The liability, if any, of Pacific for damages arising out
of any mistake, omission, interruption, delay, error, defect or
other failure in any of the equipment or facilities provided
hereunder or used in furnishing service hereunder shall be as set
forth from time to time in Rule 14 of Schedule Cal.P.U.C. No. 36 -T
of Pacific's tariffs on file with the Commission. A copy of the
current provisions of said Rule 14 is attached hereto as Exhibit
B. E -911 Service is provided solely for the benefit of the
Customer. The provision of E -911 Service by Pacific shall not be
interpreted, construed or regarded, either expressly or impliedly,
as being for the benefit of or creating any obligation of Pacific
to any third person or legal entity other than the Customer.
12. a. Neither this Agreement, nor any interest of Customer
hereunder, nor any use of the E -911 Service may be assigned,
sublet or in any manner transferred by Customer without the prior
written consent of Pacific. Pacific may, however, without
Customer's consent, assign its rights under this Agreement to

American Telephone and Telegraph Company ( "AT &T") or to any
present or future subsidiary or affiliated company of either
Pacific or AT&T or to any other company if such assignment to such
other company will, in Pacific's opinion, assist in the
implementation of any law or ruling issued in any form whatsoever
by any judicial or other governmental authority. In the event of
such an assignment, Pacific shall be released and discharged of
its obligations hereunder to the extent of such assignment. Any
attempted assignment in contravention of this paragraph shall be
void. Pacific shall give Customer written notice of any such
assignment of rights hereunder.
b. Subject to provisions of paragraph a above, this
Agreement shall inure to the benefit of and be binding upon the
respective successors and assigns, if any, of the parties hereto.
13. The failure of Pacific to insist upon strict performance
of any of the terms, covenants or conditions of this Agreement in
any one or more instances shall not be construed as a waiver or
relinquishment for the future of any such terms, covenants or
conditions, but all of the same shall be and remain in full force
and effect.
14. Unless sooner terminated as provided herein, this
Agreement shall continue for an initial period of twelve (12)
months from the date the E -911 Service is placed in service and
thereafter until terminated by Pacific upon sixty (60) days' prior
written notice to Customer; provided, however, that Customer may
terminate this .Agreement at any time upon thirty (30) days' prior
written notice to Pacific, subject to payment of applicable basic
termination charges as set forth in Exhibit A hereto.

15. Customer agrees to comply with all
state and local laws, regulations and codes
this Agreement. Customer further agrees to
any loss or damage that may be sustained by
failure to comply with the aforementioned f

16. All notices or other communications hereunder shall be
deemed to have been duly given when made in writing and delivered
in person or deposited in the United States mail, postage prepaid,

made by either party may be changed by written notice given by
such party to the other pursuant to this paragraph.
17. This Agreement represents the entire contract between the
undersigned parties and supersedes all prior negotiations,
discussions and writings.

18. Customer and Pacific agree that the in- service date for
the E -911 Service provided hereunder shall be on or before
; provided, however, that the time during
which Pacific is delayed in meeting such in- service date by causes
or events beyond the control of Pacific, including lack of network
and /or central office facilities and an emergency resulting in
reallocation of available manpower, shall be added to the
aforesaid in- service date. For purposes of this paragraph, the
term "emergency" shall refer to and mean an unforeseen combination
of circumstances affecting service to California subscribers
calling for immediate action within the service area of Pacific
and contiguous service areas of the other operating telephone
companies of the Bell System. As used herein, the in- service date
shall mean the date upon which Pacific installs and makes
substantially operational the E -911 Service for Customer's use
hereunder.
19. This Agreement shall be filed with the Commission
pursuant to its General Order No. 96 -A and shall at all times be
subject to such changes or modifications as said Commission may,
from time to time, direct in the exercise of its jurisdiction.

DESCRIPTION OF SERVICE, EQUIPMENT, FACILITIES AND STANDARD
FEATURLS
1. Automatic Number Identification (ANI): A feature by which the
calling party's ANI to ep one num er is forwarded to the
Enhanced 911 (E -911) Control Office and displayed on Transfer
and Display Units at PSAPS equipped with such Units. (See
Item 3 under Other Available Service, Equipment an Features.)
2. Data Management System (DMS): A system of manual procedures
an computer programs used by Pacific to create, store and
update the data required to provide the Selective Routing (SR)
and Automatic Location Identification (ALI) features.
3. Default Routing (DR): A feature activated when an incoming
E -911 call cannot a selectively routed due to an ANI failure,
garbled digits or other causes. Such incoming calls are
routed from the E -911 Control Office to a customer designated
default PSAP. Each incoming E -911 facility group to the
Control Office is assigned to a designated default PSAP. Four
party suburban service and customer - provided multi -party
service, such as Farmer Line Service, will be default routed.
4. End Office: A Central Office(s) in the E -911 System which
serves calling parties originating calls to 911.
5. Enhanced 911 (E -911) Control Office: The office which
provides tandem switching capa i ity for E -911 calls. It
controls switching of ANI information to the PSAP and provides
the SR feature, standard ESS Speed Calling features, call
transfer capability and certain maintenance functions for each
PSAP.
6. E -911 Exchange Line: A one -way incoming line terminating at
PSAP. (Outgoing calls can be made on a transfer basis only.)
NOTE: E -911 Service includes the provision of E -911
Exchange Lines to all Primary PSAPS and to Secondary
PSAPS that are equipped to display ANI information
on PSAP terminal equipment. The number of lines
required to these PSAPS will be determined and
provided by Pacific based upon expected call
volumes. The Customer may subscribe to Additional
(Optional) E -911 Exchange Lines for these PSAPS
and /or for Secondary PSAPs that are not equipped to
display ANI information. (See Item 1. under Other
Available Service, Equipment, and Features.)

7. E -911 Service Area: The geographic area in which one or more
agencies participating in the E -911 System will respond to all
E -911 calls and dispatch appropriate emergency assistance.
8. Forced Disconnect: A function of the E -911 Central Office
trunk circuit w ich enables the PSAP attendant to release the
connection on a 911 call even though the calling party has not
hung "up. This feature prevents the intentional jamming of the
E -911 exchange lines.
9. Manual Transfer: Manual Transfer enables the PSAP attendant
to transfer an incoming 911 call by depressing the switchhook
of the associated telephone or the "add" button on the
Transfer and Display Unit (if provided) and dialing either a
7 -digit or 10 -digit telephone number or a 2 -digit Speed
Calling Code.
10. Public Safety Answering Poin t (PSAP): An answering location
or 911 calls originating n a given area. A PSAP may be
designated as Primary or Secondary, which refers to the order
in which calls are directed for answering. Primary PSAPs
answer all calls first; Secondary PSAPs receive calls on a
transfer basis only.
11. Selective Routing (SR): A feature that routes an E -911 call
rom a Central Office to the designated primary PSAP based
upon the identified number of the calling party.
12. Serving Central Office: The local Central Office from which a

A. E -911 is provided only when the total number of main and
equivalent to main telephones exceeds 150,000 in the area to
be served by the system.
B. E -911 exchange lines are arranged for incoming service only.
Outgoing calls can only be made on a transfer basis.
C. ANI or ALI information will not be displayed on calls received
from four -party suburban service or customer provided
multi -party service such as Farmer.Line Service.
D. 911 calls from PBX and Centrex on- premises and off - premises
stations, and other services with off - premises locations, will
be forwarded to the PSAP serving the pilot number location of
the PBX, Centrex and other off - premises services. ANI and ALI
information received from such off - premises stations may not
be the actual telephone number and address for those
off - premises stations.
E. Charges for local and /or toll messages transferred over
exchange facilities will be billed according to rates
applicable from the local Central Office serving the PSAP
originating the. transfer.
F. Features and network arrangements will be based upon the
operating limitations of Pacific's facilities and equipment.
G. If Customer provided terminal equipment is used, it will be
subject to terms and conditions set forth in Schedules
Cal.P.U.C. No. 4 -T and 135 -T.
H. Any terminal equipment used by Customer in conjunction with
E -911 Service, whether such equipment is provided by Pacific
or Customer, shall be configured so that it is unable to
extract any information from the Data Management System other
than information relating to a number identified through the
ANI capability as the source of an in- progress call.
I. The rates charged for E -911 Service do not contemplate the
inspection or constant monitoring of facilities to discover
errors, defects and malfunctions in the E -911 Service, and
Pacific does not undertake such responsibility.

J. A billing surcharge (as set forth in Tariff Schedule
Cal.P.U.C. No. 36 -T, Rule 33) applies to the monthly charges
for E -911 service covered by this Agreement.
R. The Customer has the responsibility to:
1. adhere to the guidelines as set forth in the State of
California 911 Guidelines Manual;
2. arrange to have all 911 calls answered 24 hours a day, 7
days a week;
3. subscribe to local exchange service at each PSAP location
for emergency use by any person who does not want his/her
telephone number and /or address displayed, for use by
telephone company operators in transferring emergency
calls, for administrative purposes, and for placing and
receiving nonemergency calls; and
4. make such operational tests as in the judgment of the
Customer are required to determine whether the system is
functioning properly for its use. Customer shall
promptly notify Pacific in the event the System is not
functioning properly.

W. The Utility shall allow, for interruptions in exchange

the customer, an amount equal to the fired monthly charges
for exchange service multiplied by the ratio of the days of
intarruptiou to thirry days. When interruptions continue beyond
24 hours, credit allowance will be given in successive 24 -hour
multiples.
C. The Utility shall allow, for interruptions in Telpak channels
and services of two consecutive hours or more not due to conduct
of the customer or failure of facilities provided by the
cnetomar, an amount dacerained as follows:
1. For items other than Telpak base capacity, an
amount equal to 1/720 of the fixed monthly charge
for such item for each hour or mayor fraction thereof
of interruption.
2. For Telpak base capacity furnished for use as a
single capacity, an amount computed as in 1. above.
3. For Telpak base capacity furnished for use as various
channels of lesser capacity, (a) if the interrupted
channels are less than 50 percent of the equivalent
telephone grade channels in the section, no amount
allowed, or (b) if the interrupted channels are 50
percent or more of the equivalent telephone grade
channels in the section, an amount computed as in 1 above.
For each classification of Talpak base capacity, credit is
computed separately for each two -point section affected.

ADDENDUM TO AGREEMENT
(SUBORDINATE) TO FURNISH ENHANCED
911 EMERGENCY REPORTING TELEPHONE SERVICE
This is an Addendum to that certain agreement (hereinafter referred as the
"Agreement ") dated aril 1. 1982 between Pacific Bell (designated
therein as the Pacific Telephone and Telegraph Company) hereinafter referred to
as "Pacific" and City of Newport hereinafter referred to as "customer" on
this a » day of DecEMBER 1984 in light of the
following facts:
A. Pacific is currently providing 911 or E911 service to customer;
B. Pacific has exercised its right to increase rates for such service
pursuant to paragraph three of the Agreement; and
C. Customer and Pacific now desire to agree upon a mechanism to adjust
the rates in accordance with the California Public Utilities
Commission (CPUC) jurisdiction.
NOW THEREFORE, the parties agree as follows:
1. Pacific shall implement the rates set forth in Exhibit A attached
hereto in accordance with paragraph three of the Agreement effective
ninety days from /d -/664 15(

Initial delivery of this Addendum shall constitute notice of the
increase as required by said paragraph three.
2. Customer has the right to seek CPUC review of the rates set forth in
Exhibit A within thirty days of the date of this Addendum. For the
purposes of this review if the State of California, Office of
Telecommunications, seeks review, said review shall be deemed to be
for the benefit of the customer.
3. Should the CPUC adjust said rates either upward or downward as a
result of its review, the rates as adjusted by the CPUC shall there-
after be controlling. Furthermore, the rates actually charged by
Pacific in accordance with this Addendum shall be adjusted retro-
actively to the date originally implemented or one year whichever is
shorter. Said adjustment to be creditied or debited against
customer's next bill without interest.
