Raggio City Clerk 3300 Newport Boulevard, Newport Beach a 0 SUBGRANTEE AGREEMENT Oc %s THIS AGREEMENT, entered into this f - -- day ofQ, 1985, by and between the CITY OF NEWPORT BEACH, a municipal corporation (hereinafter referred to as "City ") and ORANGE COAST INTERFAITH SHELTER, whose address is 1963 Wallace Street, Costa Mesa, California 92627, (hereinaf ier referred to as "Shelter`), is made with reference to the foiiowing: RECITALS WHEREAS, the City is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the Statutes of the State of California and the Charter of the City; and WHEREAS, the City has received a 198'' -: -85 funding year allocaiion of $499,000 of Community Development Block Grant (CDBG) funds from the U.S. Department of Housing and Urban Development ('HUD) for the July 1985 through June 1986 program year; and WHEREAS, the City has received a request. for $50,000 of those funds from the Orange Coast Interfaith Shelter; and WHEREAS, the Orange Coast Interfaith Shelter is a publicly supported nonprofit organization which provides temporary and emergency housing to homeless and needy persons including those from the City of Newport Beach; and WHEREAS, the Shelter has entered into a purchase agreement for real property located at 1963 Wallace Street in Costa Mesa, California; and WHEREAS, the Shelter has solicited CDBG funds from the City of Newport Beach to help reduce the amount of the outstanding mortgage loan on said property; NOW, THEREFORE, the City of Newport Beach hereby agrees to provide $50,000 of its 1984 -85 CDBG allocation to the Orange Coast Interfaith Shelter subject to the following terms and conditions. I 1. TERM The term of this Agreement shall be for a period of 4 year(s) from the date of signature of this Agreement, during which time Shelter agrees to maintain its status as a publicly supported non- profit organization duly organized under California law and ag, -ees to continue to provide temporary and emergency housing services in compliance with its Mission Statement attached hereto as an Exhibit. 2. SERVICES TO BE PERFORMED Grant funds awarded to the Shelter by the City shall be utilized for the reduction of outstanding debt on real property located at 1963 Wallace Street in Costa Mesa, California. The implementation o; all ongoing housing assistance programs shall be the sole responsibility of the She) 4er. 3. COMPENSATION TO SUBGRANTEE Compensation shall be in the form of a single transfer of $50,000 of CDBG funds from the City to the Shelter. 4. STANDARD OF CARE The Shelter warrants and guarantees that all services performed at the Shelter shall be provided in a manner commensurate with the highest professional standards and shall be performed by qualified and experienced personnel. 5. INDEPENDENT PARTIES The parties to this Agreement intend that the relation between them created by this Agreement is that of employer- independent contractor. The manner and means of conducting the Shelter's housing programs are under the control of the Shelter, except to the ex,ent they are limited by statute, rule or regulation and the express terms of this Agreement. No Civil Service status or other right of employment will be acquired by virture of the Shelter's services. None of the benefits provided by the City to its employees, including but not limited to unemployment insurance, workers' compensation insurance, retirement and deferred compensation plans, vacation and sick leave, are available from the City to the Shelter, its employees or agents. From any CDBG grant funds paid to the Shelter, deductions shall not be made for any State or federal taxes, FICA payments, PERS payments, or other purposes normally associated with an employer- employee relationship. Payment of the above items, if required, are the responsibility of the Shelter. 6. HOLD HARMLESS Shelter shall indemnify and hold harmless City, its City Council, boards and commissions, officers, agents, servants and employees from and against any and all less, damages, liability, claims, suits, costs and expenses, whats De Ver, including reasonable attorneys' fees, regardless of the merit or outcome of any such claim or suit, arising from or in any manner connected to the Shelter's negligent performance or orn!sslon of any services or 'work conducted pursuant to this ',greet -gent. 7. PROHIBITION AGAINST TRANSFERS Shelter shall not assign, sublease, hypothecate, or transfer this Agreement, the Shelter, facility, or any interest therein directly or indirectly, by operation of law or otherwise. Any attempt to do so without said consent shall be null and void, and any assignee, sublessee, hypothecate or transferee shall acquire no right or interest by reason of such attempted assignment, hypothecation or transfer. 8. PERMITS AND LICENSES Shelter, at its sole expense, shall obtain and maintain during the term of this Agreement, all appropriate permits, licenses and certificates that may be required in connection with the performance of its housing services. 9. REPORTS Each and every report, draft, work- product, map, record and other document reproduced, prepared or caused to be prepared by Shelter pursuant to or in connection with this Agreement shall be the exclusive property of the City. No report, information or other data given to or prepared or assembled by the Shelter pursuant to this agreement shall be made available to any individual or organization by the Shelter without prior approval by the City. The Shelter agrees to submit., at least quarterly during the year term of this Agreement unless otherwise requester by the City, a performance report which details the `_inancial status and services provided during the proceeding quart-_ ., 10. RECORDS Shelter shall maintain complete and accu -ate records with respect to costs, experts -_s, receipts and other such lnformatior. required by City that relate to the perfor m,ance of services under this Agreement. Shelter shall maintai.r, adequate records on services provided in sufficient detail to permit an evaluation of services. .till such records shall be maintained in accordance with generally accepted accounting principies and shall be ciearly identified and readily accessible. Shelter shall provide free access to the representatives of the City or its designees at all proper times to such books and records, and give the City the right to examine and audit same, and to make transcripts therefrom as necessary, and to allow inspection of all work, data, documents, proceedings and activities related to this Agreement. Such records, together with supporting documents, shall be kept separate from other documents and records and shall be maintained for a period of three (3) years after receipt of final payment. 11. NOTICES All notices, demands, requests or approvals to be given under this Agreement shall be given in writing and conclusively shall be deemed served when delivered personally or on the second business day after the deposit thereof in the United States (Mail, postage prepaid, requistered or certified, addressed as hereinafter provided. All notices, demands, requests, or approvals from Shelter to City shall be addressed to City at: Newport Beach City Hall 3300 Newport Beach Blvd. Newport Beach, California 92663 Attention: Craig Bluell All notices, demands, requests, or approvals from City to Shelter shall be addressed to Shelter at: Orange Coast Interfaith Shelter 1963 Wallace Street, Apt A Costa Mesa, California 92627 12. TERMINATION In the event Shelter hereto fails or refuses to perform any of the provisions hereof at the time ant in the manner required hereunder, Shelter shall be deemed in default in the performance of this Agreement. If such default is not cured within a period of five (5) days after receipt by Shelter from City of written notice of default., specifying the nature of such default and the steps necessary to cure such default, City may terminate the Agreement forthwith by giving to the Shelter written notice thereof. The City shall have the option, at its sole discretion and without cause, of terminating this Agreement by giving thirty (30) days written notice to Shelter as provided herein. Upon termination of this .Agreement by the City, Shelter shall return to the City that portion of compensation specified in this Agreement that is unearned past the effective date of termination. 13. COST OF LITIGATION If any legal action is necessary to enforce any provision hereof or for damages by reason of an alleged breach of any provisions of this Agreement, the prevailing party shall be entitled to receive from the losing party all costs and expenses in such amount, as the court may adjudge to be reasonable attorneys' fees. 14. COMPLIANCES Consultant shall comply with all applicable State and federal laws including those pertaining to equal opportunity and affirmative action. 15. WAIVER A waiver by the City of any breach of any term, covenant, or condition contained herein shall not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained herein whether of the same or a different character. 16. INTEGRATED CONTRACT This Agreement represents the full and comniete understanding of every kind o. nature whatsoever between the parties hereto and all preliminary negotiations and agreements of whatsoever kind or nature are merged herein. No ve-oal agreement or implied covenant shall be held to vary the provisions + hereof. Any modification of this Agreement will be effective only by written execu:iorn s;gred by both City and Shelier. CBOA Funds Dear Sir, Crange Coast interfaith Shelter is a 501 -0 non profit corporation Pro- vi ding emergency and temporary shelter to homeless people. We are requesting that the City Of Newport Beach allocate $507000.00 Of ;seir CEuA funds to complete the acquistion of the shelter. homelessness is a problem that transcends all our communities. Lath and every city has it's snare of homeless people. In Newport Beach, for example, your low cost motels are filled with 'homeless people who are unable to muster enough resources for first and last months rent. Along with these many of the mentally ill are attracted to the beach communities. OCIS offers a regional solution,being the only shelter in the South County area, to care for the truly needy. Through our temporary housing, job counseling and family counseling programs people are given an opportunity to get back on their feet as productive members of our community. The cities of Costa Mesa, Irvine and Huntington Beach have all contri- buted towards the purchase of our nine unit complex. The County of Orange has also allocated money to the project.Our purchase price was $430,000.00 based on a Fannie May appraisal. The remaining balance is $110,000.00. By paying down the mortgage another $50,000.00 we would free up $600.00 a month in mortgage costs that over a thirty year period would equal X259,200.00 in operating costs. Operations were suspended in September, -1983 in order for St. John to build a low income horsing project for sr. citizens. The shelter renewed operations at the Present location in January, 1984. Presently, the S;:elter uses 8 of the 9 units for emergency, temporary and transitional housing. The 9th unit is rented by a tenent who had a lease with the previous owner, and has not as Vet relocated. when the person does relocate, hopefully OCIS Will expand its program, to include this unit. OCIS has given priority to families, whatever their composition, and single wome -. 1n the = emperary hD'_,sina units eople may stay up to 2 months an C. participate in a Drogram that facilita_es tP:eir becoming self - sustaining. Residents are assisted in their job search (le cou, ^.seling, referral, interview, tecnnicues, resume writing) , and are then given counseling in budget management. OCIS has, iri COOpera1Wt a OCaI ban }a Strc - it sav -ngs program: whereby residents must save 70s of all income, so that by the end of their stay, they are in a position to fin-- adequate dwelling. Incentives are given so as to encourage savinas above the reauired 70 %. A 10€ donation to the shelter is asked of residents. This request is designed to guard the self- respect of the residents and give them the dignity of making a contribution.. Resident advisOrs, under the Supervision of a licensed social worker and marriage and family counselor, provide additional support services (ie counseling, referral) to the residents. Weekly house meetings provide a forum for residents to socialize and support one another and, together with the facility director, work out the daily household details. The emergency shelter unit provides ovenn�ght housing for up to three nights, with dinner and breakfast being provided. Referral information is given so that people have alternatives and direction to help themselves during the day. The emergency shelter is staffed so that referrals from hotlines or police departments can be received, and people housed, at any time, day or night. The Orange'County Fair Housing assisted with 395 complaints in the of Discrimination and Landlord /Tenant complaints in Fiscal Year 83 -84, from the City of Newport Beach residents. This indicates that City residents continue to face discrim- ination in housing and conflicts in rental situations. For the 11th year C.D.B.G. funding, please utilize our pre- vious proposals submitted to the City . These proposals outline our services and purpose. CBGA Funds Dear Sir, L 11, ange Coast Interfaith Shelter A Temporary- Emergency Housing Facility Orange Coast Interfaith Shelter is a 501 -C non profit corporation pro- viding emergency and temporary shelter to homeless people. We are requesting that the City of Newport Beach allocate $50,000.00 of their CBGA funds to complete the acquistion of the shelter. Homelessness is a problem that transcends all our communities. Each and every city has it's share of homeless people. In Newport Beach, for example, your low cost motels are filled with homeless people who are unable to muster enough resources for first and last months rent. Along with these many of the mentally ill are attracted to the beach communities. OCIS offers a regional solution,being the only shelter in the South County area, to care for the trulyneedy. Through our temporary housing, job counseling and family counseling programs people are given an opportunity to get back on their feet as productive members of our community. The cities of Costa Mesa, Irvine and Huntington Beach have all contri- buted towards the purchase of our nine unit complex. The County of Orange has also allocated money to the project.0ur purchase price was $430,000.00 based on a Fannie May appraisal. The remaining balance is $110,000.00. By paying down the mortgage another $50,000.00 we would free up $600.00 a month in mortgage costs that over a thirty year period would equal $259,200.00 in operating costs. Your target area for land acquistion is only a few blocks from the shelter. We are located just east of Placentia and 19th street, you are just west of that location. Advisory Committee: Jean H.
