Beach, CA 92661 I'm sure the petition``itself eitjilaF►is the reasoning behind my effort to keep the Newport trolieys ':'Even though they have onl =y been running less than a year, they already�`N ie a nostalgic effect on the people of Newport. Even though the 2500-names collected here :may pr�rve useI ss,as far as the decision to keep the trolleys running, I thought yob and the City Council would be interested to know that the citizens - =of Newport Beach do care about having some sort of bus system that travels mope into the out of the way areas in the city. Everyone mentioned our senior citizens,and how the.trolleys have made traveling around the city easier for them. Then`toa Lwas asked to mention that if by chance the city did keep.the trolleys, could they - extend their ftutes down to the end of Balboa -to the - ;;Wedge., up to the Hoag hAspital area and, then makie-ttops an,the- .:ocean side of -Coast highway so the senior citizens wouldn't have to cross that busy section of Corona del Mar. Dear Mayer Cox;' Another thing 'I felt you should know was -that people do realize the money that it takes to subsidize the trolleys. They all hoped that somehow by more advertising,and more positive publicity in the jlocal papers, people might start' supporting them more. Meanwhile, I had a` wonderful time meeting many friendly Newport Beach business men and women who were all more than willing to help me. 'Ot.signatures on the petitions. BACKGROUND: At the Study Session of November 24, 1986, the Council reviewed the attached report revealing the financial difficulties with the Newport Trolley. The Council referred the matter to the Off- Street Parking Committee which met on January 13, 1987. The Committee discussed the operating experience and the future possibilities for the Trolley. The Commitee noted that Newport Beach is not eligible for federal funds as is OCTD and the Laguna Beach Municipal Transit. Laguna Beach uses no municipal general funds, and all capital expenditures and operations costs are funded from grandfathered federal grants. No such funds are available to Newport Beach which must fund the Trolley from general tax funds. RECOMMENDATION: The Off - Street Parking Committee voted to recom- mend to the City Council that the present contract be terminated on January 31, 1987. BACKGROUND: After more than one year of review by the Off - Street Parking Committee, the City Council in March, 1986, approved a contract with American Trolley Lines (ATL) to provide service as follows: a) One -year experimental term b) Three vehicles c) Operating every day 10:00 a.m. to 10:00 P.M. d) 50C fare e) Route from Oasis Center, through Newport Center, to Balboa Pier With the intent to provide "seed money" until the operation be- came self - sufficient, the City agreed to guarantee American Trolley Lines a subsidy of $180,000. The subsidy was to be diminished by portions of the fare and advertising revenue. Additionally, the Irvine Company committed $50,000 to off- set the City's costs. The subsidy was to be paid to American Trolley Lines on a quarterly basis. Trolley operations began on June 1, 1986 with only two trolleys and normal start -up problems compounded by the Com- pany's under capitalization. In response, the City Council directed that subsidy payments be made as needed to keep the operation going. By mid -July three trolleys were operating relatively smoothly and a fourth trolley was added as a spare. Therefore OCTD carries approximately one million passengers annually in Newport Beach. The Laguna Beach Transit System carried 129,000 riders last year on its regular routes and another 136,000 riders on the summer time festival trams. A mix of people ride -the trolley, and over a third of them do so on weekends. No ridership surveys have been con- ducted but drivers report that seniors consistently use the service as do children in the afternoons and visitors on. weekends. The day shift (10:00 a.m. to 4:00 p.m.) carries 608 of the riders and the evening shift (4:00 p.m. to 10:00 p.m.) carries 408. Saturday and Sunday account for over 36% of all riders and each weekday accounts for 118 (Monday) to 148 (Friday). Predictably, ridership increases on warm, sunny days. Charters are also becoming popular as wedding parties, partygoers, and shopping tours fill the off -duty hours and the spare trolley. The trolley was used at the Performing Arts Center and other functions outside the City. RELIABILITY: A 20 -30 minute headway was important to the approval of the trolley system. The Off- Street Parking Committee and the City Council believed such convenience was necessary to attract riders. The system has been achieving this frequency even in peak traffic conditions if all three trolleys are operating. The City conducted a survey unbeknownst to.the trolley on a busy summer weekend (July 27 -28) and measured headways of 25 to 35 minutes all day. During less congested days, the oper- ator reports headways of 20 -30 minutes. The problem is keeping all three trolleys running. The vehicles experience maintenance problems stemming from both neglect before they came to Newport Beach and hard use since they arrived. Repair bills have totaled $30,000 to date. Driver performance and absenteeism contributed somewhat to reliability problems, but the driver force is stabilizing. On -line time has steadily improved so that there were only two days in October when less than three trolleys were operating. TO - MAYOR AND CITY COUNCIL - Page 4 The trolley maintenance is performed by the Texaco Service Station at San Joaquin and Jamboree which is reliable and speedy but expansive. The City has the capability to maintain the vehicles, .)ut the liability exposure would be excessive. In the opinion of staff, the operator is doing everything within rea3on to achieve the reliability of 20 -30 minute headways. ROUTE: The established route is serving well. The most popular stops are Fashion Island and Balboa Pier. Some park- and -ride activity has been observed at Fashion Island, and many riders use the trolley to visit Balboa. Other highly used stops in- clude the Oasis Senior Citizens Center, Park Newport, the Newporter Inn, Balboa Island Bridge, Pacific Coast Highway and Dover, and Lido Village. The route serves the most heavily traveled routes in busi- ness areas and still serves many residential areas. The Oasis lot serves as a park- and -ride for Corona del Mar, and Heights residents catch the trolley at Dover.: Vacationers from West Newport ride to Balboa. Practical advantages of the route include the use of OCTD stops, a distance allowing 20 -30 minutes headways, easy route recog- nition, and board -on- one - side -of- the - street and get- off -on- the- other. REVENUE: Disappointing ad revenues demonstrate no prospect of making the trolley self- sufficient. Only the accelerated subsidy pay- ments by the City have kept the trolley going, and a greater subsidy will be required to continue operations next year. This year, according to the payment formula in the contract, the total subsidy to American Trolley Lines should total $151,410. However, American Trolley Lines has received approxi- mately $96,000 through November,and subsidy payments have stabi- lized at $16,000 per month. Even at this rate, American Trolley Lines continues to lose money and the contractual amount will be exceeded by mid - March. To complete the program through May will require an additional $40,000. Depending on which figures are used, the subsidy ranges from $2.00 to $2.50 per passenger. These figures are summarized below. 0 0 TO: MAYOR AND CITY COUNCIL - Page 5 SUBSIDY PAYMENTS Maximum $180,000 less fares - 20,000 less interior ads - 6,640 less % of exterior ads - 1,950 Remainder: $151,410* less subsidy paid to date 96,000 remaining subsidy 55,410 * less $50,000 from TIC leaves City cost of $101,410. Continuation of the trolley will require a subsidy of $16,000 to $25,000 per month. Operation costs are approximately $33,000 per month, and fares and charter fees generate only $7,000 per month. Advertising, at best, can generate $10,000 per month and perhaps much less. Consequently, a subsidy must make up the difference. Few revenue sources are available except the City's General Fund. Conversations with federal agencies, OCTD, and OCTC re- veal that no special funds'are available, and the City would need to compete for existing funds which are in short supply. Some funds.may_be generated.by soliciting contributions and, possibly, by conditioning new developments. RECOMMENDATIONS: If the City Council wishes to discontinue the trolley.opera- tions, staff suggests that termination actions begin immediately because the operation continues to lose money. If the Council wishes to continue operations the next fiscal year, staff suggests that the Off- Street Parking Committee re- view the trolley operations and recommend a new contract. There are no contract restrictions or prohibitions on the advertising content which the operator may accept. However, the operator has stated that he will be guided by the City in this matter. Applicable case law allows governments to wholly prohibit political advertising on transit vehicles which they own and operate. However, governments may not select which political advertising is acceptable. Either all political advertising may be allowed or all must be prohibited. OCTD prohibits political advertising, but according to OCTD's advertising agent approximately 700 of transit districts nationwide allow political advertising. The Newport Trolley is not government owned, but it is subsidized by government. Considering the poor advertising sales and the revenue shortfall of the trolley, staff is inclined to advise the trolley operator to sell political advertising with the stipulation that it be available to all candidates and organ- izations which wish to purchase it. SUPPLEMENTARY PAYMENTS The company will pay, in addition to the applicable limit of liability: (a) all expenses incurred by the company, all costs taxed against the insured in any suit defended by the company and all interest on the entire amount of any judgment therein which accrues after entry of the judgment and before the company has paid or tendered or deposited in court that part of the judgment which does not exceed the limit of the company's liability thereon; (b) premiums on appeal bonds required in any such suit, premiums on bonds to release attachments in any such suit for an amount not in excess of the applicable limit of liability of this policy, and the cost of bail bonds required of the insured because of accident or traffic law violation arising out of the use of any vehicle to which this policy applies, not to exceed $250 per bail bond, but the company shall have no obligation to apply for or furnish any such bonds; (c) expenses incurred by the insured for first aid to others at the time of an acci dent, for bodily injury to which this policy applies; (d) reasonable expenses incurred by the insured at the company's request in assisting the company in the investigation or defense of any claim or suit, including actual lass of earnings not to exceed $25 per day. CONDITIONS 1. Premium: All premiums for this policy shall be computed in accordance with the company's rules, rates, rating plans, premiums and minimum premiums appli cable to the insurance afforded herein. Premium designated in this policy as "advance premium" is a deposit premium only which shall be credited to the amount of the earned premium due at the end of the policy period. At the close of each period for part thereof terminating with the end of the policy period) designated in the declarations as the audit period the earned premium shall be computed for such period and, upon notice thereof to the named insured, shall become due and payable. If the total earned premium for the policy period is less than the premium previously paid, the company shall return to the named insured the unearned portion paid by the named insured. The named insured shall maintain records of such information as is necessary for premium computation, and shall send copies of such records to the company at the end of the policy period and at such times during the policy period as the company may direct. 2. Inspection and Audit: The company shall be permitted but not obligated to inspect the named insured's property and operations at any time. Neither the company's right to make inspections nor the making thereof nor any report there- on shall constitute an undertaking, on behalf of or for the benefit of the named insured or others, to determine or warrant that such property or operations are safe or healthful, or are in compliance with any law, rule or regulation. The company may examine and audit the named insured's books and records at any time during the policy period and extensions thereof and within three years after the final termination of this policy, as far as they relate to the subject matter of this insurance. 3. Financial Responsibility Laws: When this policy is certified as proof of financial responsibility for the future under the provisions of any motor vehicle financial responsibility law, such insurance as is afforded by this policy for bodily injury liability or for property damage liability shall comply with the provisions of such law to the extent of the coverage and limits of liability required by such law. The insured agrees to reimburse the company for any payment made by the com pany which it would not have been obligated to make under the terms of this policy except for the agreement contained in this paragraph. 4. Insured's Duties in the Event of Occurrence, Claim or Suit: (a) In the event of an occurrence, written notice containing particulars sufficient to identify the insured and also reasonably obtainable information with respect to the time, place and circumstances thereof, and the names and addresses of the injured and of available witnesses, shall be given by or for the insured to the company or any of its authorized agents as soon as practicable. (b) If claim is made or suit is brought against the insured, the insured shall im- mediately forward to the company every demand, notice, summons or other process received by him or his representative. (c) The insured shall cooperate with the company and, upon the company's request, assist in making settlements, in the conduct of suits and in enforcing any right of contribution or indemnity against any person of organization who may be liable to the insured because of injury or damage with respect to which insurance is afforded under this policy; and the insured shall attend hearings and trials and assist in securing and giving evidence and obtaining the attendance of witnesses. The insured shall not, except at his own cost, voluntarily make any payment, assume any obligation or incur any expense other than for first aid to others at the time of accident. 5. Action Against Company: No action shall lie against the company unless, as a condition precedent thereto, there shall have been full compliance with all of the terms of this policy, nor until the amount of the insured's obligation to pay shall have been finally determined either by judgment against the insured after actual trial or by written agreement of the insured, the claimant and the company. Any person or organization or the legal representative thereof who has secured such judgment or written agreement shall thereafter be entitled to recover under this policy to the extent of the insurance afforded by this policy. No person or organization shall have any right under this policy to join the company as a party to any action against the insured to determine the insured's liability, nor shall the company be impleaded by the insured or his legal representative. Bankruptcy or insolvency of the insured or of the insured's estate shall not relieve the com parry of any of its obligations hereunder. 6. Other Insurance: The insurance afforded by this policy is primary insurance, except when stated to apply in excess of of contingent upon the absence of other insurance. When this insurance is primary and the insured has other insurance which is stated to be applicable to the loss on an excess or contingent basis, the amount of the company's liability under this policy shall not be reduced by the existence of such other insurance. When both this insurance and other insurance apply to the loss on the same basis, whether primary, excess or contingent, the company shall not be liable under this policy for a greater proportion of the loss than that stated in the applicable contribution provision below: (a) Contribution by Equal Shares. If all of such other valid and collectible insur. ance provides for contribution by equal shares, the company shall not be liable for a greater proportion of such loss than would be payable if each insurer contributes an equal share until the share of each insurer equals the lowest applicable limit of liability under any one policy or the full amount of the loss is paid, and with respect to any amount of loss not so paid the remaining insurers then continue to contribute equal shares of the remaining amount of the loss until each such insurer has paid its limit in full or the full amount of the loss is paid. (b) Contribution by Limits. If any of such other insurance does not provide for contribution by equal shares, the company shall not be liable for a greater proportion of such loss than the applicable limit of liability under this policy for such loss bears to the total applicable limit of liability of all valid and collectible insurance against such loss. 7. Subrogation: in the event of any payment under this policy, the company shall be subrogated to all the insured's rights of recovery therefor against any person or organization and the insured shall execute and deliver instruments and papers and do whatever else is necessary to secure such rights. The insured shall do nothing after loss to prejudice such rights. The mailing of notice as aforesaid shall be sufficient proof of notice. The time of surrender or the ef- fective date and hour of cancellation stated in the notice shall become the end of the policy period. Delivery of such written notice either by the named insured or by the company shall be equivalent to mailing. If the named insured cancels, earned premium shall be computed in accordance with the customary short rate table and procedure. If the company cancels, earned premium shall be computed pro rata. Premium adjustment may be made either at the time cancellation is effected or as soon as practicable after cancel- lation becomes effective, but payment or tender of unearned premium is not a condition of cancellation. 12. The City is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the Statutes of the State of California do the Charter of the City. B. The City desires that a transit system be operated within the City to serve residents and visitors. C. The City desires such transit system to consist of wheeled motor vehicles constructed to resemble old -time trolley cars. D. The City desires such transit system to follow the routes and hours of operation as contained herein. E. The Operator has the equipment, personnel, and financial resources required to operate a transit system as desired by the City. F. The City is agreeable to the expenditure of City funds to support and promote the operation of such transit system. G. The proposed agreement is mutually agreeable to the City and the Operator upon the terms and conditions herein. NOW, THEREFORE, in consideration of the foregoing recitals, the City and Operator do hereby mutually agree as follows: -1- y 1. TRANSIT SYSTEM. Operator shall maintain and operate a transit system within the City as follows: A. Vehicles. Operator shall operate three (3) or more vehicles as described on Exhibit "A," attached to this Agreement and incorporated herein by this reference. B. Term. Operator shall commence operating the transit system on June 1, 1986 and shall continue operations until May 31, 1987, subject to earlier termination as provided in Sections 14 and 15. Such period may be extended by mutual written agreement of the parties, but neither the City nor the Operator shall incur any obligation beyond the term contained herein prior to execution of the written agreement. C. Hours of Operation. Operator shall operate three (3) vehicles continuously between the hours of 10 :00 A.M. to 10:00 P.M. of every day of the week during the operation period, excluding Thanksgiving Day, Christmas Day and New Year's Day. D. Route and Stops. Operator shall route vehicles on City streets generally as depicted on Exhibit "B," attached to this Agreement and incorporated herein by this reference and on a schedule that is approved, in advance, by the City Manager. Minor revisions may be approved by the City Manager or his designee. Transit vehicles shall load and unload passengers at Orange County Transit District stops and at other locations as shall be approved by the City Manager or his designee. 2. PERSONNEL AND EQUIPMENT. Operator shall provide and maintain the following personnel and equipment needed to operate the transit system: A. Management. Operator shall provide an on -site Local Manager who is accessible to the public and City employees tc respond to both routine and emergency situations. The Local -2- RN O 0 a Manager shall be responsible for day -to -day operations of the transit system and shall be experienced and fully qualified. B. Drivers. Operator shall recruit, hire, train, license and in all respects supervise drivers of the vehicles. C. Maintenance. Operator shall maintain vehicles in good working order and provide all fuel, oil, lubricants, parts, and other maintenance items. City shall provide a location for overnight parking and off -duty storage of vehicles. D. Communications Operator shall equip each vehicle with appropriate radio or similar equipment to provide communications between each vehicle and between the Local Manager and each vehicle. Additionally, each vehicle shall be equipped with an on -board public address system. 3. PROMOTION AND PUBLIC RELATIONS. City shall assist Operator in promoting the use of the transit system by including notices in water bill mailings and other City publications. City shall provide decals or other adhesive signs to be placed on Orange County Transit District stop signs. City shall produce route maps of the transit system. City shall work with schools, churches, and civic groups to promote public awareness and use of the system. 4. REVENUE AND SUBSIDY. City and Operator agree that revenue generated by the transit system will cover the costs of the system, including a reasonable profit for Operator. To that purpose the City shall guarantee Operator a subsidy in the form and amount described herein. A. Fares. Operator shall charge each and every passenger a fare of fifty cents ($.50) when boarding a transit vehicle. Operator shall collect all and provide an accounting of all fare revenue. -3- B. Advertising Revenue. Operator may sell space on the interior and exterior of the transit vehicles for the placement of advertising placards. Operator may sell broadcast advertising on the public address systems contained on each vehicle. City will assist Operator to sell advertising to local businesses by contacting various business and civic organizations. C. Subsidy. City and Operator agree that the transit system will not be financially self- supporting during the term of this Operating Agreement. City shall provide to Operator a subsidy of an amount not to exceed One Hundred Eighty Thousand Dollars ($180,000.00) for the term of this Agreement which is to be paid in the form and manner described in Section D below. D. Method of Payment. City shall pay subsidy to Operator on a quarterly basis. Operator shall prepare an accounting and shall invoice City at the expiration of each three (3) months of the term of this Operating Agreement for an amount not to exceed Forty Five Thousand Dollars ($45,000.00) per quarter, less the following amounts: (1) Revenues received by Operator for interior placard advertising carried on vehicles during the three month invoice period. Prepaid amounts for advertising in advance of the invoice period shall be prorated for the entire invoice period. (2) Fifteen percent (15%) of all revenues received by Operator for exterior placard advertising carried on vehicles during the three month invoice period that is solicited by and through the City. Prepaid amounts for advertising in advance of the invoice period shall be prorated for the entire invoice period. (3) All fare revenue received during the three month invoice period up to a cumulative maximum of Twenty Thousand Dollars ($20,000.00) for the term of this Operating Agreement. All fare revenue received in excess of $20,000.00 during the one year term shall be retained by Operator. City shall verify invoice amounts and pay Operator within twenty (20) days of receipt of invoice. In no event shall the sum of the four quarterly payments made by City exceed the total sum of One Hundred Eighty Thousand Dollars ($1809000.00). -4- 7 5. RECORDS. Operator shall maintain complete and accurate records with respect to expenses, receipts and other such information required by City that relate to the performance of services under this Agreement, including, but not limited to, the operating hours of each vehicle, number of daily passengers carried by each vehicle and fare and revenue if generated by the transit system. Operator shall maintain accurate records on services provided in sufficient detail to permit an evaluation of services. All such records shall be maintained in accordance with generally accepted accounting principles and shall be clearly identified and readily accessible. Operator shall provide free access to the representatives of the City or its designees at all proper times to such books and records, and gives the City the right to examine and audit same, and to make transcripts therefrom as necessary, and to allow inspection of all work, data, documents, proceedings and activities related to this Agreement. Such records, together with supporting documents, shall be kept separate from other documents and records and shall be maintained for a period of three (3) years after receipt of final payment. 6. STANDARD OF CARE. Operator warrants and guarantees that all services performed hereunder shall be provided in a manner commensurate with the highest professional standards and shall be performed by qualified and experienced personnel. 7. INDEPENDENT PARTIES. The parties to this Agreement intend that the relation between them created by this Agreement is that of employer- independent contractor. The manner and means of conducting the work are under the control of the Operator, except to the extent they are limited by statute, rule or regulation and the express terms of this Agreement. No Civil Service status or other right of employment will be acquired by virtue of the Operator's services. None of the benefits provided by the City to its employees, including, but not limited to, unemployment insurance, workers' compensation insurance, retirement and deferred compensation plans, vacation and sick leave, are available from the City to the Operator, its employees or -5- :� • • agents. From any fees due the Operator, dedeuctions shall not be made for any State or Federal taxes, FICA payments, PERS payments, or other purposes normally associated with an employer - employee relationship. Payment of the above items, if required, are the responsibility of the Operator. 8. PROHIBITION AGAINST TRANSFER. This Agreement shall not be sold, assigned, trans- ferred or hypothecated by Operator without the prior written consent of City. Any attempted assignment, transfer or subletting without such consent shall be void and constitute a breach of this Agreement. In the event Operator desires to assign his interest in this Agreement to a person or entity, Operator shall submit in writing to City (i) the name of the proposed assignee; (ii) the nature of the proposed assignee's business and experience with same; (iii) the proposed assignment; and (iv) such financial and other information as City may reasonably request concerning the proposed assignee. City agrees not to unreasonably withhold its consent to an assignment provided that the proposed assignee has suitable financial strength, experience and character for operation of the transit system. If an entity succeeding to Operator's interest hereunder is deemed a public corporation under the then current guidelines of the California Corporations Commissioner or is an unincorporated association or partnership, the transfer, assign- ment or hypothecation of any stock or interest in such corpo- ration, association or partnership in the aggregate of more than fifty percent (50%) shall be deemed an assignment within the meaning of provisions of this Section. City's consent to assignment shall not relieve Operator from his obligations or liabilities under this Agreement nor act as a waiver of the requirement that such consent be obtained to any subsequent assignment. In the event Operator requests the consent of City, or City's consent is required for a proposed assignment or subletting of the Premises, then Operator shall pay City's reasonable attorneys' fees incurred in connection therewith, such attorneys' fees not to exceed FIVE HUNDRED DOLLARS ($500.00) for each such request. 9. TAXES. Operator shall pay all wages or salaries and all federal, state, and local taxes or contributions imposed or -6- a required under the Unemployment Insurance, Social Security, Income Tax, and Worker's Compensation laws, or under other laws respecting Operator's employees engaged in the performance of Operator's obligations hereunder, and shall indemnify, defend and hold City harmless with respect to any such obligation. 10. INSURANCE. On or before the commencement of the term of this Agreement, Operator shall furnish the City with certificates showing the type, amount, class of operations covered, effective dates and dates of expiration of insurance policies. It is agreed that Operator shall maintain in force at all times during the operation period of this Agreement all policies of insurance required by this Agreement, and that said policies shall be secured from a good and responsible company or companies, acceptable to City, and authorized as an insurance carrier in the State of California. Operator shall maintain the following insurance coverage: A. Liability Insurance. The general liability coverage shall provide a combined single limit policy with aggregate limits in the amount of $5,000,000. The policy shall provide liability coverage for all occurrences within the City. B. Worker's Compensation. All employees of the Operator must be included under such policy in an amount and with coverage sufficient to meet all requirements of the California Labor Code. C. Business Interruption Insurance. Operator shall provide and keep in force during the term of this Agreement, business interruption insurance or post a bond insuring that advertising revenues solicited or pre -sold by City can be rebated for the period of any interruption. D. Subrogation Waiver. Operator hereby waives any and all rights of recovery against the City, or against the employees, agents and representatives of the other, for loss of or damage to such waiving party or its property or the property of others under its control, where such loss or damage is insured under any insurance policy, whether or not required by this Agreement, in force at the time of such loss or damage. E. Failure to Secure. If Operator should fail to secure or maintain the foregoing insurance, City shall, after ten (10) days' notice to -7- /O do so, be permitted to obtain such insurance in the Operator's name or as an agent of the Operator. Operator shall pay all costs of the insurance premiums to City within ten days of notice specifying the sums due. Operator shall pay City interest on paid insurance premiums at the maximum rate permitted by law computed from the date premiums are paid. F. Additional Insured. City, its City Council, boards and commissions, officers, agents, servants, and employees shall be named as an additional insured under the policies of insurance required by this Agreement. Any other insurance held by City shall not be required to contribute toward any loss or expense covered by the insurance provided by this policy. G. Notice of Cancellation. All policies of insurance required by this Para- graph shall contain a provision which obligates the carrier tc give City at least thirty (30) days' written notice prior tc cancellation or amendment of the policy. 11. COMPLIANCES. Operator shall conduct all operations in accordance with all laws and comply with all federal, state or local laws, ordinances, rules and regulations applicable to such business, in effect or hereinafter adopted. 12. PERMITS AND LICENSES. Operator shall obtain, and maintain during the tern of this Agreement, all appropriate licenses, permits and certificates that may be required in connection with the provision of services hereunder and such licenses, permits, and such certificates shall be obtained at the sole cost of Operator. 13. HOLD HARMLESS. Operator shall indemnify, and hold harmless City, and its officers, employees, agents and representatives, from any and all claims, liabilities, loss, damage or expenses whatsoever, including reasonable attorneys' fees, regardless of the merit or outcome of any such claim or suit, which arise out of, or in any way related to, the following: (a) the use of City streets by the Operator; (b) any act or omission of Operator, or their officers, agents, employees, representatives or contractors conducted pursuant to this Agreement; and (c) any work or services performed or any material, equipment or supplies -8- a 42 0 0 furnished by Operator or their officers, employees, agents, representatives or contractors. The duty of Operator to indemnify, defend and hold harmless pursuant to this Section shall include, without limitation, claims, liability, losses, damages or expenses arising out of the death of, or injury to, any person or persons including Operator, or their officers, employees, agents, representatives or contractors, and any damage to, or destruction of, any property, including that owned by Operator or their officers, employees, agents, representatives or contractors. 14. DEFAULTS BY OPERATOR. The occurrence of any one or more of the following events shall constitute a material default and breach of this Agreement by Operator: A. The abandonment of the transit system by Operator. B. The failure by Operator to observe or perform any of the covenants, conditions or provisions of this Agreement to be observed or performed by Operator where such failure shall continue for a period of ten (10) days after written notice thereof from City to Operator; provided, however, that if the nature of Operator's default is such that more than ten (10) days are reasonably required for its cure, then Operator shall not be deemed to be in default if Operator commenced such cure within said ten (10) day period and thereafter diligently prosecutes such cure to completion. C. The making by Operator of any general arrangement or assignment for the benefit of creditors. D. Operator becomes a "debtor" as defined in 11 U.S.C. Section 101 or any successor statute thereto (unless, in the case of a petition filed against Operator, the same is dismissed within 60 days). E. The appointment of a trustee or receiver to take possession of substantially all of Operator's assets or of Operator's interest in this Agreement, where such seizure is not discharged within thirty (30) days. F. The attachment, execution or the judicial seizure of substantially all of Operator's assets or of Operator's interest in this Agreement, where such seizure is not discharged within thirty (30) days. G. The discovery by City that any financial statement given to City by Operator was materially false. -9- 15. DEFAULT BY CITY. City shall not be in default unless City fails to perform obligations required of City within a reasonable time, but in no event later than thirty (30) days after written notice by Operator to City specifying the nature of the alleged failure to perform such obligations. If the nature of City's obligation is such that more than thirty (30) days are required for performance then City shall not be in default if City commences performance within such thirty (30) day period and thereafter diligently prosecutes the same to completion. 16. NOTICES. All notices, demands, requests or approvals to be given under this Agreement shall be given in writing and shall be deemed served when delivered personally, or seventy -two (72) hours after the deposit thereof in the United States mail, postage prepaid, registered or certified, addressed as herein- after provided. COSTS OF LITIGATION. If any legal action is necessary to enforce any provision hereof or for damages by reason of an alleged breach of any provisions of this Agreement, the prevailing party shall be entitled to reasonable costs and expenses, including attorneys' fees, in such action or proceeding. 18. WAIVER. A waiver by the City of any breach of any term, covenant, or condition contained herein shall not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained herein whether of the same or a different character. -10- 13 .: • 0 19. ADMINISTRATION OF AGREEMENT. For the purpose of the administration of this Agreement by City, "City" shall mean the City Manager and any officer and employee of the City authorized by him to administer to contract. If Operator is dissatisfied with any action or decision of the City Manager, Operator may take the matter to the City Council for review. The decision by the City Council shall be final. 20. CAPTIONS FOR CONVENIENCE. The captions herein are for convenience and reference only and are not a part of this Agreement and do not in any way limit, define, or amplify the terms and provisions hereof. 21. GOVERNING LAW. This Agreement has been made and shall be construed and interpreted in accordance with the laws of the State of Cali- fornia. 22. MERGER OF NEGOTIATIONS. This Agreement represents the full and complete understanding of every kind and nature whatsoever between the parties hereto and all preliminary negotiations and agreements of whatsoever kind or nature are merged herein. BACKGROUND: At the Study Session of January 27, 1986, the City Council reviewed a proposal recommended by the Off - Street Park- ing Committee (OSPC) and directed staff to negotiate an agree- ment and to obtain commitments from local businesses for adver- tising. The following summarizes the proposal. 1. Vehicles. Three (3) bus - trolley vehicles. The OSPC believed these to be an attractive alter- native to OCTD buses. Three vehicles are neces- sary to provide 20 -30 minute headways along the proposed route. 2. Time. 10:00 a.m. to 10:00 p.m. every day during the one -year trial period except Christmas, New Years, and Thanksgiving. The OSPC believed daily operation and late hours were necessary to serve residents, weekend tourists, and late -night restaurant patrons. 3. Route. (See map.) The OSPC considered many routes and reviewed the current OCTD routes within the City. After discussions with the Operator, the proposed route was chosen, (a) to maximize ridership (b) to maximize ad revenues, and (c) to promote 20 -30 minute headways. (Continued) TO: MAYOR AND CITY COUNCIL - Page 2 The OSPC realized that many areas of the City are not served by this route, but recommended it to maximize the prospects for making the one -year experiment a success. The OSPC believed that if this route was not successful then none would be; and that if this route was successful then it could be expanded. 4. Fare. A fare of 50C will be charged all riders. No discounts for seniors or children, and no transfers with OCTD. The OSPC wanted to keep the fares simple and inexpensive. If the ex- perimental period proved successful, the OSPC believed changes in fare structure could be made later. The first $20,000 in fares will be returned to the City. Amounts in excess of that amount will be retained by the Operator as an incentive to promote ridership. 5. Advertising. The following business groups in the City were presented with the trolley adver- tising information. Newport- Harbor Area Chamber of Commerce (The trolley was highlighted on the cover of their "OUTLOOK" newsletter.) Newport Beach Restaurant Association. (The trolley was highlighted in their newsletter and presented at two meetings.) Corona Del Mar Chamber of Commerce Balboa Improvement Association Lido Village Merchants' Association Fashion Island Management Additionally, the Daily Pilot, the Ensign, and the Register ran stories mentioning advertising. While this is the maximum City cost, the projected cost is expected to be $90,370 computed as follows: Maximum subsidy $180,000 Interior ad revenues - $13,000 (Commitments received to date.) 15% of exterior ad revenues - $6,630 solicited by City (Based on commitments received to date.) Fares - $20,000 Irvine Company contribution in the form of either interior ads or direct subsidy. - $50,000 Projected Subsidy: $90,370 7. Agreement. An Operating Agreement is attached in- cluding exhibits displaying the vehicles and the proposed route.
