SUBJECT: AGREEMENT WITH HOAG HOSPITAL FOR WIDENING OF PACIFIC COAST HIGHWAY
RECOMMENDATION:
Approve Agreement with Hoag Hospital and authorize Mayor and City
Clerk to execute.
DISCUSSION:
Hoag Hospital anticipates that future development of the Hospital
property will require additional improvements to Pacific Coast Highway that are
not included in the improvements that will be financed by Caltrans as part of
the widening project between Newport Boulevard and Highland Street. These
improvements include a fourth westbound lane between the Newport Boulevard
• off -ramp and Highway Station 46 + 52 westerly of Superior Avenue; a traffic
signal at the Balboa Coves entrance; an underground storm drain between the
Newport Boulevard off -ramp and the signalized entrance; addition of 13 spaces to
the planned public parking lot at the northeasterly corner of Superior Avenue
and Pacific Coast Highway; widening of the planned median at the signalized
intersection to allow for a double left -turn lane from Pacific Coast Highway;
and the differential cost between a 12 foot wide concrete sidewalk and the
planned 8 foot wide A.C. walks.
The additional Hospital improvements are incorporated in the Agreement
with Caltrans that was approved by the Council on November 14th. The estimated
cost of these Hospital improvements is $738,771.
A summary of the Agreement is as follows:
Hospital shall:
1. Prepare plans and contract documents for proposed Hospital
improvements.
2. Obtain Caltran's and City's approvals of plans and contract
document for Hospital's improvements.

3. Grant to Caltrans the right -of -way required for the Hospital's
improvements.
4. Grant to City an easement for construction and maintenance of
traffic signal loops for the northerly leg of the traffic signal.

• 5. Pay City for the cost of constructing Hospital's additional
highway improvements, additional 13 parking spaces and 50% of the
total parking lot landscaping. The cost payable to the City shall
include the total bid price for the various items of work plus a
prorata share of the contractor's mobilization and survey costs,
and the City's contract administration and inspection.
6. Deposit with City upon demand, but not later than City awarding a
construction contract, an amount of $60,000. Thereafter to
reimburse City within 30 days after receipt of each monthly
billing for progress payments made by City to contractor.
7. Reimburse City for cost of constructing portion of future Hospital
access road from Superior Avenue. Reimbursement will be due City
immediately upon Hospital's extension of parking lot entrance road
to the westerly boundary of Hospital property.
City shall:
1. Administer a construction contract for the project including
• Hospital's additional improvements.
2. Invoice Hospital for monthly progress payments made to the
Contractor for construction of the Hospital's improvements.
City and Hospital mutually agree:
1. If the City and /or Caltrans remove the public parking lot, then
neither City or Caltrans will be responsible for the replacement
of any parking paid for by Hospital.
2. Hospital is paying 50% of cost of landscaping parking lot as
consideration for use of public property for construction of 13
additional parking spaces.
3. The 13 additional parking spaces constructed at Hospital's expense
will become part of the public parking lot to be operated by City
and Hospital will have no ownership interest or preferential use
of the spaces.
4. If in the future a condition for a California Coastal Commission
• permit for development of adjacent Hospital property requires
Hospital to provide public parking, the 13 parking spaces may be
used as a credit towards the public parking requirement. Parking
credits will not be allowed for any City code required parking.
5. The construction of the additional street and parking improvements
by Hospital does not constitute approval by City of any future
development on the adjacent Hospital property.

AGREEMENT

PACIFIC COAST HIGHWAY WIDENING FOR HOAG HOSPITAL
THIS AGREEMENT, is made and entered into this 30th day of November,
1988, between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter
referred to as "CITY ", and HOAG MEMORIAL HOSPITAL PRESBYTERIAN, a California
Corporation, hereinafter referred to as "HOSPITAL ".
WITNESSETH:
WHEREAS, CITY has entered into an agreement with the California
Department of Transportation for the preparation of drawings and contract docu-
ments for the widening of Pacific Coast Highway between Newport Boulevard and
Highland Street, hereinafter referred to as "PROJECT "; and
WHEREAS, construction of said project is now scheduled to begin in
January 1989; and
WHEREAS, HOSPITAL is the owner of undeveloped property adjacent to a
portion of Pacific Coast Highway that is included in PROJECT; and
WHEREAS, HOSPITAL anticipates that future development of the HOSPITAL
property will require additional improvements to Pacific Coast Highway and
parking not presently included in PROJECT; and
WHEREAS, the future construction of the additional HOSPITAL street and
parking improvements after PROJECT is completed will increase the construction
cost of these improvements because of demolition and relocation of improvements
constructed as part of PROJECT; and
WHEREAS, HOSPITAL desires to include the additional street and parking
improvements in the project in order to affect a cost savings; and
WHEREAS, HOSPITAL is willing to pay for the costs of adding the addi-
tional improvements to the PROJECT; and
WHEREAS, CITY is willing to include the additional HOSPITAL street and
parking improvements in PROJECT in order to minimize the adverse impacts on
traffic that the separate future construction of the HOSPITAL improvements would
cause; and

• J WHEREAS, HOSPITAL is acquiring an easement from Caltrans for future
access between Superior Avenue and the HOSPITAL property; and
WHEREAS, Caltrans is constructing a public parking lot adjacent to
Superior Avenue and that in order to minimize access onto Superior Avenue, CITY
desires to construct parking lot entrance road over future HOSPITAL access
easement that will conform in horizontial alignment and grade to the access road
planned by HOSPITAL; and
WHEREAS, CITY and Caltrans plan construction of a public parking lot
between Superior Avenue and the HOSPITAL's property that will be operated by
CITY; and
WHEREAS, the California Coastal Commission as a condition of the permit
for the additional improvements is requiring HOSPITAL to provide 13 additional
parking spaces and the above described parking lot is capable of being expanded;
NOW, THEREFORE, BE IT RESOLVED that for and in consideration of the
mutual promises and agreements contained herein, the parties do agree as follows:
1. HOSPITAL SHALL:

a. Prepare plans and contract documents for proposed HOSPITAL

documents for proposed HOSPITAL improvements.
c. Grant to Caltrans the right -of -way required for the construc-
tion of the proposed HOSPITAL street improvements.
d. Grant to CITY an easement for construction and maintenance of
traffic signal loops for the northerly leg of the proposed traffic signal. Said
easement is shown on a drawing marked Exhibit "A" attached hereto and by this
reference incorporated herein.
e. By executing this agreement, grant City right -to -enter to
construct drainage facilities and grading on HOSPITAL property that are shown on
plans.
f. Pay CITY for the cost of constructing HOSPITAL'S additional
highway improvements, additional 13 parking spaces and 50 percent of parking lot
landscaping as setforth in Exhibit "B" attached hereto and by this reference
incorporated herein. Said costs payable to CITY shall include the total bid

prices for the various items of work plus a prorata share of the contractors
mobilization and survey costs, and the CITY'S cost of contract administration
and inspection.
g. Obtain an encroachment permit from Caltrans for construction of
proposed HOSPITAL improvements within Caltrans right -of -way.
h. Deposit with CITY upon demand, but not later than prior to CITY
awarding a construction contract for the project, an amount of $60,000.
Thereafter, to reimburse CITY within 30 days after receipt of each monthly
billing for monthly progress payments made by CITY to contractor for HOSPITAL's
improvements setforth in Exhibit "B" plus a prorata share of construction
engineering and administration costs incurred by CITY.
i. Reimburse CITY for cost of constructing portion of future
HOSPITAL access road from Superior Avenue. The estimated cost to be reimbursed
is setforth in Exhibit "C." Reimbursement will be due CITY immediately upon
HOSPITAL's extension of parking lot entrance road to the westerly boundary of
HOSPITAL property.
2. CITY SHALL:
a. Administer a construction contract for the PROJECT including
HOSPITAL'S additional improvements as setforth in Exhibit "B ".
b. Award a construction contract for the PROJECT, including
HOSPITAL'S additional improvements, as setforth in Exhibit "B ". The award of
contract will be subject to approval by Caltrans and the availability of funds.
c. Invoice HOSPITAL for monthly progress payments made to the
contractor for construction of the HOSPITAL'S improvements as setforth in
Exhibit "B" plus a prorata share of mobilization and survey costs. In addition
CITY shall charge HOSPITAL a prorata share of construction engineering and
administration costs incurred by CITY.
d. Retain all books, documents, papers, accounting records and
other evidence pertaining to costs incurred for construction of HOSPITAL'S
improvements as setforth in Exhibit "B" and Exhibit "C" and make such materials
available to HOSPITAL at all reasonable times during the construction period and
for one year from the date of final payments under this agreement.

e. Upon completion of construction of HOSPITAL'S improvements as
setforth in Exhibit "B" and Exhibit "C" and acceptance of the work by the CITY,
CITY shall provide HOSPITAL with an itemization of all costs chargeable against
HOSPITAL'S deposit.
f. Refund to HOSPITAL within 60 days after completion of the
PROJECT and acceptance by CITY any unexpended funds remaining in HOSPITAL'S
deposit.
3. It is mutually understood and agreed as follows:
a. If the CITY and /or Caltrans remove the public parking lot
between Superior Avenue and the HOSPITAL, neither the CITY or Caltrans will be
responsible for the replacement of any parking paid for by HOSPITAL.
b. HOSPITAL is paying 50 percent of cost of landscaping parking
lot as consideration for use of public property as area for construction of 13
additional parking spaces.
c. The 13 additional parking spaces constructed at HOSPITAL's
expense will become part of a public parking lot to be operated by CITY and
HOSPITAL will have no ownership interest or preferential use of said spaces.
d. If in the future a condition for a California Coastal
Commission permit for development of adjacent HOSPITAL property requires
HOSPITAL to provide public parking, the 13 parking spaces may be used as a
credit towards said public parking requirement. Parking credits will not be
allowed for any CITY code required parking.
e. The construction of the additional street and parking
improvements by HOSPITAL does not constitute approval by CITY of any future
development on the adjacent HOSPITAL property.
f. This agreement represents the full and complete understanding of
every kind or nature whatsoever between the parties hereto and all preliminary
negotiations and agreements of whatsoever kind or nature are merged herein. No
verbal agreement or implied covenant shall be held to vary the provisions hereof.
Any modification of this Agreement will be effective only by written execution
signed by both CITY and HOSPITAL.

g. All notices which may be given hereunder shall be in writing
and, if given to City, may be given personally to the Mayor, City Manager or
City Clerk of City or may be mailed by first class mail with postage prepaid to
3300 W. Newport Boulevard, Newport Beach, California 92663, and, if given to
HOSPITAL, may be given personally to an officer of HOSPITAL or may be mailed by
first class mail with postage prepaid to 301 North Newport Boulevard, Newport
Beach, California 92663. Either party may give written notice to the other of
a different address to which notice by mail should be sent.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement on
the dates set forth opposite their respective signatures.

1. Additonal 12 foot wide traffic lane between the Highway 55 off -ramp
intersection with Pacific Coast Highway and Station 46 + 52.49
westerly of Superior Avenue, including grading, sub -base, base,
asphalt concrete pavement and traffic striping and markings.
2. Differential cost for a double left -turn lane for west bound traf-
fic at the proposed traffic signal to be located at the Balboa
Coves access point. The differential shall include the cost of all
grading, base, paving, median paving, median landscaping, traffic
striping and marking, and traffic signs in excess of the cost of
the planned PROJECT improvements consisting of a 14 -foot wide
raised landscaped median.
3. Traffic signal at Balboa Coves access.
4. Differential cost between a 12 foot wide concrete sidewalk and an 8
foot wide asphalt concrete sidewalk adjacent to Hospital property
