RECITALS i. STATE and CITY, pursuant to Streets and Highways Code Section 114, are authorized to enter into a cooperative agreement Or improvements to State Highway within CITY. 1\ 2. STATE is prepared to authorize CITY to assist in the design of improvements to Newport Boulevard from And Street to Pacific Coast Highway, State Route I in the City of Newport Beach, referred to herein as "PROJECT". Newport Boulevard between Finley Avenue and Pacific Coast Highway in State Route 55. 3. CITY desires to prepare plans, specifications, and estimates, referred to herein as PS&E, for PROJECT in order to bring about the earliest possible construction of PROJECT. 4. The California Transportation Commission has specified that the State Highway portion of PROJECT will be developed with 50% STATE and 50% Local Agency. funding. 5. STATE and CITY do mutually desire to cooperate in the design of PROJECT and desire to specify herein the terms and conditions under which PROJECT is to be designed. -2- SECTION' I STATE AGREES: f, 3. To provide CITY with necessary regulations, policies, procedures, manuals, standard plans and specifications, and other standards required for the preparation o-1- PS&E for PROJE'C'T. 2. To provide exaqples of Requests for Quali f icati ns and Requests for Proposals including the scope o -A"., work 1for CITY use Ln procuring consultant assistance, to advise CITY on consultant procurement procedures, and to participate in consultant. selection, it CITY alects to retain one or more consultants to carry out the teras fL-' this Agreement. 3. To work witin CITY to assure that required State and Flederai procedures are followed and approvals obtained. 4. To provide prompt. reviews and approvals as appropriate of submittals by CITY, and to cooperate in tiiiiely processing of PS&E. 5. To reimburse CITY for SW.NE's share of PROJECT as described in Section III, Article 2 of this Agreement. IV 6. To deposit with CITY within 45 days of execution of this Agreement, of the estimated costs for STATE's share for any work on PS&E Uy CITY Lorces and to reinburse CITY within 45 days ater receipt of billing, for STAIPE's share of all non -salary expenses, and actual and direct labor costs plus fringe benefits and overbead. Any STATE funds remaining with CITY shall be returned to STATE within 45 days alter completion and acceptance of PS&E of PROJECT. 7. To deposit with CITY within 45 days of execution of any consultant contract, 25% of STATE'share of the estimated cost of such contract, and to reiidours e CITY within 45 days after receipt of billing, any CITY payments of STATE' s share of co��ts made to consultant. Any STATE funds remaining with CITY shall be returned to STATE within 45 days a-fter terAination of consultant contract. a. To deposit additional funds if during the course of preparing PS&E, the advance dleposits provided for under Sections (5) and (6) above, are found to be substantially under the amount idnich is requ-L red to cover the estimated final cost of the work. If the deposit issubstantiall-Jv over haat required, the excess should be refunded as 4;oon as possible. 9. To provide necessary encroachment permits, and all rights of entry and perwits to enter related to PS&E preparation including but not litaited to those required for design investigations and surveys. 10. To pre.pare PS&E for widening the Foute 55 bridge and abutments over Newport Channel. Preparation of the bridge PS&E, will be coordinated with CITY in order that the bridge P may be included as part of the final PS&E for PROjECT. Costs of preparation of bridgePS&E shall be shared as described in Section ill, Articles 2 through 5 of this Agreement. 11. To be available during construction of PROJECT to interpret the ME, and review and recommend approval of change orders, required shop plans, jalsework designs, and other working drawings related to plans prepared by STATE. 12. To obtain, in cooperation with CITY, necessary permits and approvals for construction V PROJECT, at no cost to CITY. In the event that railroads are involved, STATE will coordinate with railroad and California Public utilities commission and obtain needed approvalu. 13. To provide all right-of-way related information and services required for PROjECT inclQding but not limited to appraisals, acquisition and coordination with and notice to utility companies to relocate. CITY and STATE will share the cost of all right-of-way related activities as prorated in Section 111, Article 2 of this Agreement. SECTION 11 CITY AKREES: 1. To prepare P for PROJECT with CITY and/or consultant forces. The ME are to be prepared in accordance with TAT `s laws, rules, regulations, policies, procedures, manuals, standard plans and specifications, and other standards including compliance with Federal Highway Administration (FHWA) requirements, as provided by STATE in accordance with Section 1, Article 1 of thia Agreement. ME are to be subject to ongoing review and formal draft and final review and approval by STATB and FHWA. CITY' and/or its consultants shall not incorporate in the design any materials or equipment of single or sole source origin without the written approval of STATE. 2. To obtain STATE's approval of any Requests for Qualifications and Reque4ts for Proposals prior to distribution for any work to be performed by consultant; to obtain STATE's approval as to proposed selection processes for any consultant, of the actual consultant selected it any, and of any contract with a consultant for PS&E, before said contract is executed by CITY. 3. To furnish STATE with written monthly progresa reports during the period when the PS&E are being prepared. -6- 4. To prepare the final design documents and drawings of architectural, structural, mechi-xnical, ealectrical, civil, or other engineering features of p- n jL,,c,)JE(--1j1 by or under the directio of architects or engineers registered and licensed 111 Cline applicable profeasional field in the State of California. Any reports, the 4pecifications, and each sheet of ��hall bear the professionalsezAi, certificate number, registration classification, e;,�j),ration (late, of certificate, and signature of the professional engineer responsible for their preparation. 5. To be available or have its consultants availdblc- dur'-'Ln��l constructionof PROJECT to interpret the pS&E, and review and a- 7� recoramen approval of change orders, required shop I lans, lalsework designs, and other working drawings related to plans prepared by CITY. 6. To make all necessary corrections and furnisb the corrected product to ST11jTE, wit'n"in a reasonable time to be specified by STATE if, during the course of construction, errors or omissions are discovered in any of the plans, S-PGcificatiOns, or e��Atiumat ,-,s whic�i the CITY or its consultants have provided pursuant to 1 --his Agreement. 7. To reimburse STNrE for CITY' share of PROJECT costs as described in Section III, Articl2 through 5 of this Ng: eement. M 8. To submit signed itemized invoices, in triplicate, with speciiic details of all costs incurred during the period of the invoice. Invoices will meet format and content requirements specified by STATE. Each invoice shall Oe submitted to the State Project Manager for approval and Lorwarding to the appropriate Accounting office for payment. 9. To retain all books, documents, papers, accounting records, and otherevidence pertaining to costs incurred, including support data ior cost proposals, and make such materials available at the respective oVices of the CITY and its subcontractors at all reasonable times during the contract period and for three years Kom the date ok final payment under the contract. The STATE, HWA, or any duly authorized representative of the Federal Government shall have access to any books, records, and documents of the CITY and its subcontractors that are pertinent to the contract for audits, examinations, excerpts, and transactions, and copies thereof shall be furnished it requested. SECTION III IT IS MUTUALLY AGREED: 1. All obligations of STATE under the terms of this Agreement are contingent upon the appropriation of resources by the Legislature. - 8- 2. CITY and STATE will each share the cost of all activities involved in the preparation and construction of PROJECT including but not limited to preparation of PS4E, all right -of" -way ,.-i &� ,ctJvJti----z including property acquisition and utility relocation, preparation of contract documental and advertising and -:, o,-1 the following State highway port - 501 STATV, 50% CITY City street portion - O� SETATE, I.GC% CITY -,he centerline of Tinley Avenue is the aividing line d street and 5-41athighway. 4. The total cost reimbursement payable by STATE to CITY under this Agreement will not exceed $100,000f and will be subject to audit verification as to all elements of costs and fees -harged. That STATE shall designate a State PrVect Coordinator and that CITY shall designate a representative through whom all communications between the two agencies shall be channeled. The State Project Coordinator shall review the work of CITY and its consultants, if any, and to obtain approvals as necessaryduring performance of PROJECT work. 7. upon completion of all work under this Agreement, ownerzhip and title to all engineering reports, documents, plans, specifications, and estimates including project engineer memos and estimates bacRups produced as part of PS&B will automatically be vested in STATE and no further agreement will be necessary to transfer ownership to STATE. CITY will furnish STATE all necessary copies of plans, specitications, and estimates to cohylete review and approval process, and upon completion of PSM will tranKer all PROJECT documents to STATE. 8. STATE and CITY shall work together to develop a schedule to complete PS &E so that PROJECT way be advertised for construction in the 1988/89 Fiscal Year. 9. STATE and CITY ahall negotiate a subsequent cooperative agreeMent tO Cover the Construction Of PROJECT when the details of PROJECT are better known. 10. it is understood and agreed that pursuant to Government Code 695.4, STATE shall, to the extent permitted by law, defend', indemnify and save harmless CITY, and its officers and employees from all claims, suits or actions of every name, kind and description brought for or on account of injuries to or death of any person or damage to property resulting from CITY' sperformance of this Agreement, excluding any injuries, death, damage or liability resulting from the negligence or willful misconduct of CITY, or its officers or employees. 11. No alteration or variation of the terms of this Agreement shall be valid unless made in writing and signed by the partial herAb-and no oral understanding or agreement not incorporated herein shall be binding on any of the parties hareto. 12. STATE reserves the right to terminate this Agreement upon written notice to CITY. At the time of termination, CITY will be paid for acceptable work accomplished and delivered, and for costs related to termination of any consultant contracts. All engineering documents, including raw data and draft plans, specifications, and estimates, prepared up to the time of termination shall become property of STATE. -11- 13.
