Ragglo City Clerk WER:pm Attachment 3300 Newport Boulevard, Newport Beach 0 AGREEMENT FOR CONSULTING SERVICES This Agreement is made this 12th day of October, 1987, by and between the City of Newport Beach, a municipal corporation, (hereinafter referred to as "City "), and Ted Kramp doing business as Cardinal Systems whose address is 8855 Atlanta, Suite 357, Huntington Beach, CA 92646, (hereinafter referred to as "Contractor "), is made with reference to the following: RECITALS: A. The City is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of the City. B. The City and Contractor desire to enter into an Agreement for data processing consultant services upon the terms and conditions herein. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows: 1. Term. The term of this Agreement shall commence upon the 12th day of October, 1987, and shall terminate as set forth herein. 2. Services to be Performed by Contractor: Consulting assistance to acting data processing manager and project management services for the City's Geographic Information System, during design test; implementation, and production. Other tasks relating to Geobase as required. 3. Compensation to Contractor. In consideration of the performance of specified services under this Agreement, Contractor shall be compensated as follows: A. Base pay of seventy dollars ($70.00) per hour for hours worked pursuant to this Agreement, payable on a bi- weekly basis. Set hourly rate shall be considered just compensation including all fringe benefits. B. Contractor shall maintain and submit complete records of time expended pursuant to this Agreement corresponding to City's payroll schedule. C. The total compensation to be paid to Contractor for services performed under this Agreement shall not exceed twenty - five thousand ($25,000) dollars. -1- 0 f 4. Independent Parties. The parties to this Agreement intend that the relationship between them created by this Agreement is out of employer- independent contractor. No civil service status or other right of employment will be acquired by virtue of the Contractor's services. 5. Termination. This Agreement may be terminated by either party by giving fourteen (14) days written notice prior to such termination. Upon termination of this Agreement, the City shall pay to Contractor that portion of compensation specified in this Agreement that is earned and unpaid prior to the effective date of termination. 6. Integrated Contract. This Agreement represents the full and complete understanding of every kind or nature whatsoever between the parties hereto and all preliminary negotiations and agreements whatsoever kind or nature are merged herein. Any modification of this Agreement will be effective only by written execution signed by both City and Contractor.
