(hereinafter referred to as "City "), and THE BUTLER ROACH GROUP. INC.
whose address is 1660 North Hotel Circle Drive, Suite 606, San Diego,
California 92108 (hereinafter referred to as "Consultant "), is made with
reference to the following:
RECITAIS:
A. The City has determined that it requires an Environmental
Impact Report for the General Plan Review.
B. Consultant agrees to prepare said report.
C. City desires to have said report prepared by Consultant.
NOW, THEREFORE, in consideration of the foregoing, the parties
hereto agree as follows:
1. GENERAL
Consultant agrees to prepare the subject study in accordance with
the requirements set forth in Paragraph 2 of the Agreement. City agrees to
remit to Consultant the amounts set forth in Paragraph 3 of this Agreement
in accordance with the terms and conditions set forth in this document.
2. SCOPE OF WORK
The subject study will be prepared in accordance with the Califor-
nia Environmental Quality Act, (CEQA), the State CEQA Guidelines, the
Consultant proposal dated April 22. 1988, and designed as Exhibit "A"
attached; and City Policy respectfully; and by reference incorporated herein
at this point as if fully set forth.
3. BILLING AND PAYMENT
Consultant shall be paid under this Agreement on a time and
material basis and shall not exceed fifty -six thousand, four hundred sixty
dollars and no cents ($56,460.00). Partial payments shall be made by City
to Consultant upon Consultant's presentation of statements verifying the
time and material costs incurred by it in connection with this Agreement.
4. STANDARD OF CARE
Consultant agrees to perform all services hereunder in a manner
commensurate with the community professional standards and agrees that all

services will be performed by qualified and experienced personnel who are
not employed by the City nor have any contractual relationship with the
City.
5. INDEPENDENT PARTIES
City and Consultant intend that the relation between them created
by this Agreement is that of employer- independent consultant. No civil
service status or other right of employment will be acquired by virtue of
Consultant's services. None of the benefits provided by City to its
employees, including but not limited to unemployment insurance, worker's
compensation plans, vacation and sick leave are available from City to
Consultant, its employees or agents. From any fees due Consultant, deduc-
tions shall not be made for any state or federal taxes, FICA payments, PERS
payments, or other purposes normally associated with an employer - employee
relationship. Payments of the above items, if required, are the respon-
sibility of Consultant.
6. SUBCONTRACTOR APPROVAL
Unless prior written consent from the City is obtained, only those
people and subcontractors whose names and resumes in this Agreement and any
attachments thereto shall be used in the performance of this Agreement.
7. HOLD HARMLESS
Consultant shall indemnify and hold harmless City, its City
Council, boards and commissions, officers and employees from and against any
and all loss, damage, liability, claims, suits, costs and expenses what-
soever, including reasonable attorneys' fees, regardless of the merit of any
such claim or suit arising from or in any manner connected to Consultant's
negligent performance of services or work conducted or performed pursuant to
this Agreement.
Consultant shall indemnify and hold harmless City, its City
Council, boards and commissions, officers and employees from and against any
and all loss, damage, liability, claims, suits, costs and expenses what-
soever, including reasonable attorneys' fees, accruing or resulting to any
and all persons, firms or corporations furnishing or supplying work,
services, materials, equipment or supplies arising from or in any manner
connected to the Consultant's negligent performance of services or work
conducted or performed pursuant to this Agreement.

8. PROHIBITION AGAINST TRANSFERS
Consultant shall not assign, sublease, hypothecate, or transfer
this Agreement or any interest therein directly or indirectly, by operation
of law or otherwise. Any attempt to do so without said consent shall be
null and void, and any assignee, sublessee, hypothecate or transferee shall
acquire no right or interest by reason of such attempted assignment,
hypothecation or transfer.
The sale, assignment, transfer or other disposition of any of the
issued and outstanding capital stock of Consultant, or of the interest of
any general partner or joint venturer or syndicate member or cotenant if
Consultant is a partnership or joint venture or syndicate or contenancy,
which shall result in changing the control of Consultant, shall be construed
as an assignment of this Agreement. Control means fifty percent (508) or
more of the voting power of the corporation.
9. PERMITS AND LICENSES
Consultant, at its sole expense, shall obtain and maintain during
the term of this Agreement, all appropriate permits, licenses and certifi-
cates that may be required in connection with the performance of services
hereunder.
10. REPORTS
Each and every report, draft, work product, map, record and other
document reproduced, prepared or caused to be prepared by Consultant
pursuant to or in connection with this Agreement shall be the exclusive
property of the City.
No report, information or other data given to or prepared or
assembled by the Consultant pursuant to this Agreement shall be made
available to any individual or organization by the Consultant without prior
approval by the City.
Consultant shall, at such time and in such form as the City may
require, furnish reports concerning the status of services required under
this Agreement.
11. RECORDS
Consultant shall maintain complete and accurate records with
respect to sales, costs, expenses, receipts and other such information
required by City that relate to the performance of services under this
Agreement.

Consultant shall maintain adequate records of services provided in
sufficient detail to permit an evaluation of services. All such records
shall be maintained in accordance with generally accepted accounting
principles and shall be clearly identified and readily accessible. Consul-
tant shall provide free access to the representatives of the City or its
designees at l^ er times to such books and records, and gives the City
the right to examine and audit same, and to make transcripts therefrom as

12. NOTICES
All notices, demands, requests or approvals to be given under this
Agreement, shall be given in writing and conclusively shall be deemed served
when delivered personally or on the second business day after the deposit
therof in the United States Mail, postage prepaid, registered or certified,
addressed as hereinafter provided.

13. TERMINATION
In the event Consultant hereto fails or refuses to perform any of
the provisions hereof at the time and in the manner required hereunder,
Consultant shall be deemed in default in the performance of this Agreement.
If such default is not cured within a period of two (2) days after receipt
by Consultant from City of written notice of default, specifying the nature
of such default and the steps necessary to cure such default, City may
terminate the Agreement forthwith by giving to the Consultant written notice
thereof.

The City shall have the option, at its sole discretion and without
cause, of terminating this Agreement by giving seven (7) days' written
notice to Consultant as provided herein. Upon termination of this Agree-
ment, each party shall pay to the other party that portion of compensation
specified in this Agreement that is earned and unpaid prior to the effective
date of termination.
14. COST OF LITIGATION
If any legal action is necessary to enforce any provisions hereof
or for damages by reason for an alleged breach of any provisions of this
Agreement, the prevailing party shall be entitled to receive from the losing
party all costs and expenses in such amount as the court may adjudge to be
reasonable attorneys' fees.
15. COMPLIANCES
Consultant shall comply with all laws, state or federal and all
ordinances, rules and regulations enacted or issued by the City.
16. WAIVER
A waiver by the City of any breach of any term, covenant, or
condition contained herein shall not be deemed to be a waiver of any
subsequent breach of the same or any other term, covenant, or condition
contained herein whether of the same or a different character.
17. INTEGRATED CONTRACT
This Agreement represents the full and complete understanding of
every kind or nature whatsoever between the parties hereto and all prelim-
inary negotiations and agreements of whatsoever kind or nature ar merged
herein. No verbal agreement or implied covenant shall be held to vary the
provisions hereof. Any modification of this Agreement will be effective
only by written execution signed by both City and Consultant.

Agreement as of the date and year first above written.

Thank you for this opportunity to present a proposal to provide the necessary
environmental consulting services for the proposed General Plan Update. The
Butler/Roach Group, Inc. is well qualified to provide the necessary professional services
for preparation of the EIR and assistance at public meetings and hearings. We understand
that time is of the essence and are prepared to assist the Planning Department to meet the
schedule described in the enclosed proposal. Please accept this proposal as an expression
of our sincere interest in providing these services for you.
This proposal constitutes a formal offer by The Butler/Roach Group, Inc. to provide
environmental consulting services according to the scope of services, performance schedule
and cost estimate described herein. This offer is valid for a period of six months from the
date of this proposal. I will be the principal -in- charge and project manager, Ms. Marion

PROPOSAL
TO PROVIDE ENVIRONMENTAL SERVICES
FOR GENERAL PLAN UPDATE 87 -1
City of Newport Beach
The Butler/Roach Group, Inc. will provide the necessary environmental planning services to
prepare the Environmental Impact Report (EIR) for the proposed amendments to the Land Use
and Circulation Elements of the Newport Beach General Plan, and the Land Use Plan of the
Local Coastal Program, known collectively as General Plan Update 87 -1. We believe it would
be appropriate for the project description to also indicate that the EIR addresses related
rezonings to implement the General Plan Update. We will prepare the necessary
documentation for compliance with the City of Newport Beach's procedures for
implementation of the California Environmental Quality Act (CEQA), the State CEQA
Guidelines, and City policy. This proposal describes the anticipated scope of services,
performance schedule and cost estimate for The Butler/Roach Group's services to prepare the
• Screen Check Draft EIR, the published Draft EIR, and the Final EIR.
Scope of Services
Our basic scope of services will follow the City of Newport Beach's procedure for preparing
EIRs. We will prepare a Screen Check of the Draft EIR for your review and comments. We
will then make any necessary revisions and resubmit it for final approval before it is actually
issued by the City as a Draft EIR. At the end of the public review period, we will assist the
Planning Department with preparation of the responses to comments received during the public
review. The Final EIR will consist of the the Draft EIR and the Attachment, containing the
comments received during public review, the City's responses, and any additional material to
be included in the EIR as a result of the public review. We will assist the City with preparation
of the necessary candidate findings for the City Council's certification of the Final EIR (i.e.,
Statement of Facts and Findings, and Statement of Overriding Considerations). Finally, we
will prepare the file copies of the Final EIR for the Planning Department. The services
necessary to accomplish these tasks will include regular meetings with the Planning Department
and traffic consultant staff, and attendance at public meetings/hearings for the Draft and Final
EIR. A more specific description of the anticipated scope of services follows.
Notice of Preparation (NOP)
We will assist the Planning Department in preparation of the NOP, which should be sent out in
• early May. We propose.to assist in preparation of the content (text) of the NOP, and
understand that the Planning Department will develop the mailing list for the NOP and Notice
of Non - Statutory Advisement (Note: the combined list can serve as the mailing list for the
Notice of Completion for the Draft EIR).. It would probably also be most efficient for the
Planning Department to take care of mailing the notices. Consequently, we have not included
the actual mailing costs for the NOP, NOC and NNSA in our cost estimate.
Draft EIR
The Butler/Roach Group will prepare the EIR as a "Program" EIR, as described in Section
15168 of the State CEQA Guidelines. As such, the EIR for General Plan Update 87 -1 will
serve as the base environmental document for subsequent review of specific development

proposals and amendments to other elements of the General Plan. The contents of the EIR will
address the necessary topics identified by the State CEQA Guidelines, as described in the
"Scope of Services" section of the City's February 19, 1988 Request for Proposals.
The most significant portion of our efforts will, of course, be devoted to the analysis of
significant impacts that may be associated with the land use and circulation system alternatives.
In order to facilitate accomplishment of the accelerated schedule requested by the Planning
Department, it is understood that the following information will be provided to The
Butler/Roach Group:
1. definition and description of the land use and circulation system scenarios will be
provided by the Planning Department;
2. evaluation of the circulation system impacts generated by the land use alternatives and
circulation system alternatives will be provided by Austin -Foust Associates;
• 3. Austin -Foust Associates will assist The Butler/Roach Group in preparation of the
appropriate summary of traffic impacts for inclusion in the EIR text; and,
4. the existing land use base developed by the Planning Department and appropriate base
maps for use in the EIR will be furnished by the Planning Department.
Based on our meeting on April 6, 1988 and review of the RFP dated February 19, 1988, this
proposal and cost estimate are based on the assumption that the environmental impact analysis
will address five (5) land use scenarios and five (5) circulation system alternatives. At our
April 6th meeting, we discussed evaluation of five land use scenarios, including the Existing
(base) case, build -out at Trend Growth, build -out at 0.5 FAR modified by certain existing
conditions, and two other scenarios with different FAR conditions. These land use scenarios
will be tested by Austin -Foust Associates against the following circulation system alternatives:
existing system (for Existing case only), all planned regional growth and ultimate circulation
system configuration without the San Joaquin Hills Transportation Corridor ( SJHTC), and
with the SJHTC with certain modifications. It is anticipated that Austin -Foust will also provide
evaluation of the traffic and circulation effects of specific local street system alternatives,
including possible grade separations at major intersections on Coast Highway, and possible
deletion of the widening of Coast Highway through Manners Mile. We are assuming that all
future build -out scenarios will refer to the year 2010 for analysis purposes.
• We anticipate using two subconsultants to assist The Butler/Roach Group in preparation of the
environmental analysis. We will use Gordon Bricken & Associates to prepare a programmatic
environmental noise analysis for the alternative land use /circulation scenarios,. providing CNEL
noise contours for the major roadways (i.e., Newport/Balboa Boulevard, Coast Highway,
Jamboree, MacArthur and Irvine Avenue). Mr. Hans Giroux will assist us with preparation of
the programmatic air quality analysis, providing an evaluation of total emissions and carbon
monoxide "hot spots" for the major critical intersections near sensitive receptors (residential
populations). We have worked with these consultants for many years, including on our recent
preparation of the Master EIR for the Centre City Redevelopment Projects in San Diego.

In order to publish the Draft EIR within the desired timeframe, it will be important to follow the
schedule described in the following section of this proposal regarding completion of the
definition of the land use alternatives, and completion of the necessary traffic impact analysis.
This cut -off date is necessary to give The Butler/Roach Group adequate time to complete the
related environmental analyses (i.e., land use, air quality and noise) and to incorporate the
analyses into a complete first Screen Check EIR.
We will assist the Planning Department with preparation of the Notice of Completion, but as
stated above, anticipate it may be more efficient for the Planning department to actually
distribute the NOC and Draft EIRs. The Butler/Roach Group will deliver 190 copies of the
Draft EIR to the Planning Department for distribution, and we will be responsible for
delivering 10 copies to the State Clearinghouse. (Note: If it becomes obvious that it will be
more expeditious for The Butler/Roach Group to mail the NOC and copies of the Draft EIR,
we can accomplish that task and treat the mailing cost as a reimbursable, for direct
reimbursement from the City.) .
• Final EIR
The Butler/Roach Group will assist the Planning Department in preparing responses to the
comments received during the public review of the Draft EIR. We will also advise you if any
additional material should be included in the Final EIR as a result of any of the comments
received on the Draft EIR. We will prepare the candidate findings for the City Council's
consideration at the public hearing when the Council certifies the Final EIR. We expect the
candidate findings to be reviewed by the City Attorney before they are sent to the City Council.
Finally, we would suggest that the Planning Department be responsible for filing the Notice of
Determination with the County Clerk and State Clearinghouse.
Meetines
We anticipate attending biweekly project team meetings with Planning Department staff and
representatives from the traffic engineering consultant, starting next Thursday, April 28, 1988,
through publication of the Draft EIR. We would also expect some more frequent meetings at
the end of June as we are completing the Draft EIR for publication in early July. We have
assumed a total of eight (8) such project meetings for the purpose of the cost estimate. In
addition, we anticipate The Butier/Roach Group will provide support for Planning Department
staff at the Planning Commission and City Council hearings in July through October, with an
estimated total of eight (8) such meetings.
• Performance Schedule
The following description of our proposed performance schedule is prefaced by the
understanding that time is of the essence, and, considering the goal that the Draft EIR be
completed by early July (Planning Department schedule dated April 5, 1988), time is very short
for preparation of an adequate EIR for the comprehensive General Plan Update. We have
prepared the following schedule which we believe is reasonable and realistic, although it is
very accelerated for the task at hand. It provides for a Draft EIR to be released for public
review during the week of July 11, with a start date for the 45 -day public review no later than
July 15, 1988. While this is slightly later than the date assumed in the April 5, 1988 schedule,

we believe it is the minimum achievable schedule given the tasks to be accomplished, and
should provide the most realistic schedule for planning purposes.

(3) The Butler/Roach Group will prepare responses to comments on the Draft
EIR as they are received by the City; however, it is acknowledged that the majority of
comments are usually received at the end of the public review period.
Cost Estimate
Our estimated cost for completion of the scope of services within the performance schedule
described herein is Fifty Six Thousand Four Hundred Fifty Dollars ($56,450.00). The
attached cost estimate shows the estimated distribution of direct labor costs, subconsultants and
related direct expenses for completion of the Draft EIR and the Final EIR. This estimate
reflects the relative level of effort anticipated, based on our current understanding of the scope
of services as described herein. We request your understanding that a subsequent budget
amendment may be necessary if the actual scope of services differs significantly from that
described in this proposal.
• Direct Expenses
Anticipated direct costs associated with completion of the scope of services include material
costs for production of the EIR (i.e., photos, maps); printing costs for the various documents;
delivery of the Draft EIR to the State Clearinghouse; long distance phone; and, transportation
costs for meetings and delivery of materials to the Planning Department. The expected total
budget for direct costs is Four Thousand Four Hundred Thirty Four Dollars ($4,434.00), with
the anticipated distribution shown in the attached cost estimate.
Printing costs are estimated for the following quantities:
• 15 (total) Screen Check EIRs
• 200 Draft EIRs and 50 Technical Appendices (excluding the
Traffic Study Report which we understand will be printed separately)
• 35 Attachments to the Draft EIR
• 4 Final EIRs
The Butler/Roach Group, Inc. will invoice the City on a monthly basis for costs incurred
during the preceding 30 days, according to the terms and hourly rates shown on the attached
schedule. Invoices are payable upon receipt.
