I /We, the undersigned, are the property owners of land shown on the map attached as Exhibit 'A" and made a part of this document. 2. I /We petition you to undertake special assessment proceedings for the following described public improvements: The conversion of existing overhead electrical and communication facilities to underground locations in what is designated as CORONA HIGHLANDS, together with all other appurtenant work in connection therewith as necessary. For particulars, reference is made to the map attached hereto. 3. I /We understand: A. THAT the cost of the improvements will be charged to the land which benefits from the improvements, including our land; B. THAT a report will be prepared on the project, including plans and specifi- cations, a detailed cost estimate, and a division of the costs among the benefited parcels of land, and that you will conduct a public hearing on the report; C. THAT the cost of engineering, legal and other incidental expenses will be included in the project cost; 0. THAT each property owner may pay his assessment either in cash without interest or in installments with interest over a period of years. 4. I /We consent to other appurtenant work and acquisition that is, in the opinion of the legislative body, necessary to properly effectuate said improvements, and we hereby expressly waive the proceedings required and all limitations under the "Special Assessment Investigation, Limitation and Majority Protest Act of 1931 ", being Division 4 of the Streets and Highways Code of the State of California. 5. I /We request the initiation of proceedings for the conversion of existing over- head electrical and communication facilities to underground locations, pursuant to Chapter 28, Part 3, Division 7 of the Streets and Highways Code of the State of California. 6. I /We hereby further request that all efforts and attempts be made so that said proceedings and the Resolution of Intention can be adopted at the earliest time. The undersigned has made a valuation of the property within the Assessment District, and has determined that said property within the Assessment District is valued as follows: Per the Orange County Assessor's office, the land value of the above lot 149 is $48,463 as of 1975. Total lot area is 9,540 square feet. $48,463 ; 9,540 square feet = $5.08 per square foot. The easement is 100.57 feet in length and 4 feet in width for a total of 402.28 square feet. $700 ; 402.28 square feet = $1.74 per square foot. The acquisition is well below land value. 4. In order to obtain the easement, the property owner has agreed to a credit against the assessment in the amount of $700.00, and based upon the above valuation, it is determined to be in the best public interest and convenience to the property owners within the Assessment District and the City to authorize the application of the above credit to the parcel of the property owner to allow said credit. 5. DELINQUENCIES: In the event that thero is a default or a delinquency in the payment of any principal or interest installment by the property owner on said bonds, the bond- holder is entitled, as of January 2 or July 2, as the case may be, to immediately declare the entire amount of the unpaid assessment to be due and payable or to 0 0 direct or have the lot or parcel advertised in the manner and form as provided by the "Improvement Act of 1911 ". The foreclosure proceeding can be either pursuant to a sale procedure through the Office of the Treasurer, or through a judicial foreclo- sure through the Superior Court. The bonds and the assessments are payable to the Treasurer on each October 15 and April 15, as the case may be, and, on the next June 1 or December 1, if the assess- ment installment remains unpaid, a penalty is immediately added in the amount of two percent (2%) of the delinquent amount. A similar penalty of two percent (2%) is then added for each succeeding month as long as the assessments remain unpaid. The holder of the bond has remedies in case of default or delinquency, which are through a foreclosure action initiated either by the Treasurer or by a Court action through the local Superior Court. Under the Treasurer foreclosure proceedings, the property owner, upon the issuance of the Certificate of Sale, has a one (1) year period of redemption. The property owner also, up to the time of the sale of said property, has the right of either reinstatement of the delinquent bond, or, of course, redemption. Upon the end of the one year period of redemption, the Certifi- cate of Sale holder has the right to make application to the Treasurer for a deed to the property. The Certificate of Sale will bear interest at the rate of one percent (18) per month on the amounts included in the Certificate of Sale up to the time that the deed is to be issued. Under judicial sale procedures, there is no right of redemption; however, there is at least a 140 day waiting period between judgment and sale. DISCHARGE OF OBLIGATION: The property owner, at any time during the life of the bond, has the right to pay off the unpaid assessment by generally paying the unpaid principal amount, together with interest to the next installment date (January 2 or July 2, as the case may be). The legislative body also has the discretion as to whether or not to include in the Resolution of Intention the provision for a five percent (5%) redemption premium, and if the Resolution of Intention did so provide, then the property owner must also pay five percent (5 %) redemption on the unmatured principal at the time of the discharge of the obligation. If the payments are not made in the time as allowed by law, then penalties are applicable to said proceedings at the rate of two percent (2 %) per month on the unpaid amount. We would, therefore, like to take this opportunity to acquaint you with some of the main provisions of the 1913 Assessment Act proceedings under the California Streets and Highways Code so that you may be aware of each step in the procedure for this proposed improvement. The general administration of this district will be handled by the City of Newport Beach and all actions taken for improvements contained therein will be made by the City Council. The City Council has retained various consulting firms for Iassessment engineering, legal counsel, and other required ' services for the preparation of all necessary documents of which the assessment district will bear the entire cost. II The intent of this district is to provide a financial means for ' the property owners, as a group, to construct existing overhead utilities to underground. when working together as a group, ultimate improvements, such as these, are possible; whereas ' individually, it would be impractical or almost impossible to accomplish. II I. PRELIMINARY PROCEEDINGS Upon completion of the Engineer's Report (plans, specifications, cost estimates, diagram map and assessment roll), these are pre- sented to the City Council for adoption. Prior to adoption of the Engineer's Report, the City Council will adopt the Resolution of Intention indicating their intention to form a special assess- ment district for the construction of the proposed improvements. Following the adoption of the Resolution of Intention and the Engineer's Report, each property owner is given notice by mail of the intention to form the proposed district, and said notice sets forth the date on which a public hearing will be held on the for- mation of the district and the work proposed to be constructed. Generally, these notices are received by the property owner approximately 30 days prior to the date of the public hearing. A notice will also be published in the newspaper and posted within the boundaries of the proposed assessment district. The Southern California Edison Company in conjunction with Pacific Bell will construct these improvements with qualified contractors. Agreements will be consummated between the utility companies and the city in determining the total construction costs. A few days prior to the public hearing, the Assessment Engineer will have adjusted all individual assessments reflecting actual costs and these may be obtained from the office of the City Engineer. 3 II. CONSTRUCTION Construction usually begins within a short time after contract award. The contractor's work will be inspected regularly and it must conform to the contract specifications which include numer- ous clauses to protect the property owner from damage to his property and require the contractor to clean up following his operations. Should there be any questions regarding the instal- lations, the City Inspector in the field will gladly discuss them with you, or you may contact the office of the City Engineer for desired information. III. ASSESSMENT FOR PAYING PROJECT COSTS Payment for the construction of said improvements under the Municipal improvement Act of 1913 is accomplished through the issuance of assessment bonds called 1911 Act bonds. The total 1 project cost may include such items as construction costs, legal fees, various engineering and attorney's fees, printing and publication charges, cost of servicing bonds, etc. The first undertaking of the Assessment Engineer, working closely with the City of Newport Beach, is to establish the district boundaries. These boundaries are generally determined upon the need and benefit from the improvements serving the properties. The Assessment Engineer then proceeds to establish a formula which will spread the final dollars to each individual parcel which benefits from the proposed improvements. 4 The total cost for this improvement is then spread proportionally over every parcel of land within the District that will benefit by the improvement. The exact method of making the assessment spread must be in accordance with the benefits received. Normal- ly, this is done on a unit basis, an area basis, or on a front foot basis, depending upon the improvement involved. Following the hearing on the assessment and formation of the district and, assuming the district has formed and the assess- ments are confirmed, a final assessment notice is mailed to each property owner based upon the final construction costs for which bids were received. Property owners then have thirty days in which to pay all or any portion of this assessment without interest or penalty. If the property owner elects not to pay the assessment, assessment bonds are sold to cover the remaining project costs. The assessment will be paid over a period of 15 years for this project. The life of the bond is normally deter- mined by the bond broker. We hope this information will answer any questions which may arise as a result of the assessment district. We would urge that you keep this information for future reference during the course of the project. TO BE OF MORE THAN LOCAL OR ORDINARY BENEFIT; DESCRIBING THE DISTRICT TO BE ASSESSED TO PAY THE COSTS AND EXPENSES THEREOF; AND PROVIDING FOR ISSUA14CE OF BONDS THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH, CALIFORNIA, DOES HEREBY RESOLVE AS FOLLOWS: SECTION 1. The public interest and convenience require, and it is the inten- tion of this body, pureunnt to the provisions of Division 12 of the Streets and Highways Code of the State of California (the "Municipal Improvement Act 1913 "), to order the construction of certain public improvements, together with appurtenances and appurtenant work, in a special assessment district known and designated me ASSESSMENT DISTRICT NO. 57 (CORONA HIGHLANDS UTILITY CONVERSION) (hereinafter referred to as the "ABBeeament District"). DESCRIPTION OF IMPROVEMENTS A. The conversion of existing overhead electrical and communica- tion facilities to underground locations, together with appurtenances and appurte- nant work, to serve and benefit properties located within the boundaries of the Assessment District and the area known as CORONA HIGHLANDS. B. Said streets, rights -of -way and easements shall be shown upon the plans herein referred to and to be filed with these proceedings. C. All of said work and improvements are to be constructed at the places and in the particular locations, of the forma, sizes, dimensions and materials, and at the lines, grades and elevations as shown and delineated upon the plane, profiles and specifications to be made therefor, as hereinafter provided. D. The description of the Improvements and the termini of the work contained in this Resolution are general in nature. All items of work do not necessarily extend for the full length of the description thereof. The plane and profiles of the work as contained in the Engineer's "Report" shall be controlling as to the correct and detailed description thereof. E. Whenever any public way is herein referred to as running between two public ways, or from or to any public way, the intersections of the public ways referred to are included to the extent that work shall be shown on the plane to be done therein. 0 F. Notice is hereby given of the fact that in many cases said work and improvement will bring the finished work to a grade different from that formerly existing, and that to said extent, said grades are hereby changed and said wark will be done to said changed grades. DESCRIPTION OF ASSESSMENT DISTRICT SECTION 2. That said improvements and work are of direct benefit to the properties and land within the Assessment District, and this legislative body hereby makes the expenses of said work and improvement chargeable upon a district, which said Assessment District is hereby declared to be the Assessment District benefited by said work and improvements and to be assessed to pay the costs and expenses thereof, including incidental expenses and costa and which is described as follows: All that certain territory in the District included within the exterior boundary lines shown on the plat exhibiting the property affected or benefited by or to be assessed to pay the costs and expenses of said work and improvements in the Assessment District, said map titled and identified as "PROPOSED BOUNDARIES OF ASSESSMENT DISTRICT NO. 57 )CORONA HIGHLANDS UTILITY CONVERSION) ", and which map was heretofore approved and which said or diagram is on file with the transcript of these proceedings, EXCEPTING therefrom the area shown within and delineated upon said map or plat hereinabove referred to, the area of all public streets, public avenues, public lanes, public roads, public drives, public courts, public alleys, and all easements and rights -of -way therein contained belonging to the public. For all particulars as to the boundaries of the Assessment District, reference is hereby made to said boundary map heretofore previously approved, and for a complete description of said Assessment District, the said plat and proposed boundary map on file shall govern. REPORT OF ENGINEER SECTION 3. That Chia proposed improvement is hereby referred to the SUPERINTENDENT OF STREETS, who is hereby directed to make and file the report in writing containing the following: A. Plane and specifications of the proposed improvements; B. An estimate of the coat of the proposed works of improvement, including the cost of the incidental expenses in connection therewith; C. A diagram showing the Assessment District above referred to, which shall also Show the boundaries and dimensions of the respective subdivisions 7 I I of land within said Assessment District, as the same existed at the time of the passage of the Resolution of Intention, each of which subdivisions shall be given a ' separate number upon said Diagram; D. A proposed assessment of the total amount of the assessable costs and expenses of the proposed improvement upon the several divisions of land in to benefits to be by subdivisions, proportion the estimated received such respectively, from said improvement. Said assessment shall refer to such ' diagram by the respective numbers thereof; subdivisions upon said E. The description of the works of improvement to be constructed under these proceedings, and acquisition, where necessary. When any portion or percentage of the cost and expenses of the improvements is to be paid from sources other than assessments, the amount of such portion or percentage shall first be deducted from the total estimated costs and expenses of said work and improvements, and said assessment shall include only the remainder of the estimated costs and expenses. Said assessment shall refer to said subdivisions by their respective numbers as assigned pursuant to Subsection D. of ' this Section. B014DS SECTION 4. That it is hereby determined and declared that serial bonds be issued in accordance with Division 7 of the Streets and Highways Code ( "Improvement Act of 1911 "( to represent each assessment of One Hundred Fifty Dollars ($150.00( or more, remaining unpaid for thirty (30( days after the date of recordation of the diagram and assessment for this improvement. The serial bond shall extend over a period not to exceed FOURTEEN (14( YEARS from the second day of January next succeeding the next September 1st following their date. The interest rate on said bonds shall not exceed the current legal maximum rate of 12% per annum. The principal sum shall become due and payable in equal annual payments on each October 15th succeeding the September let following the date of the bonds until fully paid. The first interest payment shall be payable on the April 15th next succeeding the March let or October 15th next succeeding the September let, as the case may be, next following the date of the bonds. The following interest payments shall each be for six months interest and shall be payable on each 15th day of April and October, the last interest payment coming due on the October 15th immediately preceding the last annual payment of the principal of the bonds issued to represent the unpaid assessments. Pursuant to the provisions of the Streets and Highways Code of the State"of California, specifically Section 10603, the Treasurer is hereby designated as the officer to collect and receive the assessments during the cash collection period. Said bonds further shall be serviced by the Treasurer. "MUNICIPAL IMPROVEMENT ACT OF 1913" SECTION 5. That except as herein otherwise provided for the issuance of bonds, all of said improvements shall be made and ordered pursuant to the provisions of the "Municipal Improvement Act of 1913", being Division 12 of the Streets and Highways Code of the State of California. SECTION 6. That if any excess shall be realized from the assessment, it shall be used, in such amounts as the legislative body may determine, in accordance with the provisions of law for one or more of the following purposes: A. Transfer to the general fund; provided that the amount of any such transfer shall not exceed the lesser of One Thousand Dollars ($1,000.00( or five percent (59) of the total from the Improvement Fund; B. As a credit upon the assessment and any supplemental assessment; or C. For the maintenance of the improvement. SPECIAL FUND SECTION 7. The legislative body hereby establishes a special improvement fund identified and designated by the name of this Assessment District, and into said Fund monies may be transferred at any time to expedite the making of the improvements herein authorized, and any such advancement of funds is a loan and shall be repaid out of the proceeds of the sale of bonds as authorized by law. PRIVATE CONTRACT SECTION B. Notice is hereby given that the public interest will not be served by allowing the property owners to take the contract for the construction of the improvements, and that, as authorized by law, no notice of award of contract shall be published. V I! GRADES SECTION 9. That notice is hereby given that the grade to which the work shall be done is to be shown on the plans and profiles therefor, which grade may vary from the existing grades. The work herein contemplated shall be done to the grades as Indicated on the plans and specifications, to which reference is made for a description of the grade at which the work is to be done. Any objections or protests to the proposed grade shall be made at the p p p public hearing to be conducted under these proceedings. B014D REDEMPTION AND DELINQUENCY SECTION 12. ASSESSMENT DISTRICT NO. 57 (CORONA HIGHLANDS) CITY OF NEWPORT BEACH METHOD OF ASSESSMENT The Municipal Improvement Act of 1913 provides that the construc- tion and incidental costs of a project be assessed in proportion to the "benefit" received by each of the lots or parcels of land ' within the Assessment District. The code does not provide a specific benefit formula, hence that recommendation is made by the Assessment Engineer for consideration by the legislative body. The formula used must be one that reflects benefit re- ceived by each parcel and results in the most equitable proration ' of the costs to each of the lots or parcels within the Assessment District. ' Corona Highlands was developed in the late Forties and is served by a maze of overhead electrical and communication facilities. A ' majority of the property owners have petitioned the City Council of the city of Newport Beach to underground these overhead facilities. It appears that in past years, fires to structures I ' have been caused by downed electrical lines and in one case, a structure totally destroyed. Corona Highlands is characterized by development primarily ' consisting of single family dwellings. The northerly portion of the area is terraced giving ocean views to a number of parcels. Some of these parcels have the quality of the view diminished by a maze of overhead cables, poles and transformers. 1 54 In determining benefit for the entire area, three factors shall be considered: aesthetics, safety and visual obstruction. These are the terraced parcels with obstructed view of the ocean; and they are classified in two categories termed "Direct" and "Indirect" obstructions. The "Direct" obstructions are those parcels that have a maze of overhead facilities (poles and /or cables) that are directly on or very close to the property thus partially obstructing the ocean view with the nearby facilities. The "Indirect" parcels are those partially obstructed by only the top of these facilities, typi- cally at a greater distance. 55 The methodology used in determining the "Direct" obstruction parcels will be the increase in land value of the view parcels versus the non -view parcels. This was accomplished by studying the differential of land values from the Orange County Assessor's office dating back to 1978. The average increase in land value was calculated to be twenty -nine percent (29 %) more for terraced view lots. Therefore, it is recommended that an additional 29 hundreths of a unit be added to those terraced parcels with "Direct" obstruction of views. The "Indirect" obstruction parcels will receive more benefit than the non -view parcels, yet less benefit than the parcels with "Direct" obstruction of view. Even though these "Indirect" parcels have an ocean view, the existing maze of overhead facilities at a distance within their view is detrimental, so therefore there is a benefit when the facilities are removed. The ' methodology used in determining this benefit will be the increase in land values that the "Indirect" parcels have enjoyed through the years in relation to the "Direct" obstruction parcels. The average increase in land value ' of "Indirect" parcels was calculated to be seven percent (7%) and it is assumed that this increment is due to a relatively clearer view. Therefore, it is recommended ' that seven hundreths of a unit be deducted from the twenty -nine hundreths of a unit which had been added to IJ 56 the "Direct" view parcels, giving the "Indirect" parcels 1.22 units of benefit. Recommendations as to procedure, schedules and actions that should be conducted and taken; D. Preparation of all resolutions, notices, contracts, bond forms, and other papers and documents required in the proceedings; E. Examination of the proceedings, step by step, as taken; F. Appear at all hearings under the proceedings, and attend any meeting where attendance is requested; G. Make recommendations as to sale of bonds, if desired; H. Perform legal services, if required, pursuant to the provisions of the "Special Assessment Investigation, Limitation and Majority Protest Act of 1931 ", being Division 4 of the Streets and Highways Code of the State of California; I. Issuance of an approving legal opinion attesting to the validity of the proceedings and the issuance of the bonds. Such legal services shall not include any services in connection with the acquisition, by easement or condemnation, of any easements or other interest in real property necessary for the proposed improvements. These services can be provided by Counsel, by separate agreement, if desired. SECTION 2. That the City shall perform as follows: A. Furnish to Counsel such maps, records, title searches, and other documents and proceedings, or certified copies thereof, as are available and may be reasonably required by Counsel in the performance of the services hereunder; B. Pay to Counsel a fee computed on the confirmed assessment as follows: TWO PERCENT (2%) of the first $300,000; ONE PERCENT (18) from $300,001 to $1,000,000; ONE -HALF PERCENT (.50%) on the balance thereof. C. Payment of the above - referenced fee shall be as follows: All due and payable upon receipt of money from the sale and delivery of bonds to the successful underwriter. SECTION 3. In the event the proceedings are terminated or abandoned prior to comple- tion, Counsel shall be paid a reasonable fee for services rendered to date based on an hourly rate of $125.00 per hour, not to exceed $3,000.00. SECTION 4. COMPENSATION TO ENGINEER ENGINEER shall be compensated for services performed pursuant to this Agreement in the amount and manner set forth in Exhibit "B" which is attached hereto and incorporated herein by this reference. SECTION 4. STANDARD OF CARE ENGINEER agrees to perform all services hereunder in a manner com- mensurate with the community professional standards and agrees that all services shall be performed by qualified and experienced personnel who are not employed by CITY nor have any contractual relationship with CITY. 1 of 7 SECTION 5. INDEPENDENT PARTIES CITY and ENGINEER intend that the relation between them created by this Agreement is that of employer- independent contractor. The manner and means of conducting the work are under the control of ENGINEER, except to the extent they are limited by statue, rule or regulation and the express terms of this Agreement. No Civil Service status or other right of employment will be acquired by virtue of ENGINEER's services. None of the benefits provided by CITY to its employees, including but not limited to unemployment insurance, workers' compensation plans, vacation and sick leave, are available from CITY to ENGINEER, its employees or agents. Deductions shall not be made for any State or Federal taxes, FICA payments, PERS payments, or other purposes normally asso- ciated with an employer- employee relationship from any fees due ENGINEER. Payment of the above items, if required, are the responsibility of ENGINEER. SECTION 6. HOLD HARMLESS ENGINEER shall indemnify and hold harmless CITY, its City Council, boards and commissions, officers and employees from and against any and all loss, damages, liability, claims, suits, costs and expenses whatsoever, including reasonable attorneys' fees, regardless of the merit of any such claim or suit, arising from or in any manner connected to ENGINEER's negligent perfor- mance of services or work conducted or performed pursuant to this Agreement. ENGINEER shall indemnify and hold harmless CITY, its City Council, boards and commissions, officers and employees from and against any and all loss, damages, liability, claims, suits, costs and expenses whatsoever, including reasonable attorneys' fees, accruing or resulting to any and all per- sons, firms or corporations furnishing or supplying work, services, materials, equipment or supplies arising from or in any manner connected to ENGINEER's negligent performance of services or work conducted or performed pursuant to this Agreement. SECTION 7. INSURANCE On or before the commencement of the term of this Agreement, ENGINEER shall furnish CITY with certificates showing the type, amount, class of operations covered, effective dates and dates of expiration of insurance coverage. Such certificates, which do not limit ENGINEER's indemnification, shall also contain substantially the following statement: "The insurance covered by this certificate will not be canceled or materially altered by the insurer except after ten (10) days' written notice has been received by the City of Newport Beach." 2 of 7 • • It is agreed that ENGINEER shall maintain in force at all times during the performance of this Agreement all appropriate coverage of insurance required by this Agreement, and that said coverage of insurance shall be secured from an insurance company assigned Policyholders' Rating A (or higher) and Financial Size Category Class VIII (or larger) by the latest edition of Best's Key Rating Guide and licensed to do insurance business in the State of California. A. COVERAGE 1. Workers' Compensation. Statutory coverage as required by the State of California. 2. Liability. Comprehensive general and automotive liability coverage in the following minimum limits: Bodily injury $250,000 each person $500,000 each occurrence $500,000 aggregate Property Damage $100,000 each occurrence $250,000 aggregate A combined single limit policy with aggregate limits in the amount of $1,000,000 will be considered equivalent to the required minimum limits shown above. 3. Professional Liability. Professional liability insurance which includes coverage for the professional acts, errors, and omissions of ENGINEER in the amount of at least $250,000. B. SUBROGATION WAIVER ENGINEER agrees that in the event of loss due to any of the perils for which it has agreed to provide comprehensive general and automotive liabil- ity insurance insurance, ENGINEER shall look solely to its insurance for recovery. ENGINEER hereby grants to CITY, on behalf of any insurer providing comprehensive general and automotive liability insurance to either ENGINEER or CITY with respect to the services of ENGINEER herein, a waiver of any right of subrogation which any such insurer of said ENGINEER may acquire against CITY by virtue of the payment of any loss under such insurance. C. FAILURE TO SECURE If ENGINEER at any time during the term hereof, should fail to secure or maintain the foregoing insurance, CITY shall be permitted to obtain 3 of 7 0 0 such insurance in ENGINEER's name or as an agent of ENGINEER, and shall be com- pensated by ENGINEER for the costs of such insurance at the maximum rate per- mitted by law computed from the date written notice is received that such costs have been paid. D. ADDITIONAL INSURED CITY, its City Council, boards and commissions, officers, and employees shall be named as an additional insured under all insurance coverages except any professional liability insurance, required by this Agreement. The naming of an additional insured shall not affect any recovery to which such additional insured would be entitled under this policy if not named as such additional insured. An additional insured named herein shall not be held liable for any premium deductible portion of any loss, or expense of any nature on this policy or any extension thereof. Any other insurance held by an additional insured shall not be required to contribute anything toward any loss or expense covered by the insurance provided by this policy. SECTION 8. PROHIBITION AGAINST TRANSFERS ENGINEER shall not assign, sublease, hypothecate, or transfer this Agreement or any interest therein directly or indirectly, by operation of law or otherwise, without the prior written consent of CITY; any attempt to do so without said consent shall be null and void, and any assignee, sublessee, hypothecate or transferee shall acquire no right or interest by reason of such attempted assignment, hypothecation or transfer. The sale, assignment, transfer or other disposition of any of the issued and outstanding capital stock of ENGINEER, or of the interest of any general partner or joint venturer or syndicate member or cotenant if ENGINEER is a partnership or joint venturer or syndicate or cotenancy, which shall result in changing the control of ENGINEER, shall be construed as an assignment of this Agreement. Control means fifty percent (50 %) or more of the voting power of the corporation. SECTION 9. PERMITS AND LICENSES ENGINEER, at its sole expense, shall obtain and maintain during the term of this Agreement, all appropriate permits, licenses and certificates that may be required in connection with the performance of services hereunder. SECTION 10. REPORTS Each and every report, draft, work - product, map, record and other document reproduced, prepared or caused to be prepared by ENGINEER pursuant to or in connection with this Agreement shall be the exclusive property of CITY. 4 of 7 • • No report, information or other data given to or prepared or assembled by ENGINEER pursuant to this Agreement shall be made available to any individual or organization by ENGINEER without prior approval of CITY. ENGINEER shall, at such time and in such form as CITY may require, furnish reports concerning the status of services required under this Agreement. SECTION 11. RECORDS ENGINEER shall maintain complete and accurate records with respect to costs, expenses, receipts and other such information required by CITY that relate to the performance of services under this Agreement. ENGINEER shall maintain adequate records on services provided in sufficient detail to permit an evaluation of services. All such records shall be maintained in accordance with generally accepted accounting principles and shall be clearly identified and readily accessible. ENGINEER shall provide free access to the representatives of CITY or its designees at all proper times to such books and records, and gives CITY the right to examine and audit same, and to make transcripts therefrom as necessary, and to allow inspection of all work, data, documents, proceedings and activities related to this Agreement. Such records, together with supporting documents, shall be kept separate from other documents and records and shall be maintained for a period of three (3) years after receipt of final payment. SECTION 12. NOTICES All notices, demands, requests or approvals to be given under this Agreement shall be given in writing and conclusively shall be deemed served when delivered personally or on the second business day after the deposit thereof in the United States mail, postage prepaid, registered or certified, addressed as hereinafter provided. TERMINATION In the event ENGINEER hereto fails or refuses to perform any of 5 of 7 the provisions herein at the time and in the manner required hereunder, ENGINEER shall be deemed in default in the performance of this Agreement. If such default is not cured within a period of five (5) days after receipt by ENGINEER from CITY of written notice of default, specifying the nature of such default and the steps necessary to cure such default, CITY may terminate the Agreement forthwith by giving to the ENGINEER written notice thereof. CITY shall have the option, at its sole discretion and without cause, of terminating this Agreement by giving seven (7) days' written notice to ENGINEER as provided herein. Upon termination of this Agreement, each party shall pay to the other party that portion of compensation specified in this Agreement that is earned and unpaid prior to the effective date of termination. SECTION 14. COST OF LITIGATI If any legal action is necessary to enforce any provision hereof or for damages by reason of an alleged breach of any provisions of this Agreement, the prevailing party shall be entitled to receive from the losing party all costs and expenses in such amount as the court may adjudge to be reasonable attorneys' fees. SECTION 15. ADVERTISEMENT ENGINEER shall not post, exhibit, display or allow to be posted, exhibited, displayed any signs, advertising, show bills, lithographs, posters or cards of any kind unless prior written approval has been secured from CITY to do otherwise. SECTION 16. COMPLIANCES ENGINEER shall comply with all laws, State or Federal, and all ordinances, rules and regulations enacted or issued by CITY. SECTION 17. NUISANCE ENGINEER shall not maintain, commit, or permit the maintenance or commission of any nuisance in connection with the performance of services under this Agreement. SECTION 18. SAFETY REQUIREMENT All work performed under this contract shall be performed in such a manner as to provide safety to the public and to meet or exceed the safety standards outlined by CAL -OSHA. CITY reserves the right to issue restraint or cease and desist orders to the ENGINEER when unsafe or harmful acts are observed or reported relative to the performance of the work under this Agreement. 6 of 7 • The ENGINEER shall maintain the work sites free of hazards to per- sons and /or property resulting from his operations. Any hazardous condition noted by the ENGINEER, which is not a result of his operations, shall imme- diately be reported to CITY. SECTION 19. SUBCONTRACTOR APPROVAL Unless prior written consent from CITY is obtained, only those people and subcontractors whose names and addresses appear in this Agreement or any attachments hereto shall be used in the performance of this Agreement. Request for additional subcontracting shall be submitted in writing, describing the scope of work to be subcontracted and the name of the proposed subcontractor. Such request shall set forth the total price or hourly rates used in preparing an estimated cost for the subcontractor's services. Approval of the subcontrac- tor may, at the option of CITY, be issued in the form of a Work Order. SECTION 20. WAIVER A waiver by CITY of any breach of any term, covenant, or condition contained herein shall not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained herein whether of the same or a different character. SECTION 21. INTEGRATED CONTRACT This Agreement represents the full and complete understanding of every kind or nature whatsoever between the parties hereto and all preliminary negotiations and agreements of whatsoever kind or nature are merged herein. No verbal agreement or implied covenant shall be held to vary the provisions hereof. Any modification of this Agreement will be effective only by written execution signed by both CITY and ENGINEER. Prepare an Engineer's Report for special assessment district proceedings formed under the procedure of the Municipal Improvement Act of 1913, in conjunction with the issuance of Improvement Act of 1911 bonds. 2. Review the proposed facilities and determine if any property outside the proposed district will receive benefit from the proposed improvement. If such is the case, ENGINEER will recommend extending the boundaries of the proposed district to include this property. 3. Provide legal descriptions of each property proposed to be assessed. 4. Prepare boundary map and diagram. 5. Review with CITY and the public utility companies any right -of -way acquisitions that might be required. 6. Assist CITY in the preparation of a time schedule. 7. Prepare a preliminary estimate, including all incidental costs associated with the assessment district. 8. Spread the assessment based on the preliminary estimate. 9. Review the assessment spread with property owners at a public information meeting to be held prior to the first public hearing. 10. Contract for the printing of improvement notices and post them throughout the district. 11. Attend the public hearing. 12. Prepare an amended Engineer's Report after opening bond bids. 13. After close of the public hearing on the assessment spread, make such revisions as are ordered by the City Council. 14. Assist CITY in the filing of the Diagram, Boundary Map and Notice of Assessment. 15. Assist CITY in preparation of the collection list for the 30 day cash collection period. 16. Assist CITY in the audit of the initial cash payments in lieu of bonds, and assist in compiling the initial list of unpaid assessments. ENGINEER shall not be responsible for the following: 1. Printing and mailing of all notices. 2. Mailing of the 30 day collection notices. DISCUSSION: On March 10, 1987, the City received petitions from owners of property in Corona Highlands requesting that the City initiate proceedings to underground utilities by means of special assessment district proceedings. The petitions were signed by the owners of 65.7% of the assessable land within the proposed district. The boundaries of the proposed district are shown on the attached sketch. The 1987 -88 budget contained an appropriation of $30,000.00 as an advance of funds to prepare plans and initiate proceedings. A total of $8,000.00 was spent for plans and the construction estimate. The balance of the appropriation returned to surplus at the end of the fiscal year. • On January 11, 1989, the Corona del Mar Homeowners' Association held its regular meeting at the Community Youth Center. The majority of those in attendance appeared to be in favor of proceeding with the undergrounding project based on estimates of about $10,000.00 per average property to remove all utility poles from the proposed district. In addition, each property owner must convert his individual service connection on his private property at a cost estimated to range from $500.00 to $3,500.00. There have been a number of new owners since the original petitions were submitted. The Homeowners' Association is attempting to secure the signatures of new owners on supplemental petitions. • r1 L J • Subject: Undergrounds January 23, 1989 Page 2 Utilities in Corona Highlands `J It is tentatively proposed to use the Municipal Improvement Act of 1913 as the procedural act; and to issue 1911 Act bonds. The maximum period of a 1911 Act bond is 40 years; however, a 15 year maximum will probably be recommended. Interest rate is set by bids from Municipal Bond houses. For preliminary estimates an interest rate of 10% is used. The usual bond terms call for equal annual principal payments, with interest paid on the declining balance. Attached is a revised cost estimate for the whole project. The following items will be financed by the recommended budget amendment: Engineer's Report $17,000.00 *Bond Counsel (if the district is not formed) 2,500.00 Printing, mailing, posting, etc. 2,500.00 TOTAL $22,000.00 *If the district is formed the total fee of the bond counsel is estimated to be approximately $16,000.00. The Engineer's Report will contain plans, specifications, estimates, the formula used to spread the assessment, the assessment spread and an assessment diagram.
