AMENDMENT TO
COAST COMMUNITY COLLEGE DISTRICT
CONTRACT EDUCATIONAL SERVICES AGREED
This Amendment to the CONTRACT EDUCATIONAL SERVICES
AGREEMENT for training is made and entered into on the effective
date below by and between the COAST COMMUNITY COLLEGE DISTRICT,
1370 Adams Avenue, Costa Mesa, California 92626 and the CITY OF
NEWPORT BEACH, 3300 Newport Boulevard, Newport Beach, CA 92658-
8915.
A. Paragraph 1 dealing with "term of this agreement" shall
be modified as follows:
1. The term of this Agreement shall be from October 1,
1989, through seGember 31, 1999 June 30. 1990, inclusive.
B. Paragraph 2 dealing with "instruction and /or training"
shall be modified as follows:
112. A total of 40-66 48-64 hours of instruction and /or
training will be provided to employees of COMPANY as
follows:
VAT 40 8 -16 hours
Hydralic Troubleshooting 8 hours
Air Brake 8 -16 hours
8 -2 Liter Training 16 hours
Welding 8 hours"
C. Paragraph 5 dealing with "payment" shall be modified as
follows:
5. COMPANY agrees to pay the DISTRICT the sum of $6,160 -
$9,16A $7.160 - 58.160 for the services provided under this

Agreement. This amount represents afee of $125 per
instructional hour and $145 per hour for development of,
customized curricula, not to exceed 8 hours for all four
programs. During the course of the Agreement, COMPANY may
request additional classes at the same rate by contacting the
DISTRICT administrative liaison (designated in paragraph number
7) .
D. The effective date of this Amendment shall be November
13, 1989.

Each year production vehicles become more complicated with multiple
computer systems, complex electronic systems, and new mechanical
devices. In the past, the City has utilized General Motors and Ford
factory training for a limited number of City mechanics. This
training is usually sited in Los Angeles, is a two day school, and has
limited seating. This prevents the timely and economical training of
City mechanics necessary to maintain the City fleet of 471 vehicles.
In an effort to solve this problem, Coast Community College was
approached because of their excellent instructional staff and
automotive laboratories. Four courses were deemed essential; an
electrical trouble shooting course (VAT -40), a hydraulic trouble
shooting course (clutches, brakes; and lift cylinders), an air brake
course (all heavy trucks utilize), and a diesel engine course. These
courses would total 40 -56 hours of instructions per mechanic (up to 19
City mechanics would be formed into an entire class) at a total cost
of $6,160 to $8,160 as noted in the contract.
Funding is available through the Personnel Department education
account as confirmed by the. Personnel and Finance Directors. The
contract has been reviewed by the City Attorney and found correct in
form.
Recommendation:
Approve the contract as written.

Agreement for Contracted Services S
This Agreement is entered into this 1st day of October,
1989, by and between the COAST COMMUNITY COLLEGE DISTRICT, 1370
Adams Avenue, Costa Mesa, California 92626,(GOLDEN WEST COLLEGE),
hereinafter referred to as "DISTRICT" and the CITY OF NEWPORT
BEACH, 3300 Newport Boulevard, Newport Beach, CA 92658 -8915,
hereinafter referred to as "COMPANY."
WHEREAS, DISTRICT is authorized by Sections 55170 and 72620
of the California Education Code to conduct Contract Instruction
and Counseling Services to serve community needs; and WHEREAS,
COMPANY desires to contract with the DISTRICT for instruction
and /or training services as identified herein.
DISTRICT and COMPANY agree as follows:
1. The term of this Agreement shall be from October 1,
1989, through December 31, 1989, inclusive.
2. A total of 40 -56 hours of instruction and /or training
will be provided to employees of COMPANY as follows:
VAT 40 8 -16 hours
Hydralic Troubleshooting 8 hours
Air Brake 8 -16 hours
8 -2 Liter Training 16 hours

3. The services will be conducted at the CITY OF NEWPORT
BEACH, general service yard in Newport Beach and /or GOLDEN WEST
COLLEGE in Huntington Beach.
4. Students will not receive units of college credit in
accordance with policies of the DISTRICT Board of Trustees.
5. COMPANY agrees to pay the DISTRICT the sum of $6,160-
$8,160 for the services provided under this Agreement. This
amount represents a fee of $125 per instructional hour and $145
per hour for development of customized curricula, not to exceed 8
hours for all four programs. During the course of the Agreement,
COMPANY may request additional classes at the same rate by
contacting the DISTRICT administrative liaison (designated in
paragraph number 7).
6. DISTRICT shall bill COMPANY for each class in
appropriate intervals. COMPANY agrees to pay the full fee per
class once the instruction process begins and regardless of
whether participants complete the full program. Payment schedule
will be: one -half upon completion of one -half of the
instruction, the other half at the conclusion of the instruction.
Payment is expected within thirty (30) days of each billing.
7. DISTRICT and COMPANY will provide administrative
supervision and liaison with each other in the performance of
MPM
this Agreement. The administrative contact for DISTRICT will be
KAREN KLAMMER, Director of Community and Economic Development,
(714) 432 -5824. The administrative contact for COMPANY will be
DAVID NIEDERHAUS, General Service Director, (714) 644 -3055.
S. COMPANY agrees that it will not discriminate in the
selection of any student to receive instruction pursuant to this
Agreement because of that student's race, creed, color, national
origin, sex or age.
9. COMPANY will make whatever special arrangement is
necessary to account for employee time spent in instruction if
COMPANY policy requires more than review of DISTRICT attendance
records.
10. COMPANY will provide for Workers Compensation coverage
for all of its employees who are trained under the terms of this
Agreement.
11. COMPANY agrees to hold harmless and indemnify DISTRICT
from every claim or demand of any kind or nature whatsoever which
may be made by any person resulting from the action or inaction
of COMPANY or DISTRICT or their officers, agents or employees
under the terms of this Agreement; and further agrees to defend
any and all actions, suits or other legal proceedings which may

be brought against it at its own cost, expense, and risk and will
pay or satisfy any judgment which may be rendered therein.
12. Entire Agreement. This Agreement supersedes any and all
other Agreements, either oral or written between the parties
hereto with respect to the use of the aforesaid facilities or
services and contains all covenants and agreements between the
parties with respect hereto. Each party to this Agreement
acknowledges that no representations, inducements, promises, or
agreements, oral or otherwise, have been made by any party, or by
anyone acting on behalf of any party, which are not embodied
herein, and that no other agreement, statement, or promise not
contained herein shall be valid or binding. Any modification to
this Agreement shall be effective only if it is in writing and
signed by the party to be charged, in the form of an amendment to
this Agreement.
13. The staff assigned to develop, coordinate, and conduct
the education and /or service(s), as stated earlier, will be
certified in accordance with the standards on file with DISTRICT
and /or by documented experience and credentials that will be
acceptable to COMPANY.
14. COMPANY may arrange only with the assigned DISTRICT
administrator to hold or not to hold a portion of the education

services at the particular time(s) agreed upon between COMPANY
and DISTRICT.
