SUBJECT: AGREEMENT FOR CONSULTING PROFESSIONAL ENGINEERING AND PROJECT
MANAGEMENT SERVICES WITH DONALD C. SIMPSON %
RECOMMENDATIONS:
Authorize the City Manager to execute the subject agreement.
DISCUSSION:
On July 14, 1986, the City Council authorized the City Manager to
retain Mr. Donald C. Simpson's services as a part -time employee as Civil
Engineer and Special Project Manager. That agreement was extended and
terminates on December 1, 1989, when Mr. Simpson plans to retire.
Mr. Simpson has provided professional engineering and project
management services in an exemplary fashion on the Upper Bay Protection and
Restoration Projects ($14,000,000), the West Coast Highway Widening Project
•($12,700,000), and various other projects. The results have been outstanding,
and the cost to the City for Mr. Simpson's services has been minimal.
This agreement provides for Mr. Simpson's services as a consultant on
a part -time basis not to exceed 900 hours per year.
Terms of the agreement are as follows:
1. Services
a. Project management for design and construction of the Newport
Center Library.
b. Consultation and advice during implementation of Well Field
project.
c. Provide other engineering services as directed by Public Works
Director.
2. Compensation - $65.00 /hr. (no fringe benefits)

AGREEMENT FOR PROSIONAL ENGINEERING AND PROJEANAGEMENT SERVICES
THIS AGREEMENT, made and entered into this _ ' v day of December,
1989, by and between the City of Newport Beach, a Municipal Corporation,
hereafter "CITY ", and DONALD C. SIMPSON, Civil Engineer, hereinafter referred to
as "ENGINEER ".
W I T N E S S E T H
WHEREAS, CITY'S Public Works Department has a need to provide project
management services during the preparation of plans and contract documents and
construction of the Newport Center Library; and
WHEREAS, CITY's Utilities Department needs assistance in implementing
the Well Field project; and
WHEREAS, the Public Works Department does not have sufficient personnel
to provide all the project management services for the Newport Center Library
construction; and
WHEREAS, ENGINEER has offered to perform engineering and management
services for construction of the Library and implementation of the Well Field
project; and
WHEREAS, CITY desires to accept said offer;
NOW, THEREFORE, in consideration of the foregoing, the parties hereto
agree as follows:
I. General
a. CITY engages ENGINEER to perform the services hereinafter
described for the compensation herein said.
b. ENGINEER agrees to perform said services upon the terms
hereinafter set forth.
II. Services to be Performed by ENGINEER
a. Provide project management services for the preparation of the
plans and specifications and construction of the Newport Center Library.
b. Provide consultation and advice during implementation of the
Well Field project.

c. Provide other engineering services as directed and authorized
by City's Public Works Director.
III. Duties of Ci
Make available to ENGINEER such information as is available to
Newport Beach which relates to the services to be performed by ENGINEER.
IV. Term of Agreement
The term of Agreement shall be from Decembers/, 1989, to December
31, 1990. The term of this Agreement may be extended by mutual consent of the
parties hereto.
V. Right of Termination
CITY reserves the right to terminate this Agreement at any time by
giving ENGINEER seven (7) days' prior written notice; notice shall be deemed
served upon deposit in the United States Mail, postage prepaid, addressed to the
ENGINEER's business at 1824 Port Margate, Newport Beach, CA 92660. In the
event of termination due to errors, omissions, or negligence of ENGINEER, CITY
shall be relieved of any obligation to compensate ENGINEER for that portion of
the work affected by such errors, omissions, or negligence of the ENGINEER. If
this Agreement is terminated for any other reason, CITY agrees to compensate
ENGINEER for the actual services performed up to the effective date of the
notice of termination, on the basis of the fee schedule contained herein.
VI. Fee Schedule and Payment
In consideration of the performance of the above - described
engineering services, CITY hereby agrees to pay ENGINEER an amount based upon
the hourly rate of $65.00 per hour. In no event shall said amount be greater
than $65,000 except as otherwise provided herein.
a. The contract shall be paid to ENGINEER as follows:
1. Monthly partial payments shall be based on the amount
earned each month, as determined by the hourly rate
2. In addition, CITY agrees to reimburse ENGINEER for the
actual costs advanced for outside services contracted by the ENGINEER and for
actual cost of reproduction.

VII. Additional Work
Should ENGINEER complete any additional work not outlined in this
Agreement, but authorized by CITY, the extra work shall be performed on an
hourly basis in accordance with the hourly rate set forth in Section V (Fee
Schedule and Payment) above.
VIII. Revisions to Agreement
This agreement may be extended or revised by mutual agreement of
the parties.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement on
the date first above written.
