SUBJECT: MEMORANDUM OF UNDERSTANDING BETWEEN THE
CITY OF NEWPORT BEACH AND THE SOUTHERN
CALIFORNIA ASSOCIATION OF GOVERNMENTS TO
DEVELOP A COMPUTERIZED LAND USE DATABASE. C — 23,3
Recommended action: If desired, approve a Memorandum of Understanding
(MOU) between the City and the Southern California Association of
Governments (SCAG) to develop a computerized land use data base and
authorize the Mayor to sign the MOU.
Background: The City of Newport Beach is in the third year of development
and implementation of a geographical information system (GIS). Other
agencies have also either begun to implement such a system or are interested
in developing one. Such interest is timely due to the impending release of
data resulting from the 1990 census.
SCAG has proposed a regional land use data base incorporating census data
that would serve its members as well as supporting the more detailed work of
individual GIS systems. City Geobase staff have worked closely with SCAG in
developing the criteria for this regional data base.
The land use information will be collected through a combination of aerial
photography and limited field survey. The data will be reformatted and
mapped to match base maps similar to those used by the City's GIS.
Acquisition of land use data for the County and neighboring cities will be
included in this regional approach thereby eliminating time consuming
procedures for obtaining information from neighboring agencies.
The City will also have access to aerial, manuscript, and mylar maps showing
the data generated by the project.
Acquisition of census data through SCAG will lessen City costs for individual
purchase of this information.
SCAG will contribute $100,000 to fund the project. The City, if the MOU is
approved, will contribute $2,100 toward the development of the land use data

base. Funds are available in the 1990 -91 Geobase capital project budget. The
City will provide limited staff support to the project. City staff have been
active participants with SCAG in determining the scope and method of the
work. Such support has been provided since the inception of the program.

MEMORANDUM OF UNDERSTANDING BETWEEN
THE SOUTHERN CALIFORNIA ASSOCIATION OF GOVERNMENTS
AND
THE CITY OF NEWPORT BEACH
This Memorandum of Understanding between the City of Newport Beach and
the Southern California Association of Governments (SCAG) is proposed to
facilitate the development of a 1990 computerized land use file.
SCAG is coordinating a consortium of data users in Southern California to
fund the development of a 1990 land use GIS data base. SCAG resources to
support the budget for this project in FY90 -91 is WE 9152.01. The City of
Newport Beach is a participant in this consortium. A list of participants as of
June 15, 1990 is included in appendix A.
This memorandum outlines the benefits and responsibilities of SCAG and the
City of Newport Beach in this research task force.
PROJECT DESCRIPTION
The project will involve the creation of a computerized land use data base
current to the 1990 Census. The land use information will be collected
through a combination of aerial photography and limited field survey. The
data will reformatted and mapped to match U.S.G.S. seven and one half (7.5)
minute topological series base maps. The data will be automated and
converted to a computer readable export file format.
Full details of the project method are included in a project Request for
Proposal summary dated January 25, 1990.
The project will be funded by contributions of participating agencies as
indicated in appendix A.
PROJECT ADMINISTRATION
SCAG will administer the project. Policy and technical criteria will be
established by a steering committee associated with this project. All
participating agencies will have the right to send representatives to this
committee.
The project steering committee has prior to the signing of this MOU: (1)
developed the project Request for Proposal (RFP), and (2) selected the
consultant or consultant team.
The steering committee will in the future: (1) review all general
memorandum of understanding between SCAG and participating agencies,
(2) determine the funding contribution of new participant agencies, (3)
establish procedures for data release, (4) review consultant progress, and (5)
develop a funding strategy for data base maintenance and updates.
BOTH SCAG AND THE CITY OF NEWPORT BEACH
AGREE TO THE FOLLOWING
1. PARTICIPATION IN PROJECT STEERING COMMITTEE. Both SCAG
and the City of Newport Beach may send representatives to the steering
committee associated with this project as summarized above in project
administration.
2. DATA SET USE LIMITATIONS. Both the City of Newport Beach and
SCAG will receive a perpetual, non - exclusive, non - transferable, irrevocable
license for the use of the 1990 automated land use data bases, other identified
GIS data bases, and subsequent updates.
SCAG will retain title to the data set on behalf of the consortium. This and
subsequent update data sets will be copyrighted.
The electronic readable data set or portions of this file are not to be sold,
assigned, licensed, or transferred to any other firm, corporation, organization,
or individual without the prior written consent of the project steering
committee.
3. STEERING COMMITTEE REVIEW OF DATA BASE PRODUCTS. Only
products or publications containing information from the land use data base
which are intended for sale or distribution to the public should be submitted
to the project steering committee for review.
Paper maps or reports which are produced as the normal course of business of
the City of Newport Beach will not have a royalty charge associated with them
and will not require steering committee review.
4. ROYALTY FEES. The applicability of royalties and royalty rates will be
determined by the project steering committee. Map or GIS products primarily
depicting the land use data as a specific product intended for sale or
distribution to the general public may be required to provide a royalty to a
project fund that will be used to update the land use data base.

steering committee. Any project royalty funds will be administered by SLAG
under the direction of the steering committee.

5. LAND USE DATA BASE IMPROVEMENTS OR UPDATES. If the City
of Newport Beach or SCAG improves the land use data base, they agree to
provide these improvements to all consortium participants with the same
limitations of the original data base. These improvements, however, will be a
proprietary data set belonging to the originating agency. The originating
agency must be contacted if a member wishes to disseminate any of the data in
any form to an organization outside of the consortium. Confidential data may
be withheld from distribution at the discretion of the originating agency.
If the consortium agrees to fund an update of the regional land use data base,
this MOU will be subject to revision. It may include a new project description,
modified agreements, and new financial arrangements.
6. ADDITIONAL AGREEMENTS. SCAG and the City of Newport Beach
agree to explore the possibility of additional agreements that may facilitate (1)
the mutual development of other identified data bases and (2) the sharing of
existing data resources. Nothing will preclude any participating agency from
pursuing additional agreements outside the scope of this MOU.
7. AMENDMENTS TO THE BUDGET. Should there be any changes in the
contributions contemplated to support this project, or the budget, or when
such contribution will be made, the City of Newport Beach and SCAG agree to
notify each other and the project steering committee within thirty days.
8. INDEMNITY. SCAG and the City of Newport Beach hereto shall
indemnify, defend, save and hold harmless the other party and its servants,
officers, agents and employees, of and from any and all liabilities, claims,
demands, debts, suits, actions and causes of action, including, but not by way of
limitation, for property damage, personal injury or wrongful death, arising
out of or in any manner connected with any act or omission of any such
indemnifying party hereunder, or its servants, officers, agents or employees,
done or performed pursuant to the terms and provisions hereof.
SCAG AGREES TO THE FOLLOWING
1. PROJECT ADMINISTRATION. SCAG agrees to administer all
consultant contracts and to receive and account for all participating agency
contributions associated with the development of the 1990 GIS land use file.
SCAG will also maintain a separate fund that will be used for project updates
to be determined by the project steering committee. This fund will be created
upon receipt of royalties for data sales. Accrued interest will be added to this
fund annually.

2. QUARTERLY REPORTS. SCAG project management agrees to provide
the City of Newport Beach and all other participating agencies a written
quarterly report detailing consultant progress and project fund status in
accordance with generally accepted accounting principals (GAAP).
3. CONTRIBUTION TO PROJECT FUNDING. SCAG agrees to contribute
$100,000 towards the project costs for the development of the 1990 GIs land use
data base. SLAG will provide these funds through its OWP process in three
installments: $35,000 on July 1, 1990, $25,000 on September 30,1990, and $40,000
on July 1, 1991.
4. STAFF SUPPORT. SCAG agrees to provide administrative and
technical staff support for this project. The actual amount of support will be
jointly determined by the project steering committee and SCAG.
5. REGIONAL 1990 LAND USE DATA BASE ARCHIVE. SCAG agrees to
maintain a regional 1990 land use data base archive. This archive will be
maintained on computer readable tape and within the SCAG GIS. With
approval of the project steering committee, this data will be released to
agencies who buy into the project after the data base completion.
Aerial photographs and manuscript maps for counties that are not in the
project will be archived at SCAG.
6. AGREEMENTS WITH PARTICIPATING AGENCIES. SCAG agrees to
develop a memorandum of understanding which all participating agencies
within the land use development consortium. The content of each agreement
will be substantially the same. SCAG agrees to review these agreements with
the steering committee. It is expected that these MOU's will be signed and
approved by September 30, 1990.
SCAG AGREES TO PROVIDE THE FOLLOWING PRODUCTS TO
PARTICIPATING AGENCIES
1. 1980 AND 1990 CENSUS INFORMATION. As part of its function as the
Regional State Census Data Center, SCAG will maintain a complete file of the
1980 and 1990 Census information. SCAG agrees to provide the City of
Newport Beach a tape subset and summary report of their areas of interest as
part of this project. Newport Beach will supply tapes for these copies.
2. ASSOCIATED GENERAL PLAN GIS LAND USE DATA SETS. SCAG is
presently developing a GIS land use coverage based upon city general plan
maps. SCAG will provide the City of Newport Beach an export file for its
designated area as part of this agreement. This data set may not be complete
until 1992.

3. 1990 LAND USE DATA BASE RELEASE. SCAG agrees to provide the
City of Newport Beach a copy of the 1990 computerized GIS land use data base
developed as part of this file for their incorporated area in an export file
format designated by Newport Beach. To assure that the City of Newport
Beach receives all possible areas of interest, SLAG will provide the Newport
Beach digital data for whole U.S.G.S seven and one -half (7.5) minute
quadrangles that include any part of the incorporated area.
4. AERIAL PHOTOGRAPHS AND MANUSCRIPT MAPS. The City of
Newport Beach will have access to an archive of aerial photographs and
manuscript maps from the 1990 land use data project on an as- needed basis.
Each participating county will archive its aerial photographs and manuscript
maps. SCAG will maintain the photographs and maps for the counties that
are not members of the consortium. Each city will have the opportunity to
purchase prints of the aerial photography at additional charge.
5. ETAK VALUE ADDED RETAIL LICENSE DISCOUNT. As part of this
project SCAG will maintain a value added retail license with ETAK, Inc. As
part of this agreement, SCAG will receive a 30% discount on base map
products from this company. SCAG agrees to pass these savings on to
participating agencies.
6. MYLAR LAND USE MAPS. As part of this project SLAG will provide
the City of Newport Beach a mylar computer generated 1990 land use map of
the seven and half (75) minute U.S.G.S. quadrants which include the city.
THE CITY OF NEWPORT BEACH
AGREES TO THE FOLLOWING
1. CONTRIBUTION TO PROJECT OPERATION FUNDS. The City of
Newport Beach agrees to provide to SCAG $2,100 as a contribution towards the
development of the 1990 GIS land use data base. These funds will be provided
to SCAG in two installments: $1,100 to be provided 30 days from the signature
of this agreement, $1,000 on completion of the project.
2. STAFF SUPPORT. The City of Newport Beach agrees to provide limited
technical staff support for this project. The actual amount of support will be
jointly determined jointly by the City of Newport Beach and SCAG.

until December 31, 1995.
