Discussion Vehicles are constantly being upgraded by manufacturers with a variety of electronic and mechanical systems that necessitate specialized training to maintain. During the past year, the City has maintained an annual contract with the Coast Community College District to provide current technological training for City equipment mechanics. Rather than use factory training in Los Angeles, it has proven more effective and efficient to contract for an instructor from Coast Community College to conduct the specialized training at the City Yard during off - season months. The District requires the use of a contract to administer the program. Each year an amendment to the previous contract is provided which if approved would extend the existing provisions of the present agreement through March 1, 1997. The approximate cost of the program is $5,000 per year and would provide various types of essential training to match the needs of the City. Funding for this endeavor has been budgeted. During the past three years, the City has maintained annual contracts with the Coast Community College District to provide current technological training for City equipment mechanics. Rather than use limited factory training offered by automobile manufacturers in Los Angeles, it has proven more effective and efficient to contract for an instructor from Coast Community College to conduct the specialized training at the City Yard during the off- season months. The District requires a contract to administer the program. An amendment to the original 1990 contract is provided which, if approved, would extend the existing provisions of the present agreement through June 30, 1994. Both the 1990 contract and the amendment are attached. The approximate cost of the program is $5,500 per year and would provide various types of essential training to match the needs of the City. Funding for this endeavor is available through the Equipment Maintenance Division training account. With the increased emphasis on training for all City employees, the contract offers an opportunity for any other City departments that care to tailor management or technical training to the needs of their employees. Recommendation To approve the attached amendment to the previous contract with the Coast Community College District for the period November 1, 1993 through June 30, 1994. Very respectfully, David E. SERVICES This Agreement is entered into this oday of September, 1990, by and between the COAST COMMUNITY COLLEGE DISTRICT, 1370 Adams Avenue, Costa Mesa, California 92626, (Golden West College), hereinafter referred to as "DISTRICT" and CITY OF NEWPORT BEACH, 3300 Newport Boulevard, Newport Beach, California 92658- 8915, hereinafter referred to as "COMPANY." WHEREAS, DISTRICT is authorized by Section 55170 of Title 5 California Administrative Code Re Community Colleges and Section 72620 of the California Education Code to conduct Contract Instruction and Counseling Services to serve community needs; and Y WHEREAS, COMPANY desires to contract with the DISTRICT for instruction and /or training services as identified herein. DISTRICT and COMPANY agree as follows: 1. The term of this Agreement shall be from October 1, 1990, through December 31, 1991, inclusive. 2. The class or program to be offered is Automotive Technology Programs. 3. The services will be conducted at the City of Newport Beach general services yard (hereinafter "CLASS SITE "). COMPANY shall indemnify and hold DISTRICT harmless against and from any and all claims arising from COMPANY's use of CLASS SITE, and from and against all costs, attorneys' fees, expenses and liabilities incurred in or about any such claim or any action or proceeding brought thereon; and in case any action or proceeding brought thereon; and in case any action or proceeding be brought against DISTRICT by reason of any such claim, COMPANY upon notice from DISTRICT shall defend the same at COMPANY's expense by counsel reasonable satisfactory to DISTRICT. 4. Students will not receive units of college credit in accordance with policies of the DISTRICT Board of Trustees. 5. COMPANY agrees to pay the DISTRICT a fee of $125.00 per instructional hour. During the course of the Agreement, COMPANY may request classes at this rate by contacting the DISTRICT administrative liaison (designated in paragraph number 7). 6. DISTRICT shall bill COMPANY for each class in appropriate intervals. COMPANY agrees to pay the full fee per class once the instruction process begins and regardless of whether participants complete the full program. COMPANY will be billed monthly for instruction offered during that period. 7. DISTRICT and COMPANY will provide administrative supervision and liaison with each other in the performance of this Agreement. The administrative contact for DISTRICT will be KAREN KLAMMER, Director of Community and Economic Development, (714) 432 -5824. The administrative contact for COMPANY will be DAVID NIEDERHAUS, General Services Director, (714) 644 -3055. 8. COMPANY agrees that it will not discriminate in the selection of any student to receive instruction pursuant to this Agreement because of that student's race, creed, color, national origin, sex or age. 9. COMPANY will make whatever special arrangement is necessary to account for employee time spent in instruction if COMPANY policy requires more than review of DISTRICT attendance records. 10. COMPANY will provide for Workers Compensation coverage for all of its employees who are trained under the terms of this Agreement. 11. COMPANY agrees to hold harmless and indemnify DISTRICT from every claim or demand of any kind or nature whatsoever which may be made by any person resulting from the action or inaction of COMPANY or DISTRICT except for the willful misconduct of DISTRICT. In the event that DISTRICT shall, without fault of DISTRICT, be made party to any litigation instituted by COMPANY or by any third party against COMPANY arising out of or resulting from any action or transaction of COMPANY or any such other person, .. • • COMPANY hereby indemnifies and holds DISTRICT harmless from and against all costs and expenses, including reasonable attorneys' fees, incurred by DISTRICT in or in connection with such litigation. 12. Entire Agreement. This Agreement supersedes any and all other Agreements, either oral or written between the parties hereto with respect to the use of the aforesaid facilities or services and contains all covenants and agreements between the parties with respect thereto. Each party to this Agreement acknowledges that no representations, inducements, promises, or agreements, oral or otherwise, have been made by any party, or by anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement, or promise not contained herein shall be valid or binding. Any modification to this Agreement shall be effective only if it is in writing and signed by the party to be charged, in the form of an amendment to this Agreement. 13. The staff assigned to develop, coordinate, and conduct the education and /or service(s), as stated earlier, will be certified in accordance with the standards on file with DISTRICT and /or by documented experience and credentials that will be acceptable to COMPANY. 14. COMPANY may arrange only with the assigned DISTRICT administrator to hold or not to hold a portion of the education services at the particular time(s) agreed upon between COMPANY and DISTRICT. 0 15. Each individual executing this Agreement on behalf of COMPANY represents and warrants that he/she is duly authorized to execute this Agreement on behalf of the COMPANY and that this Agreement is binding on COMPANY.
