CONSENT AND SUBORDINATION OF MORTGAGE INTEREST TO EASEMENT DEED

The Irvine Company, a Michigan Corporation,
Mortgagee under that certain recorded Mortgage with The Power of
Sale dated September 16, 1992 and recorded November 12, 1992 as
Instrument No. 92-769462 of Official Records in the office of the
County Recorder of Orange County, California, hereby consents to
the easement granted to the City of Newport Beach, an unrecorded
copy of which, including legal description of said easement, is
attached hereto as Exhibit "A" and by this reference made a part
hereof, and agrees that said easement shall be and remain
paramount, prior and superior to and forever bind the interests of
the undersigned under said Mortgage with The Power of Sale, for
all purposes as fully as though said Easement Deed had been
executed and delivered prior to the creation of said Mortgage
Estate and the latter made and accepted specifically subject to
and subordinate thereto.
