1. The following contracts will not be renewed:
Contract No. 2998 - Rainbow Disposal Company, Inc. (Green Waste)
Contract No. 2999 - Ware Disposal, Inc. (Brown Waste)
Contract No. )o=- Ware Disposal, Inc. (Asphalt/Concrete)
2. Three, three (3) year, contracts for the Green, Brown, and
Asphalt/Concrete are "in the mail' and should be ready for City Manager
signature early ne)d week.
Will keep you posted.

AGREEMENT
THIS AGREEMENT made and entered into this 24th day of March 1997,
by and between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter
referred to as "CITY" and Ware Disposal Company, Inc., hereinafter referred to as the
Contractor.
W I T N E S S E T H:
WHEREAS, CITY has determined that it is in the public interest to
provide for regular recycling of asphalt/concrete in the City of Newport Beach; and
WHEREAS, Contractor has submitted a proposal to transport and
recycle the asphalt/concrete collected by CITY to a recycling facility and
WHEREAS, CITY desires to accept the proposal presented by
Contractor.
NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree
as follows:
1. CITY hereby agrees as follows:

A. To permit Contractor to collect from it all asphalt/concrete which

Asphalt/Concrete $ 80.00
Asphalt/Concrete (Contaminated) $ 227.00
C. In the event of the discovery by Contractor of a contaminated
load of asphalt/concrete, Contractor will collect such waste and dispose of it at the
County landfills at the expense of the CITY as noted above.

2. Contractor hereby agrees as follows:
A. To provide at least one roll-off type container with an
approximate capacity of ten (10) cubic yards for asphalt/concrete collection at the City
Yard (592 Superior Avenue, Newport Beach, CA).
B. To remove in a timely fashion full bins and provide for empty
bins on a schedule which will insure available bin space for all asphalt/concrete collected
by the CITY.
C. To submit to the CITY within fifteen (15) days following the end
of each month a monthly report stating the number of tons of asphalt/concrete with the
weight certificates from a certified public scale or the equivalent in addition to any other
information necessary for analysis and evaluation purposes as determined by the CITY.
D. To submit to the CITY, before the fifteenth (15) of each month
an invoice for the asphalt/concrete collected the previous month in accordance with the
agreed price per load. The invoice will bill the City division responsible for that
particular type of waste.
E. To obtain and maintain in effect Worker's Compensation
insurance coverage, in the following minimum amount of $1,000,000, and public liability
insurance coverage in the following minimum amount $1,000,000.
F. To hold the CITY, its agents and employees harmless from any
and all liability incurred for injuries resulting from the activities of Contractor, its agents
or employees in the performance of this agreement.
3. Each party shall have the option, at its sole discretion and without cause of
terminating this Agreement by giving thirty (30) days' prior written notice to the other
party. Upon termination of this Agreement, the CITY shall pay to Contractor that
portion of compensation specified in this Agreement that is earned and unpaid prior to
the effective date of termination.

4. It is mutually agreed by the parties hereto that this contract shall be in effect
for three (3) years from the date of its execution. It is further agreed that this contract
may be renewed for an additional three (3) year period by agreement of all parties
hereto.

In January 1991, as a result of a competitive process, the Council approved
the award of a 3 year contract to Western Waste Industries to provide
hauling and recycling of various City produced waste commodities. The
contract provided for the renewal of the contract during February 1994,
however, Western Waste Industries staff declined to renew at current rates.
A Request for Proposal seeking new vendors was distributed on December 28,
1993. At the request of one of the solid waste haulers, the bidding period was
extended an additional 5 days. The results of the bids are attached. What is
unusual about the bid results, as compared with the present contract, is that
two separate vendors qualified as low bidders on separate commodities.
Rainbow Disposal, Inc. was the low bidder for green waste recycling and
Ware Disposal, Inc. was the lowest bid for the recycling of brown waste
(wood) and concrete /asphalt. Accordingly, two attached contracts for separate
commodities are provided for approval.
Approve the award of a 3 year recycling contract to:
a) Rainbow Disposal - Green waste
b) Ware Disposal - Brown waste, concrete and asphalt

AGREEMENT

the City of Newport Beach; and
WHEREAS, Contractor has submitted a proposal to transport the
asphalt, concrete, and brown solid waste collected by CITY to a recycling
facility and
WHEREAS, CITY desires to accept the proposal presented by
Contractor.
NOW, THEREFORE, in consideration of the foregoing, the parties hereto
agree as follows:
1. CITY hereby agrees as follows:
A. To permit Contractor to collect from it all asphalt, concrete, and
brown solid waste which the CITY collects.
B. To pay to Contractor per load for each load of asphalt, concrete,
and brown solid waste collected from the CITY as follows:
Asphalt/Concrete $ 97.00
Asphalt/Concrete (Contaminated) $ 265.00
Brown Waste $ 74.00
Brown Waste (Contaminated) $ 217.00
C. In the event of the discovery by Contractor of a contaminated
load of asphalt, concrete, and brown solid waste, Contractor will collect such
waste and dispose of it at the Bowerman Landfill at the expense of the CITY
as noted above.
2. Contractor hereby agrees as follows:
A. To provide at least one roll -off type container with an
approximate capacity of forty (40) cubic yards for brown waste collection at
the City Yard (592 Superior Avenue, Newport Beach, CA).

B. To provide at least one roll -off container with an approximate
capacity of (10) cubic yards for asphalt/concrete collection at the City Yard.

C. To remove in a timely fashion full bins and provide for empty
bins on a schedule which will insure available bin space for all asphalt,
concrete, and brown solid waste collected by the CITY.
