SUBJECT: AGREEMENT FOR CONSTRUCTION OF SEWER IMPROVEMENTS
IN BALBOA BOULEVARD SOUTH OF COAST HIGHWAY AND
COST SHARING WITH THE COUNTY SANITATION DISTRICTS
RECOMMENDATIONS:
Approve an agreement with CSDOC for cost sharing
and providing for construction of certain sewer
improvements in Balboa Boulevard in conjunction with
the Coast Highway Trunk Sewer Project.
2. Authorize the Mayor and City Clerk to execute the
Agreement.
3. Require CSDOC to obtain a public works encroachment
permit on behalf of their contractor for all project
improvements and waive fees for same.
DISCUSSION:
The proposed CSDOC Coast Highway Trunk Sewer Project will
provide for replacement and reconstruction of their large diameter gravity sewer
in the south side of Coast Highway from 'The Arches Interchange" to the Bitter
Point Pump Station at the entrance to the Tidelands Oil Fields.
The City has had frequent maintenance problems and stoppages
in the sewer pipelines in Balboa Boulevard between 45th Street and the 47th
Street Pump Station. The City has also had maintenance problems with the
Pump Station which is deteriorated and undersized. The pump station is a
part of the City's 10 -year Sewer Pump Station Replacement Program. CSDOC
has designed their proposed trunk sewer in a manner that will allow the City
to abandon the 47th Street Pump Station. Their design also provides for the
replacement of the City's sewer in Balboa Boulevard.
Because CSDOC is proposing some significant sewer construction
in the area, the City has an opportunity to coordinate work and complete it
under the CSDOC contract. The City requested CSDOC to include the
replacement of the Balboa Boulevard Sewer Main and the 47th Street Pump
Station Abandonment in their Coast Highway Sewer Project. CSDOC agreed,
and incorporated those improvements in the project plans and specifications.
The City contracted separately with CSDOC's consulting engineer to prepare
the additional plans and specifications for the City's facilities.

The proposed Agreement provides for reimbursement to
CSDOC for reconstruction of the City's sewer facilities.
Replacement of the City's sewer facilities under this agreement
will greatly reduce maintenance and cleaning. These improvements will also
permanently eliminate one the City's twenty-four sewer pump stations.
Elimination of the 47th Street Pump Station will reduce operating costs and
maintenance costs.
Funds are available in the capital projects portion of the
Wastewater Enterprise Fund in account numbers 7533 - 98530001 and
7533- 98530203.
The CSDOC Sewer Project is scheduled to be advertised for bids
in September 1994. An award of the contract is expected in November, 1994,
with proposed construction starting in mid - December, 1994. This schedule
will allow completion of both City and CSDOC portions of the project before
June, 1995.
The Agreement is recommended for approval.

REIMBURSEMENT AGREEMENT WITH
CITY OF NEWPORT BEACH
THIS AGREEMENT is made and entered into, to be effective the 14th
day of septemher , 1994, by and between:
COUNTY SANITATION DISTRICTS NOS. 5 AND 6
OF ORANGE COUNTY, CALIFORNIA,
hereinafter referred to as "DISTRICT"
AND
CITY OF NEWPORT BEACH, a municipal corporation,
hereinafter referred to as "CITY ".
WHEREAS, the "DISTRICT" is replacing and rehabilitating a sewer pipeline and
related facilities in the Pacific Coast Highway known as "Replacement of Pacific Coast
Highway Gravity Sewer, between the Bitter Point Pump Station and Newport
Boulevard ", Contract No. 5 -37 -3 (hereinafter referred to as the "DISTRICT's Project "); and
WHEREAS, the "CITY" wishes to reconstruct sewer appurtenances which have
been designated as the "Balboa Boulevard Sewer Main Replacement from 45th Street to
West Coast Highway and Abandonment of the 47th Street Pump Station Project"
(hereinafter referred to as the "CITY's Project "), which is included as a separate portion
of the "DISTRICT's Project'; and
WHEREAS, the Parties mutually agree that combining the "DISTRICT's Project"
with the "CITY's Project" into a "Combined Project" would minimize costs and
construction impacts at the site; and
WHEREAS, the "Combined Project" shall consist of the "DISTRICT's Project"
improvements and the "CITY's Project" which shall be shown on separate
construction drawings within the "DISTRICT's" Contract No. 5 -37 -3; and
WHEREAS, "DISTRICT" and "CITY" desire to set forth their respective rights and
obligations concerning the "Combined Project ".
NOW, THEREFORE, the parties agree as follows:

Section 1: Project Design
"DISTRICT" shall prepare, or cause to be prepared, plans and specifications
for the "Combined Project ", including the "CITY's" portion of the "Combined
Project ". The "CITY" shall be responsible for the design costs of the "CITY's Project ".
"DISTRICT's" consultant shall incorporate "CITY's" design into the "Combined
Project" plans and specifications. The "CITY" shall compensate "DISTRICT's"
engineer directly.
Section 2: "DISTRICT's" Responsibilities
"DISTRICT" shall be solely responsible for the preparation and awarding of
the contract pursuant to the applicable public bid requirements for the construction
of the "Combined Project ". "DISTRICT" shall be responsible for the preparation of all
legal documents, including the notice inviting bids, instructions to bidders, schedule
of prices, and any related construction agreements, surety bonds and insurance
certificates. "DISTRICT" shall be solely responsible for the administration and
performance of the contract awarded to contractor for the construction of the
"Combined Project ".
Section 3: Right of Access
"CITY" shall have the right of access to the construction site of the
"Combined Project" at all times.
Section 4: Costs
A. "DISTRICT's" Costs
"DISTRICT" shall pay all costs associated with the "DISTRICT's Project ",
including excavation, construction, surveying, inspection and contract administration.
B. "CITY's" Costs
The "CITY" shall be responsible for all costs associated with design and
construction of the "CITY's Project ", including engineering, design, excavation,
construction, surveying, and inspection. The "CITY" shall provide the design to
"DISTRICT's" consulting engineer for incorporation into the "Combined Project"
plans and specifications.

The Parties agree that the estimated cost for the "CITY" portion of the
"Combined Project" is $125,500.00. The final cost for the "CITY's" portion shall be
based upon the actual Schedule of Prices and associated bid item(s) for the work to
be done for the "CITY" and any applicable Change Orders thereto and then eight
(8 %) percent shall be added to the cost to cover "DISTRICT's" administrative and
inspection costs. Estimated costs are depicted on Exhibit "A ".
Section 5: Environmental Impact Report/Permits
"DISTRICT" shall act as Lead Agency and shall be responsible for full
compliance with the provisions of the California Environmental Quality Act
( "CEQA ") for the "Combined Project ". For purposes of "CEQA ", all work
hereunder shall be deemed a single project and reference will be made to
" DISTRICT's" adopted Master Plan of Sewer Facilities -1989, as amended and
supplemented, and related approved Environmental Impact Report. "DISTRICT"
shall also obtain all necessary permits to construct the "Combined Project ".
Section 6: Change Orders
"CITY" shall be given the opportunity to review and approve all change
orders issued by "DISTRICT" pertaining to the "CITY's Project" except for
changed conditions requiring immediate action. In which case, "DISTRICT"
inspector will review changed condition with "CITY" inspector, if they are on -site,
however "DISTRICT'S" inspector shall have final say concerning decisions
requiring immediate action. "CITY" will provide an inspector with authority to
approve change orders during the time the contractor is working on "CITY's"
portion of the facilities to be installed as a part of the "Combined Project ".
Section 7: Payment
A. "CITY" shall pay $20,000 of its share to "DISTRICT" following receipt of
an invoice and shall remit funds within sixty (60) days from date of award of the
construction contract.

B. "CITY" shall pay "DISTRICT" the balance of its share of the costs for the
"CITY's Project" during construction within thirty (30) days from receipt of
"DISTRICT'S" invoices for same. Final invoices shall be paid within thirty (30) days
after acceptance of the construction of the "CITY's Project" by "CITY ". The final
invoice shall include all costs due pursuant to Section 4, subparagraph (B), above.
"DISTRICT" agrees to invoice "CITY" proportionate to "DISTRICT" contractor's
completion percentage of the work items to be reimbursed by "CITY ".
The "CITY" reserves the right to withdraw from this agreement and decline to construct
the "CITY's Project" if the "DISTRICT'S" costs are unacceptable to the "CITY" or for any
other reason prior to the "DISTRICT's" award of the contract for the "Combined Project ".
Section 8: Hold Harmless
"DISTRICT" shall defend, indemnify and hold "CITY ", its elected and
appointed officials harmless from any and all claims, damages, or demands arising
out of " DISTRICT's" performance of its obligations under this agreement. "CITY"
shall defend, indemnify and hold "DISTRICT" harmless from any and all claims,
damages, or demands arising out of "CITY's" performance of its obligations under
this agreement.
Section 9: Insurance
"DISTRICT" shall require the construction contractor for the "Combined
Project" to maintain a policy of public liability insurance for personal injury and
property damage, including motor vehicle operators, during all times of the contract
in the amounts consistent with " DISTRICT's" policies for all construction agreements.
Said policy shall name the "CITY ", the "DISTRICT ", their officers, agents and
employees as additional insureds thereon.
Section 10: Integration
This Agreement represents the entire understanding of the "CITY" and the
"DISTRICT" as to those matters contained herein. No prior oral or written
understanding shall be of any force or effect with respect to those matters covered by
this Agreement. This Agreement may not be modified, altered or amended except in
writing by the "CITY" and the "DISTRICT ".
