Approve the attached resolution authorizing the City Manager to execute contracts with
POST on behalf of the City.
BACKGROUND:
In the past, the Newport Beach Police Department has, under contract, produced
• training videos for the Commission on Peace Officers Standards and Training. These
contracts produce revenue for the City. For each contract, POST requires a resolution
from the City giving the person signing the agreement on behalf of the City the authority
to do so. Currently we have a contract with POST to produce four (4) videos for
$57,600.00 ready for signature. The attached resolution would give the City Manager
authority to sign the current contract as well as any future contracts..

A RESOLUTION OF THE CITY COUNCIL OF
THE CITY OF NEWPORT BEACH AUTHORIZING
THE CITY MANAGER TO EXECUTE AN
AGREEMENT WITH THE COMMISSION ON
PEACE OFFICER STANDARDS AND TRAINING
TO PRODUCE TRAINING VIDEOTAPES.
WHEREAS, the Commission on Peace Officer Standards and Training
(POST) intends to engage in a series of contracts with the Newport Beach
Police Department Video Unit to produce training videotapes; and
WHEREAS, production of the training videotapes provides revenue to the
City; and
WHEREAS, POST and the State of California require contracts be signed by
persons authorized by resolution of the governing body of the City to sign such
contracts; and
WHEREAS, the City Council has determined that the City is fully qualified to
prepare the videotapes, and desires the City to enter into such agreements.
NOW, THEREFORE, BE IT RESOLVED that the City Manager of the City of
Newport Beach is hereby authorized to execute video production agreements
with the Commission on Peace Officer Standards and Training.

Please return with the signed agreement a signed copy of
the resolution, order, motion, rider, or ordinance of the
local governing body who, by law, has power to execute the
• proposed contract authorizing execution by the official
signing the agreement.
Contracts are not effective until approved by the State
Department of General Services or the Commission on POST as
required by State procedure. When fully approved, the
original copy will be sent to you. Any work initiated
prior to contract approval is done at the Contractor's own
risk.

b. Assisting POST in pre - production planning and in the critique of scripts, scenarios, potential shoot locations, etc.;
c. Arranging for any necessary permission to film videos and providing assistance in identifying locations for fdp}m

• ADDRIONAL NFORMATION:
The Contractor agrees to indemnify, defend and save harmless the State, its officers, agents and
employees from any and all claims and losses accruing or resulting to any and all contractors,
subcontractors, materialmen, laborers and any other person, fam or corporation famishing or supplying
work services, materials or supplies in connectior. with the performance of this contract, and from any
and all claims and losses accruing or resulting to any person, firm or corporation who may be injured or
damaged by the Contractor in the performance of this contract.
2. The Contractor, and the agents and employees of Contractor, in the performance of the agreement, shall
act in an independent capacity and not as officers or employees or agents of State of California.
3. The State may terminate this agreement and be relieved of the payment of any consideration to
Contractor should Contractor fail to perform the covenants herein contained at the time and in the manner
herein provided. In the event of such termination the State may proceed with the work in any manner
deemed proper by the State. The cost to the State shall be deducted from any sum due the Contractor
under this agreement, and balance, if any, shall be paid the Contractor upon demand.
4. Without the written consent of the State, this agreement is not assignable by Contractor either in whole or
in part.
5. Time is of the essence in this agreement.
6. No alteration or variation of the terms of this contract shall be valid unless made in writing and signed by
the parties hereto, and no oral understanding or agreement not incorporated herein, shall be binding on
any of the parties hereto.
7. The consideration to be paid Contractor, as provided herein, shall be in compensation for all of
Contractor's expenses insured in the performar ce hereof, including travel and per diem, unless otherwise
expressly so provided.

d. Providing all actors deemed necessary by the video producer with
Contractor and POST making final decisions on the selection of
those actors;
e. Obtaining and retaining in file all permits and releases for the
use of talent, music, narration, facilities, equipment, property,
and other items used during production;
f. Working with POST to identify the most effective cinematic style
for each video production considering the nature, content, and
purpose of each video incident;
g. Recording all scenes contained in the scripts on Betacam
videotape with every effort being made to obtain the best quality
product possible;
h. Assembling all scenes and submitting a rough edit to POST for
approval; and
i. Producing a final, broadcast -ready video with the input of POST.
3. POST will provide a written statement, including scenario outline,
purpose, content, and objectives, for each video production.
4. All POST video productions are the property of POST. Contractor shall
include a POST copyright title at the end of each video.
5. Any equipment purchased under this agreement shall become the property
of POST.
6. The total amount of this agreement shall not exceed $57,600.00.
7. Invoices for payment will be submitted monthly in arrears, in
triplicate, to POST at 1601 Alhambra Boulevard, Sacramento, CA 95816-
7083, to the attention of the project coordinator.
8. Invoices will be itemized in the following manner:
a. Jan Anderson's hours will be billed to either pre-
production, production, or post - production services at
a rate of $30.16 per hour. Overtime hours may be
billed for work over a nine (9) hour shift at time and
a half.

b. Other expenses such as production costs, travel, per
diem, etc., will be listed individually. Travel and
per diem will be reimbursed at the prevailing state
rate. Production costs shall be in accordance with the
attached Production Cost Rate Schedule which is by
reference made a part of this agreement.
9. The project coordinator at POST is Richard Honey.
10. The term of this agreement shall begin February 1, 1996, or
when this contract is fully executed, through January 31,
1997, except that either party may cancel the agreement upon
thirty (30) days prior written notice.
11. This agreement may be amended by mutual written agreement.
12. By signing this agreement, Contractor does swear under
penalty of perjury that no more than one final unappealable
finding of contempt of court by a Federal Court has been
• issued against Contractor within the immediately preceding
two -year period because of Contractor's failure to comply
with an order of a Federal Court which orders Contractor to
comply with an order of the National Labor Relations Board
(Public Contract Code Section 10296).
13. During the performance of this contract, Contractor shall
not unlawfully discriminate, harass or allow harassment,
against any employee or applicant for employment because of
sex, race, color, ancestry, religious creed, national
origin, physical disability (including HIV and AIDS),
medical condition (cancer), age (over 40), marital status,
and denial of family care leave. Contractor shall insure
that the evaluation and treatment of its employees and
applicants for employment are free from such discrimination
and harassment. Contractor shall comply with the provisions
of the Fair Employment and Housing Act (Government Code of
Regulations, Title 2, Section 7285.0 et seq.). The
applicable regulations of the Fair Employment and Housing
Commission implementing Government Code, Section 12990 (a-
f), set forth in Chapter 5 of Division 4 of Title 2 of the
California Code of Regulations are incorporated into this
contract by reference and made a part hereof as if set forth
in full. Contractor shall give written notice of their
• obligations under this clause to labor organizations with
which it has a collective bargaining or other agreement.

This Contractor shall include the nondiscrimination and
compliance provisions of this clause in all subcontracts to
perform work under this contract.
14. This agreement is valid and enforceable only if sufficient
funds are made available by the Budget Act of the current
year and /or any subsequent years covered under this
agreement, for the purposes of this program. In addition,
this agreement is subject to any additional restrictions,
limitations, or conditions enacted by the Legislature and
contained in the Budget Act or any other statute which
affect the provisions, terms, or funding of this agreement-
in any manner.
15. Except as otherwise provided in this agreement, any dispute
concerning a question of fact arising under this agreement
which is not disposed of by compromise shall be decided by
POST, who shall reduce its decision in writing and mail or
otherwise furnish a copy thereof to Contractor. Contractor
has fifteen (15) calendar days after receipt of such a
decision to submit .a written protest to POST specifying in •
detail in what particulars the agreement requirements were
exceeded. Failure to submit such a protest within the
period specified shall constitute a waiver of any and all
rights to adjustment in agreement terms and POST's decision
shall be final and conclusive. Pending final decision of a
dispute hereunder, Contractor shall proceed diligently with
the performance of this agreement upon receipt of written
order from POST to do so.
16. Both contracting parties shall be subject to the examination
and audit of the State Auditor for a period of three years
after final payment under this agreement (Government Code
Section 8546.7). The examination and audit shall be
confined to those matters connected with the performance of
the contract, including, but not limited to, the costs of
administering the contract.
17. In accordance with provisions of the State Administrative
Manual, Section 1283, Contractor's performance under this
agreement will be evaluated. The evaluation will be
prepared by POST within 30 days after completion of the
agreement.
18. By signing this contract, Contractor or grantee hereby
certifies under penalty of perjury under laws of the State

of California that Contractor or grantee will comply with
the requirements of the Drug Free Workplace Act of 1990
(Government Code Section 8350 et seq.) and will provide a
drug -free workplace by taking the following actions:
1) Publish a statement notifying employees that unlawful
manufacture, distribution, dispensation, possession, or
use of a controlled substance is prohibited and
specifying actions to be taken against employees for
violations, as required by Government Code Section 8355
(a) .
2) Establish a Drug -Free Awareness Program as required by
Government Code Section 8355 (b) to inform employees
about all of the following:
a) the dangers of drug abuse in the workplace;
b) the person's or organization's policy of
maintaining a drug -free workplace;
c) any available counseling, rehabilitation and
employee assistance programs; and,
. d) penalties that may be imposed upon employees for
drug abuse violations.
3) Provide, as required by Government Code Section 8355
(c), that every employee who works on the proposed
contract:
a) will receive a copy of the company's drug -free
policy statement; and,
b) will agree to abide by the terms of the company's
statement as a condition of employment on the
contract.
Failure to comply with these requirements may result in
suspension of payments under the contract or
termination of the contract or both and Contractor or
grantee may be ineligible for award of any future state
contracts if the department determines that any of the
following has occurred: (1) Contractor or grantee has
made false certification, or (2) violates the
certification by failing to carry out the requirements
as noted above.

not exceeding the costs listed below may be made by Contractor
without prior authorization from POST. Production costs

Contractor will be reimbursed for wear and tear of its equipment
according to the following schedule. Schedule values are equal
to approximately 50$ of the negotiated rental rate for comparable
equipment. The rate for equipment not included on the schedule
will be computed using the same equation (rate equal to
approximately 500 of the negotiated rental rate for comparable
equipment.)

of California that Contractor or grantee will comply with
the requirements of the Drug Free Workplace Act of 1990
(Government Code Section 8350 et seq.) and will provide a
drug -free workplace by taking the following actions:
1) Publish a statement notifying employees that unlawful
manufacture, distribution, dispensation, possession, or
use of a controlled substance is prohibited and
specifying actions to be taken against employees for
violations, as required by Government Code Section 8355
(a) .
2) Establish a Drug -Free Awareness Program as required by
Government Code Section 8355 (b) to inform employees
about all of the following:
a) the dangers of drug abuse in the workplace;
b) the person's or organization's policy of
maintaining a drug -free workplace;
c) any available counseling, rehabilitation and
employee assistance programs; and,
d) penalties that may be imposed upon employees for
drug abuse violations.
3) Provide, as required by Government Code Section 8355
(c), that every employee who works on the proposed
contract:
a) will receive a copy of the company's drug -free
policy statement; and,
b) will agree to abide by the terms of the company's
statement as a condition of employment on the
contract.
Failure to comply with these requirements may result in
suspension of payments under the contract or
termination of the contract or both and Contractor or
grantee may be ineligible for award of any future state
contracts if the department determines that any of the
following has occurred: (1) Contractor or grantee has
made false certification, or (2) violates the
certification by failing to carry out the requirements
as noted above.

will be computed using the same equation (rate equal to
approximately 50t of the negotiated rental rate for comparable
equipment.)

RESOLUTION NO. 96 -33
A RESOLUTION OF THE CITY COUNCIL OF
THE CITY OF NEWPORT BEACH AUTHORIZING
THE CITY MANAGER TO EXECUTE AN
AGREEMENT WITH THE COMMISSION ON
PEACE OFFICER STANDARDS AND TRAINING
TO PRODUCE TRAINING VIDEOTAPES.
WHEREAS, the Commission on Peace Officer Standards and Training
(POST) intends to engage in a series of contracts with the Newport Beach
Police Department Video Unit to produce training videotapes; and
WHEREAS, production of the training videotapes provides revenue to the
City; and
WHEREAS, POST and the State of California require contracts be signed by
persons authorized by resolution of the governing body of the City to sign such
contracts; and
WHEREAS, the City Council has determined that the City is fully qualified to
prepare the videotapes, and desires the City to enter into such agreements.
NOW, THEREFORE, BE IT RESOLVED that the City Manager of the City of
Newport Beach is hereby authorized to execute video production agreements
with the Commission on Peace Officer Standards and Training.
