engineering agreement with Robert Bein, William Frost
and Associates.
DISCUSSION:

The 1992/93 Capital Improvement program includes an
appropriation for street rehabilitation projects that utilizes funding
from the Measure "M" Local Turnback funds under the Orange County
Combined Transportation Funding Program ( OCCTFP). The purpose of this
appropriation is to design and construct local transportation
improvements within the City. Additionally, it is the goal of this
program to prepare completed design projects so that the City can take
advantage of outside funding opportunities for construction projects
as they become available.
•The proposed design project to rehabilitate Balboa Boulevard
from Adams Street to "A" Street will include the preparation of plans,
specifications, and cost estimates. Preliminary design plans were
originally prepared in 1988 and recently updated by Robert Bein,
William Frost and Associates as a result of the completed Balboa
Business District Improvement Study. The recommended design consists
of the replacement of curb, gutter, sidewalk and street pavement and
the construction of a local storm drain system to eliminate deficient
street improvements and improve drainage. The completed project will
produce a "shelf ready" construction project package that could be
constructed within the next fiscal year pending City funding abilities
and the timing of possible outside funding programs which may be
initiated by the State or Federal government.
In 1987 proposals to provide surveying and engineering
service necessary to study alternatives and prepare preliminary street
and storm drain plans were requested from the Keith Companies and
Robert Bein, William Frost and Associates. After reviewing the
proposals and interviewing the two firms, Robert Bein, William Frost
and Associates was selected. An Engineering Services Agreement was
•executed on June 25, 1987, and the work was completed in 1988. Based
on the successful completion of that phase of the project and their
experience with the proposed project area, City staff recommends that
an engineering agreement be executed with Robert Bein, William Frost
and Associates for the preparation of the final improvement plans,
specifications, and estimates. Fees are to be at standard hourly
rates on a time and materials basis for an amount not to exceed
$34,900. Funding is currently available within the OCCTFP account,
#7483- 983130.��

/may THIS AGREEMENT, entered into this day of
11993, by and between the CITY OF NEWPORT BEACH, a
municip f1corporation, (hereinafter referred to as "CITY ") and
Robert Bein, William Frost and Associates, whose address is 14725
Alton Parkway, Irvine, CA 92713 -9739 (hereinafter referred to as
"CONSULTANT ") is made with reference to the following:
R E C I T A L S:
A. CITY is a municipal corporation duly organized and
validly existing under the laws of the State of California with
the power to carry on its business as it is now being conducted
under the Statues of the State of California and the Charter of
the City.
B. CITY and CONSULTANT desire to enter into an
agreement for engineering services for the preparation of final
plans, specifications, and estimates for Balboa Boulevard
Improvements, Adams Street to "A" Street.
NOW, THEREFORE, it is mutually agreed by and between
the undersigned parties as follows:
SECTION 1. TERM
The term of this agreement shall commence on the 11th
day of May, 1993, and shall terminate on the 31st day of
August, 1993, unless terminated earlier as set forth herein.
SECTION 2. SERVICES TO BE PERFORMED BY THE CONSULTANT
CONSULTANT shall complete all services and work as
outlined in Exhibit "A ", the Proposal dated April 23, 1993, by
Robert Bein, William Frost and Associates which is attached
hereto.

SECTION 3: COMPENSATION TO CONSULTANT
CONSULTANT shall be compensated for services performed
pursuant to this Agreement based on a percentage of tasks
completed as shown in Exhibit "B" of the proposal dated April 23,
1993, by Robert Bein, William Frost and Associates which is
attached hereto at a cost not to exceed Thirty -three thousand,
nine hundred dollars ($33,900.00) plus a budget amount of one
thousand ($1000) for direct cost of reimbursable expenses. The
City reserves the right to request billing information to support
payment requests.
SECTION 4: STANDARD OF CARE
CONSULTANT agrees to perform all services hereunder in a
manner commensurate with the community professional standards and
agrees that all services shall be performed by qualified and
experienced personnel who are not employed by the CITY nor have
any contractual relationship with the CITY.
SECTION 5: INDEPENDENT PARTIES
CITY and CONSULTANT intend that the relation between them
created by this Agreement is that of employer /independent
contractor. The manner and means of conducting the work are
under the control of CONSULTANT, except to the extent they are
limited by statute, rule or regulation and the express terms of
this Agreement.
SECTION 6: HOLD HARMLESS
CONSULTANT shall indemnify and hold harmless CITY, its CITY
Council, boards and commissions, officers and employees from and
against any and all losses, damages, liability, claims, suits,
costs and expenses whatsoever, including reasonable attorneys'
fees, regardless of the merit or outcome of any such claim or
suit arising from or in any manner connected to CONSULTANT's
negligent performance of services or work conducted or performed
pursuant to this Agreement.

7. INSURANCE

On or before the commencement of the term of this Agreement,
CONSULTANT shall furnish CITY with certificates showing the type,
amount, class of operations covered, effective dates and dates of
expiration of insurance coverage in compliance with paragraphs
7A, B, C and D. Such certificates, which do not limit
CONSULTANT'S indemnification, shall also contain substantially
the following statement: "Should any of the above insurance
covered by this certificate be canceled or coverage reduced
before the expiration date thereof, the insurer afforded coverage
shall provide thirty (30) days' advance notice to the CITY by
certified mail, Attention: Public Works Director.
It is agreed that CONSULTANT shall maintain in force at all
times during the performance of this Agreement all appropriate
coverage of insurance required by this Agreement with an
insurance company that is acceptable to CITY and licensed to do
insurance business in the State of California.
A. COVERAGE CONSULTANT shall maintain the following
insurance coverage:
(1) Worker's Compensation
Statutory coverage as required by the State of
California.
(2) Liability
Comprehensive general coverage in the following
minimum limits:

Property Damage: $100,000 each occurrence

If submitted, combined single limit policy with aggregate
limits in the amount of $1,000,000 will be considered equivalent
to the required minimum limits shown above.
(3) Professional Liability
Professional liability insurance which includes

coverage for the professional acts, errors, and omissions of the
CONSULTANT in the amount of $1,000,000.
B. SUBROGATION WAIVER
CONSULTANT agrees that in the event of loss due to any of
the perils for which it has agreed to provide comprehensive
general and automotive liability insurance, that CONSULTANT shall
look solely to its insurance for recovery. CONSULTANT hereby
grants to CITY, on behalf of any insurer providing comprehensive
general and automotive liability insurance to either CONSULTANT
or CITY with respect to the services of CONSULTANT herein, a
waiver of any right of subrogation which any such insurer of said
CONSULTANT may acquire against CITY by virtue of the payment of
any loss under such insurance.
C. FAILURE TO SECURE
If CONSULTANT at any time during the term hereof should fail
to secure or maintain the foregoing insurance, CITY shall be
permitted to obtain such insurance in the CONSULTANT's name or as
an agent of the CONSULTANT and shall be compensated by the
CONSULTANT for the costs of the insurance premiums at the maximum
rate permitted by law computed from the date written notice is
received that the premiums have been paid.
D. ADDITIONAL INSURED
CITY, its City Council, boards and commissions, officers,
and employees shall be named as an additional insured under all
insurance coverage, except any professional liability insurance,
required by this Agreement. The naming of an additional insured
shall not affect any recovery to which such additional insured
would be entitled under this policy if not named as such
additional insured. An additional insured named herein shall not
be held liable for any premium, deductible portion of any loss,
or expense of any nature on this policy or any extension thereof.
Any other insurance held by an additional insured shall not be
required to contribute anything toward any loss or expense
covered by the insurance provided by this policy.

SECTION S. PROHIBITION AGAINST TRANSFER
CONSULTANT shall not assign, sublease, hypothecate, or
transfer this Agreement or any interest therein directly or
indirectly, by operation of law or otherwise without the prior
written consent of CITY. Any attempt to do so without said
consent shall be null and void, and any assignee, sublessee,
hypothecate or transferee shall acquire no right or interest by
reason of such attempted assignment, hypothecation or transfer.
The sale, assignment, transfer or other disposition of any
of the issued and outstanding capital stock of CONSULTANT, or of
the interest of any general partner or joint venturer or
syndicate member or cotenant if CONSULTANT is a partnership or
joint venture or syndicate or cotenancy, which shall result in
changing the control of CONSULTANT, shall be construed as an
assignment of this Agreement. Control means fifty percent (50 %)
or more of the voting power of the corporation.
SECTION 9: PERMITS AND LICENSES
CONSULTANT, at its sole expense, shall obtain and maintain
during the term of this Agreement, all appropriate permits,
licenses and certificates that may be required in connection with
the performance of services hereunder.
SECTION 10: REPORTS
Each and every report, draft, work - product, map, record and
other document reproduced, prepared or caused to be prepared by
CONSULTANT pursuant to or in connection with this Agreement shall
be the exclusive property of CITY.
CITY shall make no use of materials prepared by CONSULTANT
pursuant to this Agreement, except for construction, maintenance
and repair of the Project. Any use of such documents for other
projects, and any use of uncompleted documents, shall be at the
sole risk of the CITY and without liability or legal exposure of
the CONSULTANT.
No report, information or other data given to or prepared or

assembled by the CONSULTANT pursuant to this Agreement shall be
made available to any individual or organization by the
CONSULTANT without prior approval by CITY.
CONSULTANT shall, at such time and in such form as CITY may
require, furnish reports concerning the status of services
required under this Agreement.
SECTION 11: RECORDS
CONSULTANT shall maintain complete and accurate records with
respect to costs, expenses, receipts and other such information
required by CITY that relate to the performance of services
required under this Agreement.
CONSULTANT shall maintain adequate records of services
provided in sufficient detail to permit an evaluation of
services. All such records shall be maintained in accordance
with generally accepted accounting principles and shall be
clearly identified and readily accessible. CONSULTANT shall
provide free access to the representatives of CITY or its
designees at all proper times to such books and records, and
gives CITY the right to examine and audit same, and to make
transcripts therefrom as necessary, and to allow inspection of
all work, data, documents, proceedings and activities related to
this Agreement. Such records, together with supporting
documents, shall be kept separate from other documents and
records and shall be maintained for a period of three (3) years
after receipt of final payment.
SECTION 12: NOTICES
All notices, demands, requests or approvals to be given
under this Agreement shall be given in writing and conclusively
shall be deemed served when delivered personally or on the second
business day after the deposit thereof in the United States mail,
postage prepaid, registered or certified, addressed as
hereinafter approved.

SECTION 13:
Either party may terminate this Agreement at any time and
for any reason by giving the other party seven (7) days' prior
written notice; notice shall be deemed served upon deposit in the
United States Mail, postage prepared, addressed to the other
party's business office. In the event of termination due to the
fault of CONSULTANT, CITY shall be obligated to compensate
CONSULTANT for only those authorized services which have been
completed and accepted by CITY. If this Agreement is terminated
for any reason other than fault of CONSULTANT, CITY agrees to
compensate CONSULTANT for the actual services performed up to the
effective date of the Notice of Termination, on the basis of fee
schedule contained above, subject to any maximum amount to be
received for any specific service.
SECTION 14: COST OF LITIGATION
If any legal action is necessary to enforce any provision
hereof or for damages by reason of an alleged breach of any
provisions of this Agreement, the prevailing party shall be
entitled to receive from the losing party all costs and expenses
in such amount as the court may adjudge to be reasonable
attorneys' fees.

SECTION 15:
CONSULTANT shall comply with all laws, state or federal, and
all ordinances, rules and regulations enacted or issued by CITY.
SECTION 16: WAIVER
A waiver by CITY of any breach of any term, covenant, or
condition contained herein shall not be deemed to be a waiver of
any subsequent breach of the same or any other term, covenant, or
condition contained herein whether of the same or a different
character.
SECTION 17: INTEGRATED CONTRACT
This Agreement represents the full and complete
understanding of every kind of nature whatsoever between the
parties hereto and all preliminary negotiations and agreements of
whatsoever kind or nature are merged herein. No verbal agreement
or implied covenant shall be held to vary the provisions hereof.
Any modification of this Agreement will be effective only by
written execution signed by both CITY and CONSULTANT.
IN WITNESS WHEREOF, the parties have caused this Agreement
to be executed on the day and year first above written.

EXIHBIT "A"
SCOPE OF SERVICES
BALBOA BOULEVARD IMPROVEMENTS
ADAMS STREET TO "A" STREET
TASK DESCRIPTION
A. Utility Notification
April 23, 1993
As a part of the Balboa Business District Preliminary Plans, RBF contacted the
Utility Owners with facilities within the Project limits and received record drawings
from them. It is anticipated that this task would involve the preparation of one
"Utility Notice" to be sent to each of the various owners to notify them that work
will be performed in the area, and they should coordinate any work they may need
to complete with the City.
B. Utility Pothole Survey
Consultant shall provide field surveying services to locate utility facilities exposed by
City potholing services. Consultant shall obtain:
• Size of facility (and pipe material, if discernable)
• Location of facility (ties to curb face)
• Depth to top of pipe
It is anticipated that five (5) pothole locations will be required to adequately
determine utility locations. For budgetary purposes, eight (8), two (2) man survey
crew hours are allocated for this task.
C. Street Improvement Plans
Consultant shall prepare street improvement plans at 1" = 20' scale that show
construction necessary to complete the rehabilitation of Balboa Boulevard from
Adams Street to "A" Street. As we discussed, there may be "temporary"
construction required on the adjacent intersecting streets to avoid drainage and /or
join to existing problems. It is anticipated that reconstruction of Balboa Boulevard
will require construction from back of walk /building face to back of walk /building
face. As a part of the Balboa Business District Project, RBF obtained the field and
aerial topographic survey necessary to complete this Project. It is estimated that the
plans will include the following:
• A title sheet for the Project prepared in accordance with City of
Newport Beach Standards.

• One (1) detail sheet showing details and typical sections necessary to
construct the Project.
• One (1) "double- loaded" plan sheet showing utility locations and
removals.
• Two (2) plan and profile sheets showing curb and gutter, sidewalk, and
pavement improvements necessary to construct the Project.
The construction plans will be prepared in accordance with City direction and by
utilizing the previously completed preliminary plans as a guideline. It is anticipated
that submittals will be made to the City at the 50% completion level and 100%
completion level.
It is anticipated that the street improvement plans will be based on a combination
of alternatives II and IIA that were submitted to the City in May, 1988. Alternative
JI included a separate storm drain system within each intersecting street with Balboa
Boulevard and Alternative IIA included a longitudinal storm drain system within
Balboa Boulevard that traversed down Main Street and outletted in to the Bay
adjacent to the Balboa Pavilion.
D. Preliminary Storm Drain System Alternatives Evaluation
Consultant shall evaluate two (2) alternative storm drain systems that have been
previously proposed in association with the improvements to Balboa Boulevard. The
first system, indicated as Alternative II on the Balboa Boulevard preliminary design
plans indicates storm drain systems in Adams Street, Palm Street and Washington
Street each progressing northerly to separate outfall locations in Newport Bay. The
second option proposes a storm drain system originating at Adams Street traveling
easterly to Main Street where it turns north to Newport Bay. The two systems will
be evaluated based on the following criteria: Construction cost, projected
maintenance costs and performance. Construction costs will include placement of
all conduits, trenching, backfill and replacement of street section, catchbasins,
manholes, junctions and bulkhead outfalls. An allowance will be made for
dewatering and utility relocation. Projected maintenance costs will be a quasi
subjective evaluation based on the portion of the system that will remain submerged
in seawater, conduit velocities and outfall location. System performance will be
determined based on the area that will be improved relative to existing local flooding
problems and the ability of the system to achieve accepted inlet freeboard at sump
locations. The results of the investigation will be provided in report format including
a decision matrix indicating the primary factors to be considered in the selection of
the "best" alternative. The Consultant will also make a recommendation as to a
preferred alternative for the City's consideration. Upon the selection of a preferred
storm drain system by the City, the Consultant will revise the hydrology study
previously prepared for the Project dated July 22, 1992.

E. Storm Drain Improvement Plans
Consultant shall provide final engineering services for the preparation of construction
plans for the proposed storm drain based upon the recommended results of the
Alternatives Analysis (Item D). For the purposes of this Scope, it is assumed that
Alternative IIA will be selected as the preferred alternative. If Alternative IIA is not
selected, the Consultant shall revise this Scope to reflect the selected system
configuration. Construction plans will be prepared on standard City of Newport
Beach sheets at a scale of 1" = 20, mylar drawings, utilizing the base sheet
information compiled from research, utility investigations, potholing and survey data.
Utilities within the proximity of the construction will be located on the plan and
crossings also shown in the profile (vertical locations will be obtained as a result of
field survey identified in Task "B "). The construction plans will include the structural
details, pipe schedules and lateral profiles. The plans will be prepared using the City
of Newport Beach Standard Plans supplemented by the Orange County EMA
Standard Plans as applicable. This work item is based on the proposed construction
of about 1100 lineal feet of storm drain along Balboa Boulevard and Main Street.
It is estimated that three (3) plan and profile sheets showing manholes, inlets and
piping necessary to construct the Project and one (1) detail sheet will be required for
this task.
R Traffic Signing and Striping Plans
Consultant shall prepare traffic signing /striping plans for approximately 1,200 feet
along Balboa Boulevard and approximately 50 feet on intersecting streets that are
being reconstructed. The plans will show existing and proposed traffic lane striping
and traffic signage. No change in existing traffic signage is anticipated, but signs will
be shown for record drawing information.
It is estimated that one (1) "double loaded" sheet at 1" = 20' scale will be required
for this task.
C. Traffic Signal Loop Detection
Consultant shall field review City furnished traffic signal plans for Balboa Boulevard
at Palm Street and Main Street to verify location of traffic signal loop detection that
will be damaged by construction. Replacement of loops will be shown on the Traffic
Signing and Striping Plans rather than preparation of separate plans, in order to
minimize Project design cost.
H. Engineer's Quantity and Cost Estimate
Consultant shall prepare two (2) Engineer's Quantity and Cost Estimates for this
Project. Said estimates will be submitted as a part of the 50 and 100 percent plan
checks.

L Construction Specifications and Bid Documents
• April 23, 1993
Consultant shall prepare technical specifications for construction of the Project. The
specifications will conform with the most recent applicable standards and
specifications from the following:
• City of Newport Beach Standard Plans and Specifications
• Standard Specifications for Public Works Construction, 1991 Edition, including
1992 and 1993 supplements
• Caltrans Standard Plans and Specifications dated July, 1992.
This task will also include preparation of a list of bid items to be included in the
Proposal Section to accompany the technical specifications prepared for the Project.
It is understood that the technical specifications will be incorporated into the contract
document package to be compiled by the City.
J. Meetings and Consultation
Consultant shall provide consultation and meeting attendance with the City as
deemed necessary by the City. As a minimum, Consultant shall attend the following
meetings with the City:
• Pre - Design
• 50% Submittal
• 100% Submittal
• Pre -Bid Conference
For budgetary purposes, twenty (20) manhours have been allocated to this task.

AVAILABLE OPTIONAL SERVICES
• April 23, 1993
Any work relating to the following is specifically excluded from the engineering services
proposed herein and, if required, must be contracted for under separate contract or as a
addendum to this Contract:
1. Right -of -Way Acquisitions
It is understood that all right -of -way has been acquired or will be acquired by the
City of Newport Beach and such acquisitions will not be included in this Proposal.
2. Construction Inspection, Staking and Management
Inspection, Staking and Management of the construction of this project is specifically
excluded from this Proposal.
3. Utility Potholing
Any utility potholing necessary for the completion of the design of this Project shall
be provided by the serving utility or the City of Newport Beach as necessary and
therefore is not included in this Proposal.
4. Coordination and Meetings with Adjacent Property Owners
Coordination with adjacent property owners is specifically excluded from this
Proposal.
5. Ceotechnical and Pavement Investigation
Based on conversations with City Staff on April 15, 1993, it is understood that the
traffic index (T.I.) is 9.1 and the R -value for the soil varies from 71 -76. For purposes
of this Proposal, it is assumed that the pavement structural section will be 6' AC /8"
AB or 9'/2" full -depth AC over compacted native.
6. Legal Descriptions and Exhibits
The preparation of legal descriptions and exhibits is excluded from this Proposal, and
if requested by the City, will be provided under a separate contract.
7. Traffic Signal Modification
Any work related to the modification of the traffic signals on Balboa Boulevard at
Palm Street and Main Street is specifically excluded from this Proposal.

8. Intersection Grid Design
Intersection grid design is specifically excluded from this Proposal. It is anticipated
that intersection grids will not be required for this Project.
9. Landscaping and Irrigation Plans
It is assumed that all landscaping and irrigation for the Project will be provided by
the property owner as a result of negotiations and preparation of separate landscape
and irrigation plans will not be necessary.
10. Utility Relocation Plans
The preparation of utility relocation plans is specifically excluded from this Proposal.
It is assumed that the individual utility owners will prepare plans to accommodate
relocation of their facilities affected by this Project. Should any utility relocation or
construction of new utilities be requested by the City, they will be provided under a
separate contract.
11. Traffic Control Plans
It is assumed that all traffic control will be provided by the Contractor in accordance
with the Work Area Traffic Control Handbook (WATCH), 1990 Edition and the
preparation of traffic control plans will not be required.
12. Harbor Bulkhead
Any work relating to construction of a bulkhead on Bay Avenue near the Fisherman's
Club is specifically excluded from this Proposal.

EXHIBIT "B"
COMPENSATION
BALBOA BOULEVARD IMPROVEMENTS
ADAMS STREET TO "A" STREET
Client agrees to compensate Consultant for such services as set forth in Exhibit "A" as
follows:
A fee in the amount of Thirty Three Thousand Nine Hundred ($33,900) Dollars for all
items of work set forth in the Scope of Work defined herein plus the reimbursable cost of
reproductions. Monthly billings will be made and will be based upon the estimated
percentage of completion of each item of work as of the billing closing date as follows:
Progress billing will be forwarded to the Client prior to the tenth (10th) day of each month on a monthly
basis. These billings will include the fees earned for the billing period plus all direct costs advanced by
Consultant. The Client shall make every reasonable effort to review invoices within fifteen (15) working
days from the date of receipt of the invoices and notify Consultant in writing of any particular item that
is alleged to be incorrect.
The fees proposed herein shall apply until August 1, 1993. Due to ever- changing costs, Consultant will
increase those portions of the contract fee for which work must still be completed after August 1 by ten
percent (10 %).
