Raggio City Clerk WER:pm Attachment 3300 Newport Boulevard, Newport Beach f May 24,1993 Council Agenda Item No. 13 c -z9�7 TO: Mayor and Members of the City Council FROM: Tim Riley, Fire Chief -JtL., SUBJECT: Professional Service Agreement with Centinela Hospital ; 4 i9` TPROVa- RECOMMENDATION: Authorize the Mayor and the City Clerk to enter into a Professional Service Agreement with Centinela Hospital's Fitness Institute to provide firefighters with Executive Health and Fitness Evaluations. DISCUSSION: The Memorandum of Understanding between the City and the Newport Beach Firefighters' Association provides for all sworn personnel to receive a complete health and fitness evaluation or a medical examination each year, the employee's preference being the determining factor. The evaluation or examination is to be provided at City expense by an approved vendor. In 1991, the Fire Department entered an agreement with Centinela Hospital to provide health and fitness evaluations. This agreement expired in January 1993. We have negotiated with Centinela for another two -year contract, May 1, 1993 through May 1, 1995. Each Executive Health and Fitness Evaluation will cost $550.00 with an optional sigmoidoscopy test (colon cancer detection) for an additional $165.00. The test results are mailed to the employee and notification indicating whether the firefighter is fit or not fit for duty is sent to the City. • • e -Z9e�7 CENTINELA HOSPITAL'S FITNESS INSTITUTE PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT, entered into this 6th day of April, 1993 between CENTINELA HOSPITAL'S FITNESS INSTITUTE, a California non- profit corporation, hereinafter called "INSTITUTE" and THE CITY OF NEWPORT BEACH, hereinafter called "NEWPORT" is made reference to the following facts: A. INSTITUTE is the operator of a health and fitness facility located at 6666 Green Valley Circle, Culver City, California 90230. B. NEWPORT is engaged in the business of city affairs, protection, and safety and has a principal place of business located at City Hall, P. O. Box 1768, Newport Beach, California 92658 -8915. C. The parties to this Agreement desire to enter into this agreement in order to provide a full statement of their respective responsibilities in connection with the providing of Executive Health and Fitness Evaluations for its firefighters. THEREFORE, NEWPORT hereby engages the services of the INSTITUTE, and for and in consideration of the mutual covenants and agreements hereinafter contained, the parties agree as follows: 1. Term: This Agreement shall be for the through May 1, 1995 and may be or without cause giving thirty other party. 2. Services: period May 1, 1993 terminated by either party with (30) days written notice to the INSTITUTE agrees to provide Newport Beach firefighters with Executive Health and Fitness Evaluations. These services shall be scheduled pursuant to the appointment protocol established by the INSTITUTE. Each exam will take approximately 3 1/2 hours to complete. A copy of each employee's test results will be mailed to their home address. Additional copies will be sent to the employee's personal physician upon request if the individual will sign an Authorization to Release Medical Information form at the INSTITUTE. A letter of notification will be sent to the City of Newport Beach indicating whether the firefighter is fit for duty or not. Professional Services Agreement Page 2 Components of the Executive Health and Fitness Evaluation are as follows: Detailed medical history questionnaire Height and weight measurements Resting blood pressure and heart rate Resting electrocardiogram Comprehensive physical examination (by physician) including cardiopulmonary, nose, throat, abdominal, genital and rectal. Comprehensive blood analysis (including known factors related to coronary heart disease, e.g. total cholesterol, high density lipoproteins and triglycerides; as well as iron metabolism and thyroid, liver, prostate and kidney functions) Urinalysis Hemoccult (bowel cancer detection test) Glaucoma test (over age 40) Vision test Hearing test Chest X -Ray (2 views: front and side) Spirometry (pulmonary function) Cardiovascular fitness test (monitored and graded treadmill with oxygen consumption measurement to determine efficiency of heart, blood vessels, and lungs). Body composition analysis (hydrostatic weighing and skinfold measurements) Strength and flexibility tests (arms, chest, legs, and lower back) Consultation with exercise physiologist immediately following testing to review preliminary results, cardiac risk profile, exercise prescription, and nutritional recommendations. Comprehensive written report (includes physician's review of test results with recommendations and supplemental health /fitness information). • Professional Services Agreement Page 3 3 4. 5 R 7 Fee: Executive Health and Fitness Evaluation Optional Test: E Sigmoidoscopy (for colon cancer detection) Billing: $ 550.00 $ 165.00 INSTITUTE shall render statements monthly based upon the number of examinations done during the month. NEWPORT shall process and pay said invoices within thirty (30) days after receipt. Devotion of Time: The INSTITUTE shall devote such time to the performance of its duties under this Agreement as is reasonably necessary for a satisfactory performance. Assignment: NEWPORT shall not assign any rights or delegate any obligations under this Agreement without the written consent of INSTITUTE. Waiver of Breach: No assent or waiver, express or implied, of any breach of any one or more of the covenants, conditions or provisions hereof shall be deemed or taken to be a waiver of any subsequent breach of the same covenant, condition or provision hereof. Captions: The captions used herein as headings of various articles are for convenience only, and the parties agree that such captions are not to be construed to be part of this contract or to be used in determining or construing the intent or context of this Agreement. 8. Attorney's Fees: If any action at law or in equity is brought to enforce or interpret the provisions of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees in addition to any other relief to which it may be entitled. • Professional Services Agreement Page 4 9. Notices: 0 Any notice to be given hereunder by either party to the other shall be affected by personal delivery to the office of the Executive Director in the case of notice to the INSTITUTE, located at 6666 Green Valley Circle, Culver City, California 90230 and to the Personnel Director, located at the City of Newport Beach, City Hall, P. O. Box 1768, Newport Beach, California 92658 -8915. 10. Entire Agreement: This Agreement supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to said subject matter. This Agreement may not be modified except by an instrument in writing executed by the parties hereto. IN WITNESS THEREOF, the parties hereto have caused this Agreement to be executed on the day and year hereinabove first written.
