Raggio City Clerk WER:pm Attachment 3300 Newport Boulevard, Newport Beach CITY OF NP June 28th, 1993 CITY COUNCIL AGENDA ITEM NO. /z APPROVED TO: Mayor & Members of the City Council FROM: Utilities Department SUBJECT: AGREEMENT FOR CONSTRUCTION OF SEWER IMPROVEMENTS IN COAST HIGHWAY AT RIVERSIDE AVENUE AND COST SHARING WITH THE COUNTY SANITATION DISTRICTS OF ORANGE COUNTY ( CSDOC) RECOMMENDATIONS: Approve an agreement with CSDOC on cost sharing and providing for construction of certain sewer improvements in conjunction with the Coast Highway Trunk Sewer Project. 2. Authorize the Mayor and City Clerk to execute the Agreement. 3. Require CSDOC to obtain a public works encroachment permit on behalf of their contractor, for all project improvements and waive fees for same. DISCUSSION: The proposed CSDOC Coast Highway Trunk Sewer Project will provide for replacement and reconstruction of their large diameter gravity sewer in the north side of Coast Highway, from Dover Drive, easterly to 'The Arches Interchange ". The City has had frequent maintenance and stoppage problems in the sewer siphon across Coast Highway at Riverside Drive. The siphon was originally installed in 1946. In 1988, the City hired a consulting civil engineer to design a replacement of the sewer siphon. However, because of the difficulties with traffic control and utility conduit conflicts, the project was not implemented. Because CSDOC is proposing some significant sewer construction in the area, the City has an opportunity to coordinate work and complete it under the CSDOC contract. The City requested CSDOC to include the replacement of the sewer main across Coast Highway at Riverside Avenue. CSDOC agreed, and incorporated those improvements into their project plans and specifications. The City provided the previously prepared design information to CSDOC's consulting engineer. This proposed Agreement provides for reimbursement to CSDOC for construction of City sewer improvements. • Pap CSDOC Cost Sharing Agreement Coast Highway Trunk Sewer Project June 28, 1993 The agreement was not in final form as of the writing of this staff report, however, the principal terms of the proposed reimbursement Agreement with CSDOC are as follows: 1. CSDOC includes 8 -inch diameter sewer main and manhole replacements at Coast Highway and Riverside Avenue and a segment easterly of the new "Pelican Wall" into their ( CSDOC Contract 5 -37 -4) Coast Highway Trunk Sewer Project construction. 2. City provides CSDOC consultant with design information. 3. City performs surveying and field excavation of existing utilities to verify design. 4. CSDOC solicits bids for City improvements and, if bid price is acceptable to City, CSDOC awards contract and administers its construction. 5. City reimburses CSDOC for actual construction costs plus inspection costs for City's portion of the construction. The estimated cost to City is $46,000. 6. City reimburses CSDOC consultant for drafting expenses to include City design in CSDOC project plans. 7. CSDOC obtains Caltrans and City encroachment permit and meets all permit requirements for construction and traffic control. 8. City waives encroachment permit fees. The City's sewer improvements proposed by this agreement will greatly reduce the required maintenance and cleaning of the gravity sewer line serving the southerly side of Mariner's Mile and the numerous restaurant and commercial establishments. Funds are available in the capital projects portion of the Wastewater Enterprise Fund carried over to fiscal year 1993 -94 under account number 7533 - 98530001. The CSDOC project is currently advertised and is anticipating an award of contract in July 1993, with a proposed construction start date around late September 1993. Utilities Director JS: sdi t 0 c -z,s2 REIMBURSEMENT AGREEMENT WITH CITY OF NEWPORT BEACH THIS AGREEMENT is made and entered into, to be effective the stn day of _September , 1993, by and between: AND COUNTY SANITATION DISTRICT NO. 5 OF ORANGE COUNTY, CALIFORNIA, hereinafter referred to as "District" CITY OF NEWPORT BEACH, a municipal corporation, hereinafter referred to as "City ". WHEREAS, the District is replacing and rehabilitating a sewer pipeline and related facilities in the Pacific Coast Highway which has been designed as "Replacement of Pacific Coast Highway Gravity Sewer, between the Arches (Old Newport Boulevard) and Dover Drive, Contract No. 5 -37-4; and WHEREAS, the City wishes to reconstruct sewer appurtenances, e.g. sewer lines, new and modified manholes, etc., in a portion of the Pacific Coast Highway which is included within the District's Project; and WHEREAS, the Parties mutually agree that combining the District's sewer project with the City's sewer appurtenances project would minimize costs and construction impacts at the site; and WHEREAS, a combined "Project" shall consist of construction of the District's improvements to Pacific Coast Highway Gravity Sewer Replacement and Rehabilitation ( "Sewer Portion "), and the construction of the City's sewer appurtenances and related facilities at the location of the Project shown on District plans for Contract No. 5 -37 -4 on Plan Sheet No. 14 of 29 as Item 7 with manhole and appurtenances herein referred to as "City's portion'; and 0 WHEREAS, District and City desire to set forth their respective rights and obligations concerning the Project. NOW, THEREFORE, the parties agree as follows: Section 1: Project Design District shall prepare, or cause to be prepared, plans and specifications for the entire Project, including the City's portion of the Project. City of Newport Beach shall be responsible for the drafting cost of their portion of the Project at no cost to District. District's consultant shall incorporate City's design into Project plans and specifications. City shall compensate District's engineer directly. Section 2: District's Responsibilities District shall be solely responsible for the preparation and awarding of the contract pursuant to the applicable public bid requirements for the construction of the entire Project, including the construction of the District's Replacement and Rehabilitation Sewer portion and the City's portion of the Project. District shall be responsible for the preparation of all legal documents, including the notice inviting bids, instructions to bidders, schedule of prices, and any related construction agreements, surety bonds and insurance certificates. District shall be solely responsible for the administration and performance of the contract awarded to contractor for the construction of the entire Project. Section 3: Right of Access City shall have the right of access to the construction site of the Project at all times during the construction of the Project. Section 4: Costs A. District's Costs District shall pay all costs associated with the Replacement and Rehabilitation of the District's portion of Pacific Coast Highway Gravity Sewer Project, including excavation, construction, surveying, inspection and contract administration. 0 0 B. City's Costs The City shall be responsible for all costs associated with design and construction of the City's sewer appurtenances portion of the Project, including engineering, design, excavation, construction, surveying, and inspection. The City shall provide the design to District's consulting engineer for incorporation into Project plans and specifications. The Parties agree that the estimated cost for the City portion of the Project is $31,000. The final cost for the City's portion shall be based upon the appropriate Schedule of Prices and associated bid item(s) for the work to be done for the City and any applicable Change Orders thereto and then eight (8 %) percent shall be added to the cost to cover District's administrative and inspection costs. Costs are depicted on Exhibit "A ". Section 5: Environmental Impact Report/Permits District shall act as Lead Agency and shall be responsible for full compliance with the provisions of the California Environmental Quality Act ( "CEQA ") for the Project. For purposes of CEQA, all work hereunder shall be deemed a single project and reference will be made to District's adopted Master Plan of Sewer Facilities - 1989, as amended and supplemented, and related approved Environmental Impact Report. District shall also obtain all necessary permits to construct the Project. Section 6: Change Orders City shall be given the opportunity to review and approve all change orders issued by District pertaining to the "City's portion" of the Project except for changed conditions requiring immediate action. In which case, District inspector will review changed condition with City inspector, if he is on -site, however District's inspector shall have final say concerning decisions requiring immediate action. City will provide an inspector with authority to approve change orders during the time the contractor is working on "City's portion" of the facilities to be installed as a part of this Project. 0 0 Section 7: Payment A. City shall pay $20,000 of its share to District following receipt of an invoice and shall remit funds within sixty (60) days from date of award of the construction contract. B. City shall pay District the balance of its share of the costs for the City's sewer appurtenances portion during construction within thirty (30) days from receipt of District's invoices for same. Final invoices shall be paid within thirty (30) days after acceptance of the construction of the sewer appurtenances portion of the Project by City. The final invoice shall include all costs due pursuant to Section 4, subparagraph (B), above. District agrees to invoice City proportionate to District contractor's completion percentage of the work items to be reimbursed by City. Section 8: Hold Harmless District shall defend and hold City, its elected and appointed officials harmless from any and all claims, damages, or demands arising out of District's performance of its obligations under this agreement. City shall defend and hold District harmless from any and all claims, damages, or demands arising out of City's performance of its obligations under this agreement. Section 9: Insurance District shall require the construction contractor for the Project to maintain a policy of public liability insurance for personal injury and property damage, including motor vehicle operators, during all times of the contract in the amounts consistent with Districts' policies for all construction agreements. Said policy shall name the City, the District, their officers, agents and employees as additional insureds thereon. Section 10: Integration This Agreement represents the entire understanding of the City and the District as to those matters contained herein. No prior oral or written understanding shall be of any force or effect with respect to those matters covered by this Agreement. This Agreement may not be modified, altered or amended except in writing by the City and the District. 9 P IN WITNESS WHEREOF, the Parties hereto have executed this Agreement on day and year first above written.
