8 The City of Newport Beach, hereinafter
referred to as "CITY,"
9 AND
The County of Orange, a subdivision of the
10 State of California, hereinafter referred to
as "COUNTY."

12 RECITALS
13 WHEREAS, the Upper Newport Bay is a State ecological preserve subject to
14 sedimentation due to storms occurring on the upstream tributary drainage areas; and
15 WHEREAS, in -bay sediment control basins, known as the Unit I and Unit II
16 basins, were constructed in Upper Newport Bay in 1985 and 1988, respectively, to
17 trap incoming sediment, thereby protecting the bay from accumulated sediments; and
18 WHEREAS, the accumulation of sediment in the Unit I basin has filled the
19 basin to its design capacity; and
20 WHEREAS, sediment in the Unit II basin has accumulated to approximately
21 30 percent of its design capacity; and
22 WHEREAS, the Executive Committee for the Upper Newport Bay -San Diego
23 Creek Watershed Stormwater Sedimentation Control Plan, wishes to remove the
24 accumulated sediment from the Unit I basin and access channel to restore the Unit I
25 basin sediment trapping capability; and
26 WHEREAS, the Executive Committee has requested CITY to be responsible
27 for the development of plans, specifications and administration of contracts for
28 construction and maintenance of the in -bay basins and, when possible, coordinate
I these efforts with the U. S. Army Corps of Engineers' Upper Newport Bay Feasibility
2 Study; and
3 WHEREAS, the removal and ocean disposal of the accumulated sediments
4 from the Unit I basin and access channel will require the performance of a bioassay
5 and chemical analysis of the sediment to determine its acceptability for ocean
6 disposal; and
7 WHEREAS, COUNTY is a member of the Executive Committee, the local
8 sponsor for the U. S. Army Corps of Engineers' Upper Newport Bay Feasibility
9 Study, and manages COUNTY tidelands at the Newport Dunes, adjacent to Upper
10 Newport Bay ecological preserve and access channels; and
11 WHEREAS, COUNTY plans a dredging project at the Newport Dunes in an
12 area adjacent to the ecological preserve; and
13 WHEREAS, CITY AND COUNTY wish to avoid duplication and accomplish
14 one bioassay in the Upper Newport Bay which will satisfy the requirements for the
15 Executive Committee's maintenance project, the U. S. Army Corp of Engineers'
16 Feasibility Study, and the COUNTY's Newport Dunes project; and
17 WHEREAS, COUNTY has budgeted funds in its 1993 -94 budget to be used
18 for beneficial purposes within Upper Newport Bay; and
19 WHEREAS, CITY has contributed $100,000 for the coordination and planning
20 efforts directly related to restoration of the Upper Newport Bay and has additional
21 funds available in its 1993 -94 budget to be used for the bioassay; and
22 WHEREAS, the bioassay and chemical analyses will satisfy the requirements
23 of the U. S. Army Corps of Engineers' Feasibility Study of the Upper Newport Bay
24 and will be credited toward the required local agency share; and
25 WHEREAS, the Executive Committee has authorized funding incurred in the
26 coordination, planning, engineering, and environmental efforts required for the Upper
27 Newport Bay maintenance project to be included as part of the total project cost and

I credited to each agency's share of the project cost per the terms of the In -Bay
2 Agreement; and
3 NOW, THEREFORE, THE PARTIES MUTUALLY AGREE AS FOLLOWS:
4 1. PROJECT
5 a. PROJECT shall consist solely of the design and performance of
6 a bioassay and chemical analysis testing of sediment in certain sediment control
7 basins, more specifically known as the Unit I and Unit II basins, and access channels
8 in the Upper Newport Bay Ecological Preserve, and the Newport Dunes to determine
9 the acceptability of the sediment deposits for ocean disposal.
10 b. PROJECT is located within the City of Newport Beach,
11 California, and is more specifically described and illustrated in the accompanying Site
12 Plan and Scope of Work, entitled Exhibit "A," attached hereto and, by this reference,
13 made a part thereof.
14 2. PERFORMANCE
15 CITY agrees to award a contract for said PROJECT by September 30,
16 1994, and to complete PROJECT within one year thereafter. The period for
17 completion, as set forth herein, however, shall be extended by the period that
18 completion is delayed by acts otherwise outside the control of CITY.
19 3. FINANCIAL ASSISTANCE
20 Funding assistance, in an amount not to exceed $75,000, shall be
21 provided by COUNTY from combined Harbors, Beaches and Parks ($60,000) and
22 Newport Tidelands Dredging Reserve ($15,000) funds. Funding assistance shall be
23 used solely for PROJECT's contract costs, including, but not limited to, design,
24 engineering plans and specifications, contract labor, materials, machinery, and /or site
25 reports. Such costs shall not include any expenses for CITY's staff salaries,
26 operations and maintenance of any facilities, equipment, supplies, permit fees or
27 other administrative expenses or overhead.

1 4. ADMINISTRATION
2 CITY shall have the sole responsibility for administering and obtaining
3 all governmental agency approvals for said PROJECT, including, but not limited to,
4 the selection of contractors, management of contractors' work, administration of
5 contracts for compliance with the requirements of all applicable local codes and other
6 regulations.
7 5. NOTIFICATION OF COMPLETION
8 CITY agrees to provide COUNTY with written notification of the date
9 of completion for said PROJECT. "Completion" or "completed," as used herein, shall
10 mean the acceptance of final completed bioassay and chemical analysis of tested
11 sediments by contractor required under said AGREEMENT. Notice of Completion
12 shall be filed with COUNTY within thirty (30) days after completion of PROJECT.
13 6. CITY SHALL:
14 a. remain the 'lead agency" for services required under this
15 AGREEMENT, within the context of the California Environmental Quality Act of
161 1970, as amended.
17 b, provide staff assistance and all permits necessary for PROJECT,
18 at no cost to COUNTY.
19 C. complete PROJECT by September 30, 1995, as evidenced by
20 contract Notice of Completion, executed by CITY and filed with COUNTY.
21 d. invoice COUNTY for an amount not to exceed $75,000. All
22 invoices shall be subject to the routine processing requirements of COUNTY's
23 Auditor - Controller.
24 e. submit a final accounting report to COUNTY no later than
25 thirty (30) days after Notice of Completion is filed, as specified in Paragraph 5 above.
26 Final accounting report shall include a reconciliation of all PROJECT expenditures,
27 including copies of paid bills and invoices. Reimbursement of funds paid by
28 COUNTY in excess of actual approved PROJECT expenditures shall become due
I and payable and shall include remuneration for interest earnings lost, calculated
2 according to the Orange County Treasurer's Net Commingled Interest Rate in effect
3 at the time final accounting report is submitted.
4 f. permit COUNTY to review records relating to PROJECT
5 expenditures.
6 7. COUNTY SHALL:
7 a. remit funds to CITY, as specified in Paragraph 3 above, within
8 sixty (60) days of receipt of CITY's invoice.
9 b. assist CITY in coordinating the completion of bioassay with the
10 U. S. Army Corps of Engineers Upper Newport Bay Feasibility Study.
11 8. NOTICES
12 a. Notices or other communications, which may be required or
13 provided under the terms of this AGREEMENT, shall be given as follows:

23 b. All notices shall be deemed effective when in writing and
24 delivered in person or deposited in the United States mail, first class, postage prepaid
25 and addressed as above. Any notices, correspondence, reports and /or statements,
26 authorized or required by this AGREEMENT, addressed in any other fashion shall
27 be deemed not given. The parties hereto may change the addresses to which notices
28 are to be sent by giving notice of such change to the other party.

1 9. TERMINATION
2 a. Prior to CITY's commitment of funds, such as award of contracts
3 to expend funds that would be reimbursed by COUNTY pursuant hereto, either party
4 may terminate this AGREEMENT, with or without cause, upon notice to the other
5 party.
6 b. Notice of termination shall be in writing and shall state the cause
7 for termination, if cause is required, and the date upon which such termination is
8 effective. Notice shall be served, as provided in Paragrah 8 above.
9 10. FAILURE TO COMPLETE
10 CITY agrees that, in the event it does not complete said PROJECT, as
11 specified in Paragraph 2 above, AGREEMENT shall be subject to termination, as
12 specified in Paragraph 9 above.
13 11. INDEPENDENT CONTRACTOR STATUS
14 This AGREEMENT is by and between COUNTY and CITY and is not
15 intended, and shall not be construed so, as to create the relationship of agent,
16 servant, employee, partnership, joint venture or association, as between COUNTY
17 and CITY.
18 12. INDEMNIFICATION
19 CITY agrees to indemnify, defend and save harmless COUNTY, its
20 agents, officers and employees, from and against any and all liability, expense,
21 including defense costs and legal fees, and claims for damages of any nature
22 whatsoever, including, but not limited to, bodily injury, death, personal injury or
23 property damage, arising from or connected with, CITY's construction, operation, or
24 services provided hereunder, including, without limitation, any workers' compensation
25 suits, liability, or expense arising from, or connected with, services performed on
26 behalf of CITY by any person pursuant to this AGREEMENT.
27 13. TERM OF AGREEMENT
28 The term of this AGREEMENT shall commence upon execution by
COUNTY's Board of Supervisors and shall, with the exception of Paragraph 12
above, terminate on September 30, 1995, or on a date subject to the performance
requirements specified in Paragraph 2 above, or in accordance with the termination
provisions of this AGREEMENT, described in Paragraph 9 above, provided, however,
that CITY's obligations shall remain in effect and be enforceable by COUNTY unless
all funds paid by COUNTY hereunder to CITY have been refunded to COUNTY.

14. EFFECT OF AGREEMENT
This AGREEMENT fully expresses all understanding of the parties and
is the total AGREEMENT between the parties as to the subject matter of this
AGREEMENT. No addition to, or alteration of, the terms of this AGREEMENT,
whether written or verbal, by the parties, their officers, agents or employees, shall be
valid unless in the form of a written amendment to this AGREEMENT, and is
formally approved and executed by all parties.
IN WITNESS WHEREOF, the parties hereto have set their hands and seals
this day and year first hereinabove written.

ORANGE COUNTY, CALIFORNIA MINUTES June 28, 1994
AGREEMENT NO. D94-096 WITH CITY OF NEWPORT BEACH FOR UPPER NEWPORT BAY
BIOASSAY TESTING: Environmental Management Agency requests approval for
execution of a cost sharing agreement with the City of Newport Beach for
Bioassay Testing of Upper Newport Bay sediments in preparation for
implementation of a cooperative dredging project.
MOTION: On motion by Supervisor Riley, seconded by Supervisor wieder,
the Board authorized execution of Agreement No. D94 -096 with the City of
Newport Beach. MOTION UNANIMOUSLY CARRIED.
