TO
PROFESSIONAL SERVICES AGREEMENT
WITH 1UP DESIGN STUDIOS, INC.
FOR DESIGN OF THE
NEWPORT NAVIGATOR/
NEWPORT COAST COMMUNNTY CENTER BROCHURE
THIS AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT, is
entered into as of this 6' day of March 2009, by and between the CITY OF NEWPORT
BEACH, a Municipal Corporation ( "CITY "), and 1UP DESIGN STUDIOS, INC. a, a
California Corporation,whose address is 18021 Sky Park Circle, Suite J -2, Irvine
California, 92614 ( "CONSULTANT "), and is made with reference to the following:
RECITALS:
A. On June 4, 2008, CITY and CONSULTANT entered into a Professional Services
Agreement, hereinafter referred to as "AGREEMENT," for GRAPHIC DESIGN
SERVICES services for the NEWPORT NAVIGATOR/NEWPORT COAST
COMMUNITY CENTER BROCHURE, hereinafter referred to as "PROJECT."
B. CITY desires to enter into this AMENDMENT NO. 1 to reflect additional services
not included in the AGREEMENT.
C. CITY desires to compensate CONSULTANT for additional professional services
needed for PROJECT.
D. CITY and CONSULTANT mutually desire to amend AGREEMENT, hereinafter
referred to as "AMENDMENT NO. 1," as provided here below.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as
follows:
In addition to the services to be provided pursuant to the AGREEMENT and
AMENDMENT NO. 1, CONSULTANT shall diligently perform all the services
described in AMENDMENT NO. 1 including, but not limited to, all work set forth
in the Scope of Services attached hereto as Exhibit A and incorporated herein by
reference. The City may elect to delete certain tasks of the Scope of Services at
its sole discretion.
2. City shall pay Consultant for the services on a time and expense not -to- exceed
basis in accordance with the provisions of this Section and the Schedule of
Billing Rates attached to the AGREEMENT. Consultant's compensation for all
work performed in accordance with this AMENDMENT NO. 1, including all
reimbursable items and subconsultant fees, shall not exceed Four Thousand Six
Hundred Twenty Five Dollars and no /100 ($4,625.00) without prior written
authorization from City.
3. The term of the AGREEMENT shall be extended to April 30, 2009.
4. Except as expressly modified herein, all other provisions, terms, and covenants
set forth in AGREEMENT shall remain unchanged and shall be in full force and
effect.
IN WITNESS WHEREOF, the parties hereto have executed this AMENDMENT NO

Thank you for selecting Iup Design Studios, Inc. to work you on the re- branding of the Newport Navigator
and Newport Coast Community Center Guide publications! As we recognized at the beginning of this
process, the depth and scope of these two redesigns would exceed the original contract for services
rendered.
For a professional and consistent look, we will have extensive stock photography to identify each
subcategory within the classes offered as well as stock photography to represent specific classes or types of
classes. The sections will require custom illustration to denote each one. Additional phone calls and
meetings will be required to review, change and approve these items.
Since these two redesigns will be done in Adobe 1nDesign with advanced style sheets, automated table of
contents based on paragraph styles, interactive bookmarks and hyperlinks that Sarah and Elisa are
unfamiliar with, additional training and tech support will be required. Below are the estimated costs related
to these items and services:
• Stock Photography - $ 2100
• Illustration - $375
• Meetings - $ 750
• Calls - $ 500
• Changes - $ 375
• Training - $ 250
• Technical Support - $ 250
