Consultant, its principals, officers, agents, employees, vendors, suppliers,
consultants, subcontractors, anyone employed directly or indirectly by any of

Notwithstanding the foregoing, nothing herein shall be construed to require
Consultant to indemnify the Indemnified Parties from any Claim arising from the
sole negligence or willful misconduct of the Indemnified Parties. Nothing in this
indemnity shall be construed as authorizing any award of attorney's fees in any
action on or to enforce the terms of this Agreement. This indemnity shall apply
to all claims and liability regardless of whether any insurance policies are
applicable. The policy limits do not act as a limitation upon the amount of
indemnification to be provided by the Consultant.

Re: Bike - sharing Project Proposal
Dear Sharon:
The Brandenburger Foundation is partnering with Public Bike Systems Corporation
(PBSC), the exclusive agent for sale and implementation of the BW bike - sharing system
now in operation in the City of Montreal. This is a stand -alone turnkey system for bike -
sharing. This system has been selected in recent RFP processes for several municipalities
in the United States, including Boston and Minneapolis, and is under consideration in San
Antonio, Texas, and other cities that wish to adopt a solution to reduce traffic and parking
congestion, as well as promote a healthier lifestyle and "greener" environment in their
cities.
As you know, we have had several discussions with Mike Henn, Nancy Gardner and staff
explaining our bike - sharing system, including several live demonstrations of the system
in Newport Beach locations last summer. We are currently finalizing a proposal with the
City of San Antonio for a similar project, and believe it is appropriate to move forward
with Newport Beach as well. Based on our preliminary investigation, we believe that the
implementation of a bike - sharing system for Newport Beach could be accomplished at
little or no cost to the City.
This letter constitutes the Brandenburger Foundation's proposal to the City of Newport
Beach to fund a project to determine the feasibility of, and terms by which a bike - sharing
system could be implemented for the City. The Proposal consists of an assessment to
determine the specifics of a bike - sharing system, both in an initial pilot configuration and
full implementation, including pro-forma implementation costs and operating results for
each alternative, as well as the basic terms of the parties' relationship and obligations for
implementing the system. The total cost of this Proposal is $7,500.00, of which the
Foundation will pay $4,000.00 with the balance of $3500.00 being paid for by the City of
Newport Beach, and we estimate that it will take approximately 60 days from the
acceptance of this proposal to complete the work.
2907 Well Ccxw Crave. Butte 200 • NadW 0acen. CA 92663 1949! 351 -1397
More specifically, the Proposal will consist of an assessment for both a pilot bike - sharing
system and a Full Implementation system. The pilot system will consist of the minimum
size system that will provide a valid test of the system in the city. The assessment will
include an analysis of the estimated demand for and usage of the system based upon the
specifiic characteristics of Newport Beach applied to benchmarks and experience in
relation to the recently implemented City of Montreal system, as well as other U. S. and
European bike - sharing systems. This analysis will yield a proposed system for Newport
Beach, including the following information:
a. ; Number of bikes
b. Number and approximate location of stations
c. Number of bike docks
d, Estimated reduction in automobile trips
e. Estimated savings in required parking spaces
f. Cost of implementing the system
g.: Pro-forma operating revenues and costs ,for each of the first three years.
The full implementation assessment will assume that the system is expanded to coverage
for a mature system serving the maximum feasible area of the city, and will include items
"a." through "g." above at full implementation.
All otithe proposed work will be performed by the Brandenburger Foundation, with the
exception of the following tasks to be performed by Alexandre Richard Transportation
Consyltancy as a sub - consultant. The cost of this work is proposed at $1,200.00, which
is included in the total project costs noted above.
Scope of work performed:
Existing modal split (Current or reference situation);
Existing daily trips (Current or reference situation);
D Existing average COI Emissions per trip (Current or reference situation);
➢; Existing total COI Emissions (Current or reference situation);
➢ Estimated modal split (After project's implementation);
➢ Estimated daily trips (After project's implementation);
D Estimated average CO2 Emissions per trip (After project's implementation);
➢ Estimated total COI Emissions (After project's implementation);
The proposal will also provide a description of the proposed form of relationship between
the City of Newport Beach and the Brandenburger Foundation, along with the basic terms
of the contractual arrangement in the event the city chooses to move forward based on the
assessments presented in the proposal. The basic terms will define the proposed
implementation plan, obligations of the parties, including funding for the project, and the
on -going rights and obligations of the parties. This assessment and proposal in no way
binds the either party contractually to move forward and initiate a bike - sharing system.
We look forward to working with you on a successful project. We appreciate your
consideration and wish to develop our relationship for many years to come. If you have
any questions, please do not hesitate to call me at (949) 351 -1397.
Sincerely,
The B de urger Four 'on
