RESOLUTION NO. 5117
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
NLITFORT BEACH CONSEIUING TO THE-ASSIGNMENT OF A
CONTRACT
AREAS, the City of-Newport Beach, pursuant to Resolu-
tion No. 4300,executed an Amendment of Contract on January 31,
1955, in which Monterey Oil Company, a Delaware corporation, and
Humble Oil & Refining Company, a Texas corporation, were referred
to as "Contractor"; and
WHEREAS, said Humble Oil & Refining Company, in contem-
plation of a corporate merger, has requested the Cityls consent to
a conveyance of all of its rights, privileges and obligations
said contract with the City of Newport Beach to Humble Oil &
Refining Company, a Delaware corporation; and
WHEREAS, it appears that the transfer and assignment
would not interfere with the obligations of said company under
said contract;
NOtd, THEREFORE, BE IT RESOLVED by the City Council •f
City of Newport Beach that the City hereby consents to the trans
fer of the rights, privileges and obligations of Humble Oil &
Refining Company, a Texas corporation, under said contract to
Humble Oil & Refining Company, a Delaware corporation, on condi-
tion that under said conveyance said transferee shall expressly
assume all of the obligations and liabilities of said Humble Oil &
Refining Company, a Texas corporation, and on the further condi-
tion that the City be furnished a certified copy of said conveyance
This resolution was adopted by the City Council of the
City of Newport Beach at a regular meeting on the 9th day of
November, 1959, by the following vote, to wit:

Higbie, Stoddard, Hart, Lorenz, Somers

Beach, California, do hereby certify that according to the records
of the City of Newport Beach filed and maintained in my office,
the foregoing Resolution Noe 5117 was duly and
regularly adopted, passed, and approved by the City Council of
the City of Newport Beach, California, at a regular meeting of
said City Council held at the regular meeting place thereof, on
the 9th day of November 19 59 , by the following
vote, to wit:
AYES, COUNCILMEN: Kingsley, Atkinson, Higbie, Stoddard,
Hart, Lorenz, Somers
NOES, COUNCILMEN: None
ABSENT, COUNCILMEN: None
