PROFFESSIONAL SERVICES AGREEMENT
Teri Black & Company, LLC agrees to provide the following services to the City of
Newport Beach, CA (herein referred to as "the Client'l in conjunction with the
recruitment of a Library Services Director:
1. Establish job requirements and develop candidate profile (includes meeting with
stakeholders to solicit feedback on the ideal candidate)
3. Execute and oversee advertising placement
4. Execute direct mail campaigns and personal outreach strategy
A. Distribute brochure to network of suitable library services professionals
B. Identify and contact referral sources
C. Promote job to potential candidates

A. Conduct the initial resume screening
B. Conduct preliminary interviews
6. Prepare a report summarizing the results of the recruitment process and assist
the Client in the selection of finalists
7. Provide advice and assistance to the Client in the design and implementation of
the final selection process; prepare materials and facilitate selection activities
8. Conduct background and reference checks on top candidate
9. Facilitate negotiations and transition details with candidate selected

For professional services provided under this Agreement, the City of Newport
Beach agrees to compensate Teri Black & Company, LLC $18,000 in professional
fees plus reimbursement of directly related expenses (not to exceed $8,000) for
such items as advertising, brochure design and printing, consultant travel,
Xeroxing/printing, administrative support and postage / delivery charges.
Expenses will be reimbursed at actual cost. Professional fees and reimbursable
expenses will be billed and paid monthly.
Placement Guarantee
If a candidate is selected and appointed to the Director's position by the City of
Newport Beach as a result of a TBC recruitment terminates employment for any
reason before the completion of the first year of service, TBC will provide the
City with the necessary consulting services required to secure a replacement.
Under such circumstances, professional consulting services are provided at no
additional cost to the Client; expenses are covered by the City.
This Agreement is effective upon commencement of work and shall continue
until all services are completed.
