THIS AGREEMENT TO PROTECT CPNI AND CONSENT TO USE CPNI ("Agreement") is made effective as of the Effective
Date by and among Verizon and Customer on its own behalf and on behalf of its current and future Affiliates, through Customer's
authorized representative's signature above and Verizon's verification and acceptance of receipt of an unaltered Customer -
signed Agreement. Customer and Verizon are hereinafter referred to each, individually, as a "Party," and, collectively, as the
"Parties." The term "Affiliate" means any person or entity directly or indirectly controlling, controlled by, or under common control
with, a Party.
WHEREAS, Verizon provides in the United States telecommunications services, interconnected Voice over IP services, and
other services ("Services") that are or may hereafter become subject to Federal Communications Commission rules governing
Customer Proprietary Network Information ("CPNI"),' and Verizon provides Services to Customer pursuant to one or more
agreements ("Service Agreements") and/or Verizon tariffs covering the Services; and
WHEREAS, the Parties desire to establish terms ("CPNI Terms") under which Verizon may provide Customer CPNI to
Authorized Customer Representatives (defined below) and under which Authorized Customer Representatives may obtain
Customer CPNI from Verizon in connection with Services provided to Customer under Service Agreements and/or Verizon tariffs;
and
WHEREAS, the Parties desire to establish terms under which Verizon may utilize and share Customer CPNI for purposes of
offering Customer current and future products and services available from Verizon.
NOW, THEREFORE, in consideration of the mutual promises set forth below, the Parties agree as follows:
1. The following CPNI Terms apply to Verizon's provision of Services to Customer pursuant to Service Agreements and/or
Verizon tariffs:
a) Verizon will protect confidentiality of Customer CPNI in accordance applicable laws, rules and regulations. Verizon may
access, use, and disclose Customer CPNI as permitted or required by applicable laws, rules, and regulations or this
Agreement.
b) Verizon may provide Customer CPNI (including, without restriction, call detail) to representatives authorized by Customer
("Authorized Customer Representatives" as defined below).
c) Verizon may provide Customer CPNI to Authorized Customer Representatives via any means authorized by Verizon,
including, without restriction: to the Customer's email address(es) of record (if any) or other email addresses furnished by
Authorized Customer Representatives, to the Customer's telephone number(s) of record or other telephone numbers
provided by Authorized Customer Representatives, to the Customer's postal (US Mail) address(es) of record or to other
postal addresses furnished by Authorized Customer Representatives, or via Verizon's on-line customer portals or other on-
line communication mechanisms.
d) "Authorized Customer Representatives" include Customer employees, Customer agents, or Customer contractors, other
than Verizon, who establish or have established through reasonable procedures developed by Verizon their authorization on
behalf of Customer and/or have existing relationships on behalf of Customer with Verizon customer service, account, or
other representatives. Authorized Customer Representatives that are employees of Customer may authorize additional
Customer representatives to access CPNI of Customer and its Affiliates pursuant to this Agreement. Authorized Customer
Representatives shall remain such until Customer notifies Verizon in accordance with reasonable procedures developed by
Verizon that they are no longer Authorized Customer Representatives. Customer agrees, and will cause Authorized

Customer Representatives, to abide by reasonable authentication and password procedures developed by Verizon in
connection with disclosure of Customer CPNI to Authorized Customer Representatives.
2. If Customer is served by at least one dedicated Verizon representative under the Service Agreements and/or in connection
with purchases of Services under Verizon tariffs (which dedicated Verizon representative can be reached by Customer by
means other than calling through a call center), Verizon may suppress significant account change notices (as described in 47
C.F.R. 64.2010(f)) to Customer.
3. Verizon acknowledges that Customer has a right to the protection of, and Verizon has a duty under law to protect the
confidentiality of Customer CPNI. By signing this Agreement, Customer grants Verizon, solely for the purpose of offering
Customer current and future products and services available from Verizon, permission to use, to permit access to, and to
disclose Customer CPNI among the Verizon affiliates, and to Verizon's agents, contractors and partners who assist Verizon
in providing such products and services to Customer and who have an obligation to protect such information. With respect to
the CALNET 3 contract, Verizon shall offer to Customer only CALNET 3 approved contracted services, and Verizon shall
use, permit access to, and to disclose Customer CPNI as set forth above solely in connection with CALNET 3 approved
contracted services. CPNI shall not be shared with unrelated third parties. Customer represents that it has the authority to
consent, and does consent, on behalf of its current and future Affiliates who receive services and products from Verizon, to
the use, disclosure, and access to Customer CPNI as described in this Section 3. All other notices and elections for
consenting or withdrawing consent are superseded by this notice and consent.
4. Customer has a right to disapprove of the uses of Customer CPNI as set forth above, and Customer may withdraw this
consent at any time by notifying Verizon in writing at cpni-notices@verizon.com. This consent will remain valid until Verizon
receives such a notice withdrawing consent. If Customer refuses or withdraws consent for use or disclosure of Customer
CPNI, it will not affect Verizon's provisioning of services to which Customer subscribes.
5. The defined terms set forth in the preamble and recital clauses of this Agreement are deemed contractual.

CPNI Authorizers are authorized to access CPNI of Customer and its Affiliates and have power to authorize or
deauthorize other Customer representatives to access such CPNI. CPNI Authorizers will so authorize or
deauthorize Customer representatives by sending a writing of such authorization or deauthorization to
Customer's Verizon service manager or account manager, with the following information:
i. the name, title, postal address, email address and telephone number of the person affected;
ii. that the person is being authorized, or is no longer authorized, (as applicable) to access CPNI; and
iii. the full corporate name of the Customer whose CPNI (and whose affiliates' CPNI) the person can
access (or can no longer access, if applicable).
Authorizations sent by email must be sent from the email address of the CPNI Authorizer listed above. This
designation, and any subsequent additions or removals of CPNI Authorizers, will be effective within a
reasonable period after Verizon has received a signed writing of it, including the affected person(s)' name, title
postal address, email address, and telephone number.

By sending this email or signing above (as applicable), I hereby either (1) authorize the individual user(s)
("User(s)") named below (or on the attached spreadsheet containing the same data elements set out
below) to have access to CPNI or (2) deauthorize the named User(s) from having access to CPNI, for the
Customer named below and its Affiliates, all terms as defined in the Service Publication and Price Guide
located at www.verizonbusiness.com/guide. This authorization shall be valid until revoked by me or
another Customer CPNI Authorizer in writing. Revocation of authorization must be sent to Verizon at the
email, fax or postal address (as applicable) provided by my Verizon Service Manager or Account
Manager. I am authorized to grant such CPNI access and acknowledge that to be effective, this
document must be either emailed from the address that the Customer named below has identified as
mine, or if sent by fax or postal mail, it must be signed by me.
