AMENDMENT NO. THREE TO
PROFESSIONAL SERVICES AGREEMENT WITH
LANDWORDS DEVELOPMENT SERVICES
FOR FRIENDS OF THE LIBRARY BOOKSTORE REMODEL
THIS AMENDMENT NO. THREE TO PR FESSIONAL SERVICES
AGREEMENT, is entered into as of this ff day of JUAU , 2009, by and
between the CITY OF NEWPORT BEACH, a Municipal Corporation ("CITY"), and
LANDWORKS, LLC, a Limited Liability Company, whose address is 1072 SE Bristol
Street, Suite 209, Costa Mesa, California 92626 ("CONSULTANT"), and is made with
reference to the following:
RECITALS:
A. On February 21, 2008, CITY and CONSULTANT entered into a Professional
Services Agreement, hereinafter referred to as "AGREEMENT", for conceptual
design services for the Friends of the Library Bookstore Remodel hereinafter
referred to as "PROJECT".
B. CITY and CONSULTANT have entered into two separate AMENDMENTS of the
AGREEMENT, the latest dated October 28, 2008.
C. CITY desires to enter into this AMENDMENT NO. THREE to reflect additional
services not included in the AGREEMENT or prior AMENDMENTS and to extend
the term of the AGREEMENT to September 30, 2009.
D. CITY desires to compensate CONSULTANT for additional professional services
needed for PROJECT.
E. CITY and CONSULTANT mutually desire to amend AGREEMENT, hereinafter
referred to as "AMENDMENT NO. THREE" as provided here below.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as
follows..
1. In addition to the services to be provided pursuant to the AGREEMENT and
AMENDMENTS NO. ONE and TWO, CONSULTANT shall diligently perform all
the services described in AMENDMENT NO. THREE, including but not limited to,
all work set forth in the Scope of Services attached hereto as Exhibit A and
incorporated herein by reference. The City may elect to delete certain tasks of
the Scope of Services at its sole discretion.
2. City shall pay Consultant for the services on a time and expense not -to -exceed
basis in accordance with the provisions of this Section and the Schedule of
Billing Rates attached to the AGREEMENT. Consultant's compensation for all
work performed in accordance with this AMENDMENT NO. THREE, including all
reimbursable items and subconsultant fees, shall not exceed Five Thousand,
Nine Hundred Sixty Dollars and no/100 ($5,960.00) without prior written
authorization from City.
3. The term of the AGREEMENT shall be extended to September 30, 2009.
4. Except as expressly modified herein, all other provisions, terms, and covenants
set forth in AGREEMENT shall remain unchanged and shall be in full force and
effect.

Budget of Services
Scope of Service
Landworks will provide design and documentation services for changes initiated by the Library staff regarding
the design of the bookstore and check out areas.
Work includes revisions to the submittal drawings including floor plan, reflected ceiling plan, elevations, and
demolition plan. Specifically, the addition of a roll down door, changes to the millwork for the check out and
reserve book areas.
1.2 Project Management
Landworks will provide additional project management services for: The additional time required to complete
the construction contracts as required by City staff and additional bid coordination due to revisions generated
by library as mentioned above in 1.1.
OWNER'S RESPONSIBILITIES
2.1 The Owner shall provide full information regarding requirements for the Project, including the
Owner's objectives, schedule, constraints and criteria.
2.2 The Owner shall be responsible for the cost of plan check and/or permit fees.

3.1 Expenses of printing and reproduction.
3.2 Delivery charges

ADDITIONAL SERVICES
4.1 Additional Services shall be provided if authorized by the City of Newport Beach Public Works and
shall be paid for by the Owner as provided in this agreement. Such Additional Services may include
but shall not necessarily be limited to the following:
4.1.1 Construction Administration and Management
4.1.2 Services required beyond those noted above in item 1.0.
4.1.3 Services or construction required beyond those noted in attached bid document.
COMPENSTION
5.1 LandWorks services shall be preformed at the fixed fee of:

5.2 Should the Owner request Reimbursable items that exceed this estimate, LandWorks will notify the
Owner for authorization prior to proceeding.
5.3 For Additional Services as authorized by City of Newport Beach Public Works and provided above,
compensation will be calculated at Landworks hourly rate. Consultant fees for Additional Services, if
authorized, will be billed at Designer's cost.

THIS AM NDMENT NO. 2 TO PROFESSIONAL SERVICES AGREEMENT, entered

NEWPORT BEACH, a municipal corporation, (hereinafter referred to as "City ") and
Landworks Development Services, California whose address is 1072 SE Bristol Street,
Suite 209 Costa Mesa, California, 92626 ( "Consultant'), and is made with reference to
the following:

Remodel, hereinafter referred to as "Project'. This Agreement is
scheduled to expire on June 30, 2009.
B. City and Consultant have entered into one separate Amendment of the
Agreement, the latest dated June 2, 2009.
C. City desires to enter into this Amendment No. 2 to reflect additional
services not included in the Agreement or prior Amendment and to extend
the term of the Agreement to June 30, 2009.
D. City desires to compensate Consultant for additional professional services
needed for Project.
E. City and Consultant mutually desire to amend Agreement, hereinafter
referred to as "Amendment No. 2" as provided here below.
NOW, THEREFORE, the parties hereto agree as follows:
1. Consultant shall be compensated for services performed pursuant to this
Amendment No. 2 according to "Exhibit A" dated September 2, 2008
attached hereto.
2. Total additional compensation to Consultant for services performed
pursuant to this Amendment No. 2 for all work performed in accordance
with this Amendment, including all reimbursable items and subconsultant
fees, shall not exceed Twenty -Four Thousand and Five Hundred
Dollars ($24,500.00).
3. The term of the Agreement shall be extended to June 30, 2009,

covenants set forth in Agreement shall remain unchanged and shall be in
full force and effect.

• Development of project scope for each construction trade.
• Creation of bid packages.
• Solicitation of bids to select contractors for a minimum of three bids per trade.
• Review and analysis of bids.
• Recommendation and selection of subcontractors.
• Contract Administration.
• Management of construction activities
• Review and approval of payment requests.
• Review and approval of change orders.
• Coordination of RFI's.
• Coordination of procurement of furniture and fixtures.

1.1.2 Budgeting and Scheduling
Landworks Development Services will develop a project construction budget to be
approved by client. Landworks will work with the project oversight committee to
coordinate this project budget.
Landworks Development Services will monitor and communicate the project
schedule to coordinate construction activity and determine project completion.

5.2 Should the Owner request Reimbursable items that exceed this estimate, LandWorks will notify the
Owner for authorization prior to proceeding.
5.3 The projected schedule for these services is five months.
5.4 Payment for Basic Services and Reimbursable Expenses shall be made every two weeks upon
presentation of the statement of services rendered and /or expenses incurred. Payments are due
and payable within 14 days from the date of the invoice.

DONATIONS FROM THE FRIENDS OF THE NEWPORT BEACH
LIBRARY AND APPROVE AMENDMENT TO PROFESSIONAL
SERVICES AGREEMENT WITH LANDWORKS LLC
Recommendations:
1. Approve a budget amendment recognizing contributions in the amount of $200,000
from Friends of the Newport Beach Library for improvements to the Central Library
Bookstore Renovation project and appropriating $200,000 to Account No. 7011-
01002008.
2. Approve Amendment No. 2 to the Professional Services Agreement with
Landworks, LLC for additional design and construction engineering services in
the amount of $24,500.00 and authorize the City Manager and City Clerk to
execute the Amendment.
Discussion:
The Friends of the Library desire to expand the existing bookstore within the Central
Library and have committed $200,000 towards that effort. To expedite the expansion and
remodel of the Central Library, staff recommended hiring a contract project manager to
design and manage the construction.
The City Council at its December 11, 2007 meeting accepted a $7,500 donation from The
Friends of The Newport Beach Library (The Friends of The Library) toward the design of
the Central Library Bookstore Renovation Project (Bookstore Project). Landworks
Development Services, LLC ( Landworks) was retained to provide design engineering
(phase 1).
During the course of project design and building department permit plan check, the scope
of work was changed from the original design concepts to provide the lobby and bookstore
entrance areas with access enhancements. This work was considered outside of the
Central Library Bookstore Renovations

original project scope and an amendment in the amount of $3,500 needs to be made to
the Landworks PSA for the additional design work. At this time, staff recommends that
Landworks also be retained to continue with the construction management of the project at
a cost not to exceed $21,000 for a total of $24,500 for amendment No.2.
The proposed scope of work includes preparation of specifications and bid packages for
the various trades including electrical, millwork/cabinetry, flooring, etc. The City will solicit
informal bids (less than $30,000) and award to the lowest responsible bidders.
Landworks will coordinate and manage these trade contracts; coordinate with library staff
and Friends representatives; and coordinate the installation of furniture and fixtures. This
proposed work would be similar to the process used successfully on the Back Bay Science
Center, but on a smaller scale.
Upon approval of this amendment to the PSA and the establishment of a $200,000 budget
for construction, the City's Contract manager, Landworks, will secure Building permits
and complete the bid packages for the various trades. Bids will be opened in accordance
with City procedures, and staff will execute informal contracts with each low bidder.
Landworks will manage the trade contracts.
Environmental Review:
This project was determined to be exempt from the California Environmental Quality Act
(CEQA) pursuant to Section 15302 (Replacement or Reconstruction) of the CEQA
Implementation Guidelines. This Exemption covers the replacement or reconstruction
of existing structures and facilities where the new facilities will be located on the same
site as the existing and will have substantially the same purpose and capacity.

COMPENSATION

THIS AMEN_ DAQENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT, entered
into this XWO14 day of 2008, by and between the CITY OF
NEWPORT BEACH, a mun ipal corporation, (hereinafter referred to as "City ") and
LANDWORKS, LLC., a Limited Liability Company whose address is 1072 SE Bristol
Street, Suite 209, Costa Mesa, California 92626 ( "Consultant "), and is made with
reference to the following:
RECITALS
A. On February 21, 2008, CITY and CONSULTANT entered into a
Professional Services Agreement, hereinafter referred to as "Agreement ",
for providing conceptual design services and act as lead consultant for the
Friends of the Library Bookstore Remodel, hereinafter referred to as
"Project ". This Agreement is scheduled to expire on June 30, 2009.
B. City desires to enter into this Amendment No. 1 to reflect additional
services not included in the Agreement.
C. City desires to compensate Consultant for additional professional services
needed for Project.
D. City and Consultant mutually desire to amend Agreement, hereinafter
referred to as "Amendment No. 1 ", as provided here below.
NOW, THEREFORE, the parties hereto agree as follows:
1. Consultant shall be compensated for services performed pursuant to this
Amendment No. 1 according to "Exhibit A" dated March 21, 2008,
attached hereto.
2. Total additional compensation to Consultant for services performed
pursuant to this Amendment No. 1 for all work performed in accordance
with this Amendment, including all reimburseable items and subconsultant
fees, shall not exceed Twelve Thousand Seven Hundred Fifty Dollars
($12,750.00).

3. Except as expressly modified herein, all other provisions, terms, and
covenants set forth in Agreement shall remain unchanged and shall be in
full force and effect.

Budget of Services
Scope of Service
1.1 Document Development and Processing
Landworks will provide development, processing and permitting activities of all necessary plans through the
City of Newport Beach, as well as coordinating of all other consultants, if necessary, and required for
approval and permitting.
Landworks Development Services will assure that all tenant needs are met, including selection of furniture,
fixtures and equipment, scheduling of move in activities, project opening and facilities coordination.
2.1 The Owner shall provide full information regarding requirements for the Project, including the
Owner's objectives, schedule, constraints and criteria.
2.2 The Owner shall be responsible for the cost of plan check and /or permit fees.
REIMBURSABLE EXPENSES
3.1 Expenses of printing and reproduction.
3.2 Delivery charges
3.3 Fees expended by Landworks on behalf of the Project wRh the authorization of the Owner.

SUBJECT: Central Library Bookstore Renovation — Approval of Amendment No. 1
to Professional Services Agreement with Landworks, LLC
Recommendations:
1. Approve Amendment No. 1 to the Professional Services Agreement with
Landworks, LLC, of Costa Mesa, California, for additional design engineering
services for the Central Library Bookstore Renovation project for a not to exceed
price of $12,750 and authorize the City Manager and City Clerk to execute the
Amendment.
2. Approve a Budget Amendment transferring $12,750 from Account No. 7271-
C4050781 (Central Library HVAC Repairs) to 7271- C1002008 (Central Library
Bookstore Renovation).
Discussion:
On December 11, 2007, the City Council received a check from the Friends of the Newport
Beach Library to retain professional services to investigate the feasibility of making
renovations to the Central Library circulation area and Friends Bookstore. Staff authorized
Landworks Development Services to coordinate and implement the design and estimating
of conceptual plans for a remodel to the Friends of the Library Bookstore to increase the
size of the bookstore and also make improvements to current access for employees and
customers. Landworks provided a proposal for project management services dated
October 29, 2007, and was authorized only to complete the conceptual design and cost
estimating portion of the work.
The conceptual design and subsequent construction costs are now completed and has
been approved by the Friends of the Library (Friends). The Friends deem this as a viable
project and funding for the construction costs will be provided by its fundraising efforts. An
amendment to the agreement with Landworks Development Services is needed to provide
for final design, permitting and processing services for this project.

Environmental Review:
The Central Library Remodel project will not cause a direct or indirect change in the
environment and therefore is not considered a "project' as defined by the California
Environmental Quality Act (CEQA) Implementing Guidelines. An environmental review
is not required.
Funding Availability:
Savings are available in Central Library HVAC Repairs project account that can be used
for this purpose. Upon approval of the Budget Amendment, sufficient funds are available
as follows:

SUBJECT: BUDGET AMENDMENT TO ACCEPT A CHECK FROM THE FRIENDS
OF THE NEWPORT BEACH LIBRARY AND APPROPRIATE FUNDS TO
CAPITAL IMPROVEMENT PROJECT ACCOUNT FOR FY 2007/08.
RECOMMENDATION:
Approve a Budget Amendment to increase revenue estimates by $7,500 in Account No.
4091 -5892 (Friends of the Library Donations), and increase expenditure estimates by
the same amount in CIP account 7011- C1002008.
DISCUSSION:
A gift from the Friends of the Newport Beach Public Library in the amount of $7,500 was
approved by the Library Board of Trustees on October 2, 2007 and will be presented to
City Council. The funds will be used to purchase the conceptual designs for a much
needed renovation of the Central Library Circulation area and the Friend's Bookstore. If
the design is approved by all involved, the Friends will fund the project which will be
overseen by Public Works and managed by Land Works.
