That agreement has been amended and the term extended three times. Staff is recommending approval of an additional amendment that would extend the agreement term through January 31, 2019. The extension would allow time to complete an open Request for Qualifications process for these services and for staff to research a possible opportunity to partner with another city on government channel operations and programming. :7xK�]JilJil��l�7e��[�]�F a) Determine this action is exempt from the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) and 15060(c)(3) of the CEQA Guidelines because this action will not result in a physical change to the environment, directly or indirectly; and b) Authorize the City Manager to execute Amendment No. Four to the current Professional Services Agreement with Newport Beach & Company for the Management of NBTV Programming and Operations. Amendment No. Four would be subject to approval by the City Attorney and would: (1) extend the term of the agreement an additional four months (to expire on January 31, 2019); and (2) add $50,000 to the agreement for a new not -to -exceed total of $730,000. The not -to - exceed total includes the original agreement and the four subsequent amendments. FUNDING REQUIREMENTS: The current adopted budget includes sufficient funding for this amendment. It will be expensed to the NBTV Operations account in the Public Information Office budget, 01020201-87104. 15-1 Amendment No. Four to the Agreement with Newport Beach & Company for the Management of NBTV Programming and Operations September 25, 2018 Page 2 DISCUSSION: The City of Newport Beach (City) operates a government channel called Newport Beach Television (NBTV). City staff managed NBTV station operations, production and programming for a number of years until these services were outsourced to Newport Beach & Company. The City and Newport Beach & Company first entered into a professional services agreement for the management of NBTV programming and operations in March 2014. After the initial two-year term, the agreement was amended two more times, with each amendment extending the term an additional year. In March of this year, the City and Newport Beach & Co. agreed to extend the agreement an additional six months, through September 30, 2018. In keeping with the terms of the agreement and its procurement procedures, the City issued a Request for Qualifications for Video Production and Government Access Channel Management in July of this year. The qualified firms were interviewed in August and subsequently submitted cost proposals. Staff is seeking the City Council's approval of an additional amendment to the agreement for two reasons. First, the cost proposals require further review and possibly further discussion with the consulting firms. Second, it was recently suggested that City staff reach out to another Orange County city that operates a government channel to inquire about potentially sharing these services. That city is interested in discussing this idea further. Thus, if approved, Amendment No. Four to the City's agreement with Newport Beach & Company for the Management of NBTV would extend the term through January 31, 2019, allowing time for staff to resolve the pricing questions with the current proposers and to explore the possibility of partnering with another city on government channel services. Newport Beach & Company has consented to the extension of the term. ENVIRONMENTAL REVIEW: Staff recommends the City Council find this action is not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably foreseeable indirect physical change in the environment) and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no potential for resulting in physical change to the environment, directly or indirectly. The agenda item has been noticed according to the Brown Act (72 hours in advance of the meeting at which the City Council considers the item). ATTACHMENT: None 15-2
