Executive Committee ABSTRACT: As part of the agreement between the City of Newport Beach (City) and Visit Newport Beach, Inc. (VNB) for destination marketing services, the City appoints a full voting member to the VNB Executive Committee. RECOMMENDATION: Appoint Dennis O'Neil or Douglas Wood to fill the member position on the VNB Executive Committee with an effective appointment date of December 14, 2015, for the sole purpose of calculating the start date of the four year term. FUNDING REQUIREMENTS: There is no fiscal impact related to this item. DISCUSSION: On September 27, 2011, the City and VNB entered into an agreement for destination marketing services. As part of the agreement, the City appoints a full voting member to the VNB Executive Committee. At the regular meeting of December 13, 2011, the City Council appointed Dennis O'Neil to serve as the VNB Executive Committee voting member for a four-year term, expiring on December 13, 2015. 17-1 Appointment to the VNB Executive Committee November 10, 2015 Page 2 Pursuant to the Maddy Act and City Council Policy A-2 (Board, Commission and Committee Appointments), the City Clerk prepared and posted a Special Notice of Vacancy on Thursday, September 24, 2015 in the City Clerk's Office, at the Central Library, on the bulletin board in the City Council Chambers, and on the City's webpage, and published the Special Notice in the Daily Pilot on Saturday, September 26, 2015. As provided in the Notice, applications were accepted by the City Clerk's Office until 12 p.m. on Thursday, October 1, 2015. Pursuant to City Council Policy A-2, the Ad -Hoc Appointments Committee, consisting of Mayor Ed Selich, Mayor Pro Tem Diane Dixon, and Council Member Tony Petros, reviewed the three (3) applications received. As a result of their review, the Ad -Hoc Appointments Committee recommends appointing Dennis O'Neil or Douglas Wood to fill the future vacancy on the VNB Executive Committee. Copies of the nominees' applications are attached hereto as Attachment A. A copy of the third application is attached hereto as Attachment B. Appointment Process Pursuant to Council Policy A-2, appointment to the VNB, Inc. Executive Committee will take place in the following manner: A. The City Council will vote on the appointment simultaneously. The voting will be by paper ballot and the City Clerk will tabulate and announce the results, including the vote tally. B. Each member of the City Council will cast one vote on the paper ballot. In order to be appointed, the nominees must receive at least four votes. ENVIRONMENTAL REVIEW: Staff recommends the City Council find this action is not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably foreseeable indirect physical change in the environment) and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no potential for resulting in physical change to the environment, directly or indirectly. NOTICING: The agenda item has been noticed according to the Brown Act (72 hours in advance of the meeting at which the City Council considers the item). Visit Newport Beach, Inc. is now a subgroup of Newport Beach & Company. In serving on the Executive Committee and Board of Directors over the past four years, I have learned a great deal about visitor and tourism marketing in the City of Newport Beach and how it can be a a significant revenue source for the City. I also have knowledge of non-profit corporate law which has been of benefit while serving on the Executive Committee and Board of Directors. As a former City Attorney, member of the City Council and Mayor, I have a good understanding of the City's governance structure which provides positive guidance for the Executive Committee and Board of Directors in its dealings with the City Council and City staff. My oversight experience on non-profit governing boards will be useful to Newport Beach. Although I lack the preferred experience in the hospitality industry, I am familiar with the history of Visit Newport Beach and with the contract under which the obligation for a City appointee on the Executive Committee arose. In my view, the City appointee is intended to function more as a watchdog than as a adviser. In that role, I believe I would bring a much needed new perspective to this Committee whose meetings have been, and probably continue to be, off limits.to the public in general.
